To start an LLC in Alaska, you file Articles of Organization with the Division of Corporations, Business and Professional Licensing for a $250 fee, appoint a registered agent with an Alaska street address, obtain a $50 Alaska business license, and get a free federal Employer Identification Number from the IRS. Minimum out-of-pocket to be up and running is $300 in state fees. After that, plan on a biennial report and an annual license renewal to keep the company in good standing.
Pick and Clear a Name
Your LLC’s name has to include “Limited Liability Company” or an abbreviation such as “LLC” or “L.L.C.” You can shorten “limited” to “Ltd.” and “company” to “Co.”1Justia. If the name you want is available but you are not ready to file, Alaska will hold it for 120 days through a name reservation application.2Department of Commerce, Community, and Economic Development Division of Corporations, Business and Professional Licensing. Line Up a Registered Agent
Every Alaska LLC has to continuously maintain a registered agent and a registered office in the state.4Justia. Alaska Statutes 10.50.055 – Registered Office and Registered Agent The agent is whoever accepts legal documents on the company’s behalf, including lawsuits and government notices. It has to be an Alaska resident or a company authorized to do business in the state, and the agent’s business office is your registered office.
That office needs a physical Alaska street address. A P.O. Box on its own will not satisfy the rule, because the state requires a place where the agent can actually be reached.5Department of Commerce, Community, and Economic Development Division of Corporations, Business and Professional Licensing. You can be your own registered agent if you live in Alaska, but your home address then appears on the public record. Commercial registered agent services keep your address private and typically charge $100 to $150 a year, though some providers price a single state as low as $25.
File the Articles of Organization
The Articles of Organization (Form 08-484) is the filing that creates your LLC. You can submit it online through the Division of Corporations portal or by mail, and the fee is $250.6Alaska Department of Commerce, Community, and Economic Development Division of Corporations, Business and Professional Licensing. The form asks for:
- Your full LLC name, including the “LLC” or equivalent designator.
- The name and physical Alaska address of your registered agent.
- A NAICS code identifying the type of business activity.
- Whether the LLC is member-managed or manager-managed.
- The business purpose, which can be as broad as “any lawful purpose.”
When the state approves the filing, you get back a stamped copy of the Articles and a unique Entity Number. That number identifies your LLC in every future filing, license application, and interaction with state agencies.
Get an Alaska Business License
Alaska requires a separate business license for anyone doing commercial activity in the state. The license is $50 per year and is issued through the state’s Business Licensing portal.7Department of Commerce, Community, and Economic Development Division of Corporations, Business and Professional Licensing. The order matters. New BL Online If your business involves a professionally licensed activity like construction contracting, engineering, or healthcare, you have to obtain the professional license before the business license. Some applicants, including trusts and organizations without an Alaska Entity Number, have to use the paper application (Form 08-4181) instead.
Put an Operating Agreement in Writing
Alaska law permits an operating agreement but does not require you to file one with the state.9Justia. Alaska Statutes 10.50.095 – Operating Agreement Even so, it is worth having. The agreement is a private contract among the members and governs how the LLC actually runs.
A useful operating agreement covers ownership percentages, capital contributions, how profits and losses are allocated, voting rights, who has management authority, and whether and how a member can transfer an ownership interest. It should also address what happens when a member leaves through death, disability, retirement, divorce, or bankruptcy. Without a buy-sell provision, an unexpected departure can trigger disputes or force dissolution.
A simple template can work for a straightforward business. Custom drafting by an attorney typically runs $500 to $2,500.
Get a Federal EIN
Once the state approves your LLC, apply to the IRS for an Employer Identification Number. The EIN is your federal tax ID and is required to open a business bank account, hire employees, or file returns.10Internal Revenue Service. Applying online through the IRS website is fastest and issues the number immediately. You can also submit Form SS-4 by fax or mail. There is no fee; the IRS warns that any website charging for an EIN is not an official government site. The application asks for the Social Security Number or ITIN of the responsible party.
With the EIN in hand, you can open a dedicated business bank account. Keeping business money separate from personal money is what preserves the liability protection the LLC is there to provide. Banks generally want to see the EIN confirmation letter, the stamped Articles of Organization, your operating agreement if you have one, and the Alaska business license, though requirements vary.11U.S. Small Business Administration. Choose How the LLC Is Taxed Federally
Forming an LLC does not lock you into one tax treatment. The IRS assigns a default based on how many members you have, and you can elect something different if it makes sense.12Internal Revenue Service. Entities
- A single-member LLC is treated by default as a disregarded entity. You report business income on Schedule C of your personal return.
- A multi-member LLC is treated by default as a partnership. The LLC files Form 1065, and each member reports their share on their personal return.

- An LLC can file Form 2553 to elect S corporation treatment, which can lower self-employment taxes for members who also work in the business. If you file nothing, the default applies. Most new LLCs stay with the default, but a tax professional can tell you whether an election would actually lower your bill.
What Alaska Taxes Look Like for LLC Owners
Alaska is one of the few states with no individual income tax, so LLC members owe no state income tax on their share of business profits. For LLCs taxed federally as partnerships, Alaska follows the federal treatment: income and losses pass through without a separate state-level tax on the entity. There is no statewide sales tax either, though some municipalities impose local sales taxes, so check with the local government where you operate.

Miss the filing and the state can administratively dissolve the company.
Annual Business License Renewal
The $50 business license has to be renewed every year. The Division sends renewal notices, but the deadline is yours to track. Operating on an expired license invites penalties and can interrupt your business activity.
Registered Agent Coverage
You have to keep a registered agent with a valid Alaska physical address at all times.4Justia. Alaska Statutes 10.50.055 – Registered Office and Registered Agent If your agent resigns or moves out of state, file a change with the Division of Corporations right away. A gap means the state and courts have no reliable way to serve legal documents on your company.
Federal Beneficial Ownership Reporting
Under the Corporate Transparency Act, domestic LLCs were originally required to file a Beneficial Ownership Information report with FinCEN. As of March 2025, FinCEN issued an interim rule exempting all entities formed in the United States from that requirement.
