To start an LLC in Arkansas, file a Certificate of Organization with the Secretary of State and pay $45 online or $50 by mail. You’ll also need a business name that clears the state’s database, a registered agent with an Arkansas street address, and an EIN from the IRS before the company can fully operate. Build one more number into your budget from day one: a $150 franchise tax due every May 1.
Pick a Name That Clears the State Database
Your LLC’s name has to be distinguishable from every other active business entity on file with the Secretary of State.1Justia. Run your candidate through the Secretary of State’s online business search before you get attached to it.
The name also needs an entity designator. Acceptable options include “Limited Liability Company,” “LLC,” “L.L.C.,” “Limited Company,” “LC,” or “L.C.,” and you can shorten “Limited” to “Ltd.” and “Company” to “Co.”1Justia. Arkansas Code 4-38-112 – Permitted Names
If you want to lock a name in before you file, Arkansas lets you reserve it for 120 days using Form RN-06.2Arkansas Secretary of State. Appoint a Registered Agent
Every Arkansas LLC must designate a registered agent with a physical street address in the state.4Justia. Arkansas Code 4-20-105 – Appointment of Registered Agent The agent accepts legal documents and government notices on behalf of the company. That information becomes part of the Certificate of Organization and is publicly searchable.
You can serve as your own agent. The tradeoffs are real: your home address becomes a public record tied to the business, and you need to be physically present at that address during business hours to accept service of process. If a process server can’t find you, some courts allow alternative delivery methods that may not reach you before a deadline runs. A default judgment against your company is a bad way to learn you were sued. A commercial registered agent service typically runs $50 to $300 a year and provides a dedicated business address with staff to handle service.
File the Certificate of Organization
The Certificate of Organization (Form LL-01) is the document that legally creates your LLC. Arkansas requires it to include three things: the LLC’s name, the street and mailing addresses of the principal office, and the registered agent’s name and address.5Justia. Arkansas Code 4-38-201 – Formation of Limited Liability Company The form also asks you to identify the organizer, which is just the person filing the paperwork. The organizer doesn’t have to be a member or manager.
You’ll also choose whether the LLC is member-managed or manager-managed. In a member-managed LLC, all owners share control over daily operations and can bind the company to contracts. In a manager-managed LLC, one or more designated managers make those decisions and the other members function more like passive investors. Third parties rely on this designation when they deal with someone claiming authority for the company, so decide before you file.

By Mail
Download Form LL-01 from the Secretary of State’s website, fill it out, and mail it in with a check or money order for $50.3Arkansas Secretary of State. Forms / Fees / Records Requests – Limited Liability Company (LLC) Mail filings take several business days after the state receives them. Once approved, you’ll get a file-stamped copy back. Keep that copy somewhere safe; it’s your official proof the LLC exists.
Put an Operating Agreement in Place
Arkansas doesn’t require an operating agreement and doesn’t want you to file one. Skipping it anyway is one of the more common mistakes new owners make. The operating agreement is the internal document that spells out how the company actually works: who owns what percentage, how profits are divided, what happens when a member wants out, and how major decisions get made.
Without one, you’re relying on Arkansas’s default rules under the Uniform Limited Liability Company Act, and those defaults may not match what you and your co-owners intend. Even a single-member LLC benefits from having one. Courts weighing whether to “pierce the veil” and hold owners personally liable look at whether the business was treated as a genuinely separate entity. A signed operating agreement in your files is evidence that it was. The document stays at your business location; it never goes to the state.
Get an EIN and Handle Taxes
Employer Identification Number
You’ll need an EIN to open a business bank account, hire employees, or file federal tax returns for the LLC. Apply online at irs.gov for free; the number is issued immediately.6Internal Revenue Service. Federal Tax Classification
The IRS doesn’t have a separate tax box for LLCs. By default, a single-member LLC is treated as a “disregarded entity” and you report business income on Schedule C of your personal return. A multi-member LLC is treated as a partnership, files Form 1065, and issues a Schedule K-1 to each member. You aren’t locked into the default. An LLC can elect to be taxed as an S-corporation by filing IRS Form 2553 no more than two months and 15 days after the start of the tax year the election should cover.8Internal Revenue Service. Instructions for Form 2553 The election can lower self-employment taxes for owners who pay themselves a salary, but it adds payroll obligations and tighter bookkeeping. Talk to a tax professional first. Undoing the election isn’t simple.
Sales Tax Permit
If your LLC sells taxable goods or services in Arkansas, register for a sales tax permit through the Department of Finance and Administration.9Arkansas Department of Finance and Administration. If you provide services that aren’t taxable under Arkansas law, you may not need a permit, but selling physical products almost always triggers the requirement.
Check Licenses, Local Permits, and Insurance
Arkansas doesn’t issue a general state-level business license for LLCs. What you need instead depends on what the LLC does and where it operates.
Some professions require state board approval. Engineers, surveyors, architects, accountants, and geologists all fall under boards that issue their own licenses and may require a separate certificate of authorization for a firm.10Arkansas Department of Labor and Licensing. Many Arkansas cities and counties also require a local business privilege license. Fees and rules vary, so contact the city clerk or county office where the LLC will operate. Local licenses are easy to miss, and some carry penalties for operating without one.

Stay Compliant Every Year
The $150 Franchise Tax, Due May 1
Every Arkansas LLC must file an annual franchise tax report and pay $150 by May 1.12Justia. Arkansas Code 26-54-104 – Annual Franchise Tax13Justia. Arkansas Code 26-54-105 – Franchise Tax Reports Corporations may owe more based on capital stock and property, but LLCs pay the $150 minimum regardless of revenue. The report goes to the Secretary of State, not the Department of Finance and Administration. Your first report is due by May 1 of the year after you form the LLC.
What Late Filing Costs
Miss the May 1 deadline and the Secretary of State assesses a $25 penalty plus interest at 10% per year on the unpaid tax and penalty. The combined total of tax, penalty, and interest is capped at twice the tax owed for any single year, so the maximum exposure for one missed year is $300. Stack missed years, though, and the numbers compound quickly. Prolonged noncompliance leads to administrative revocation, which ends the LLC’s legal authority to do business in Arkansas and can compromise the liability protection you formed it to get. Reinstatement is possible but requires paying everything owed.
Federal Beneficial Ownership Reporting
One boundary worth naming, because it changed recently. The Corporate Transparency Act originally required most domestic LLCs to report their beneficial owners to FinCEN. That obligation no longer applies to LLCs formed in the United States. In March 2025, FinCEN issued an interim final rule exempting domestic entities from beneficial ownership information reporting.14Financial Crimes Enforcement Network. If you haven’t, you don’t need to. The rule could change again, so it’s worth watching, but as of 2025 there is nothing a domestic LLC has to do.
