How to Start an LLC in Colorado: Filing, Costs, and EIN

Starting an LLC in Colorado takes one online filing, a $50 fee, and usually gets same-day approval from the Secretary of State. Before you file, you need a business name that clears the state’s database and a registered agent with a Colorado street address. After you file, you need an EIN from the IRS, any applicable state tax registrations, and a calendar reminder for the annual periodic report that keeps the entity in good standing.

Pick a Name That Will Clear the State’s Check

Your LLC name has to be distinguishable from every other entity name already on file with the Colorado Secretary of State. Run your proposed name through the Secretary of State’s business database before you do anything else. A name that is too close to an existing entity will be rejected at filing.1Justia. Colorado Code 7-90-601 – Entity Name

The name also has to carry a designator identifying the business as an LLC. Colorado accepts a broad set of options, including “Limited Liability Company,” “LLC,” “L.L.C.,” “Ltd. Liability Company,” “Limited,” and “Ltd.” You cannot use terms that would imply the LLC is a bank or insurance company without the licensing to back them up.1Justia. If you have a name you want but aren’t ready to file, you can reserve it with the Secretary of State for $25. The reservation holds the name for 120 days.

Line Up a Registered Agent

Every Colorado LLC needs a registered agent in place before any formation document is filed. The agent is the person or company authorized to receive legal papers, tax notices, and official correspondence from the state on the LLC’s behalf.2Justia. Colorado Code 7-90-701 – Registered Agent

The agent must be either an individual at least 18 years old who lives or works in Colorado, or a business entity authorized to operate in the state. Either way, the agent needs a physical Colorado street address. A P.O. box doesn’t work, because a process server has to be able to hand-deliver documents in person. You can serve as your own registered agent if you have a qualifying address. Many owners hire a commercial registered agent service instead, for privacy and reliability.

File the Articles of Organization Online

The Articles of Organization is the document that officially creates your LLC. In Colorado it is filed as Form 201, and only through the Secretary of State’s online portal. Paper filings are not accepted for new LLC formations.3Colorado Secretary of State. Business FAQs – Filing

The form asks for:

  • The full legal name of the LLC, including one of the required designators.
  • The physical and mailing addresses of the LLC’s principal office.
  • The name and Colorado street address of your registered agent, with confirmation that the agent has consented to the appointment.
  • Whether the LLC is member-managed (all owners participate in running the business) or manager-managed (designated individuals handle operations).
  • The name of the organizer forming the LLC.

The management choice matters more than people expect. In a member-managed LLC, every owner has authority to bind the company in contracts and day-to-day decisions. In a manager-managed LLC, that authority is limited to appointed managers, which works better when some owners are passive investors. Whichever structure you pick is recorded in the state’s database, and third parties such as banks may rely on it.4Colorado Secretary of State. Articles of Organization LLC Help

What It Costs and How Fast It Clears

The filing fee is $50, paid by credit card or prepaid account at submission. Colorado processes filings immediately in most cases. If the system finds no errors, the LLC is approved right away and you can download your Certificate of Organization and a copy of the filed document as soon as the transaction completes.3Colorado Secretary of State. Business FAQs – Filing

After filing, search the state’s business database to confirm your LLC shows a status of “Good Standing.” Save the Certificate of Organization. Banks, lenders, and landlords will ask for it.

Get an EIN From the IRS

An Employer Identification Number is essentially a Social Security number for your business. The IRS issues EINs at no charge. Apply after your LLC is officially formed with the state; applying before the LLC exists can delay processing.5Internal Revenue Service. Get an Employer Identification Number

The IRS online application is the fastest route and issues an EIN immediately on completion. You will need the Social Security number or individual taxpayer identification number of the “responsible party,” typically the primary owner or manager. The application takes about 15 minutes, and the session expires after 15 minutes of inactivity with no way to save progress.

A multi-member LLC needs an EIN. A single-member LLC can technically use the owner’s Social Security number for tax purposes, but getting a separate EIN is still the better move. It keeps your personal number off invoices and vendor forms, and most banks require one to open a business account.

Pick Your Federal Tax Treatment

The IRS does not recognize “LLC” as a tax classification. It assigns your LLC a default tax status based on how many members it has. A single-member LLC is treated as a “disregarded entity,” meaning its income and expenses flow onto your personal tax return, usually on Schedule C. A multi-member LLC is treated as a partnership, filing Form 1065 with members reporting their shares on Schedule K-1.6Internal Revenue Service. Limited Liability Company (LLC)

You are not locked into the default. An LLC can elect to be taxed as a C-corporation by filing Form 8832, or as an S-corporation by filing Form 2553. The S-corp election is popular with profitable LLCs because it can reduce self-employment taxes, but it carries strict eligibility rules and a tight deadline. A newly formed LLC generally has two months and 15 days from its start date to file Form 2553 if it wants the election to apply from day one.6Internal Revenue Service. Register for Colorado Taxes If They Apply

Colorado has a flat state income tax, and LLC members generally report their share of business income on their Colorado individual returns. The state does not impose a separate franchise tax or annual privilege tax on LLCs.

If your LLC sells tangible goods or certain services, you need a sales tax license from the Colorado Department of Revenue. Colorado uses a destination-based sales tax system with state, county, and municipal layers, so the total rate depends on where the sale happens. Apply for the license through the Department of Revenue’s online system before your first taxable sale.7Colorado Department of Revenue. How to Apply for a Colorado Sales Tax License

If you have employees, you also need to register for state income tax withholding and unemployment insurance through the Department of Revenue and the Division of Labor and Employment.

Write an Operating Agreement

An operating agreement is a private contract among the LLC’s members that governs how the business runs internally. Colorado does not require you to file it with the state and there is no state-mandated template. Colorado law gives LLC members wide freedom to structure the agreement however they see fit.8Justia. Colorado Code 7-80-108 – Effect of Operating Agreement

Even for a single-member LLC, a written operating agreement is worth the effort. Without one, Colorado’s default LLC statutes fill the gaps, and those defaults may not match what you want. A solid agreement typically covers capital contributions, how profits and losses are allocated, voting rights, procedures for admitting or removing members, and how the LLC can be dissolved. Banks routinely ask for a copy when you open a business account, and it is one of the first documents a court looks at if members end up in a dispute.

Keep the LLC in Good Standing

Colorado requires every LLC to file a periodic report with the Secretary of State. The report costs $25 online and is due annually during the month assigned to your LLC at formation. Miss the end of your report month and the LLC becomes “noncompliant”; you then have through the end of the second month after that to file a late report with a $50 penalty before the LLC’s status changes to “delinquent.”9Colorado Secretary of State. Business FAQs – Delinquency

Delinquent status is more than a label. A delinquent LLC risks administrative dissolution, meaning the state cancels the business entity. Reinstating a dissolved LLC is possible but adds cost and hassle. Set a calendar reminder a few weeks before your report month and file early.

The report itself is straightforward. It confirms the LLC’s current principal address, registered agent, and management information.

A Note on Federal Beneficial Ownership Reporting

The Corporate Transparency Act originally required most LLCs to file a Beneficial Ownership Information report with the Financial Crimes Enforcement Network. As of March 2025, an interim final rule exempted all entities formed in the United States from that requirement. Only companies formed under foreign law and registered to do business in a U.S. state are currently required to file.10FinCEN.gov. Beneficial Ownership Information Reporting

If your LLC is a domestic Colorado entity, you do not currently need to file a BOI report. This area has been in flux due to litigation and regulatory changes, so check FinCEN’s website periodically to confirm the exemption is still in place.

Open a Business Bank Account

Keeping personal and business finances in separate accounts is the most basic step for protecting your personal liability. If you commingle funds, a court may “pierce the veil” and hold you personally responsible for business debts, defeating the purpose of forming an LLC.

To open a business bank account, you will typically need your Certificate of Organization, your EIN confirmation letter, a government-issued photo ID, and your operating agreement or another document identifying the LLC’s members or managers. Some banks also verify active status through the state’s online database, so make sure the filing is complete and showing “Good Standing” before you go in.
