You cannot start an LLC in Illinois for free. The Secretary of State charges a mandatory $500 filing fee for the Articles of Organization, and no formation service, promo code, or workaround removes it.1Illinois Secretary of State. Limited Liability Company Forms and Fee Schedule What you can do is handle every other part of the process yourself at no cost, which is where the “free” in DIY filing actually lives. Choosing your name, acting as your own registered agent, filing the paperwork, getting your federal tax ID, and writing your operating agreement all cost nothing when you do them yourself. Skipping a paid formation service saves anywhere from $50 to several hundred dollars on top of the state fee.
The $500 You Can’t Avoid
The filing fee for the Articles of Organization is $500 whether you submit online or by mail.1Illinois Secretary of State. Limited Liability Company Forms and Fee Schedule Expedited processing adds another $100 if you need it. Online filings through the Secretary of State’s portal are typically processed within one to two business days, so most people can skip the expedite fee and still get a quick turnaround. Paper filings mailed to the Department of Business Services in Springfield take considerably longer.
Set your budget around the $500 figure plus the $75 annual report you will owe starting next year. Everything after that is optional.
Pick a Name That Will Actually Clear
Your LLC name must end with “Limited Liability Company,” “LLC,” or “L.L.C.” The Secretary of State will reject your filing outright without one of those designators.2Illinois General Assembly. Illinois Compiled Statutes 805 ILCS 180/1-10 – Limited Liability Company Name It also has to be distinguishable from every other LLC, corporation, and limited partnership already on file. Minor variations that look confusingly similar to an existing name will get bounced, so run your choice through the Secretary of State’s business name database before you file.
Certain words are off-limits or restricted. You cannot use “Corporation,” “Corp.,” “Incorporated,” “Inc.,” “Ltd.,” “Co.,” “Limited Partnership,” or “L.P.” in an LLC name.2Illinois General Assembly. Illinois Compiled Statutes 805 ILCS 180/1-10 – Limited Liability Company Name Words like “bank,” “insurance,” “surety,” and “underwriters” require written permission from the relevant state regulator before the Secretary of State will accept the filing.3Legal Information Institute. Illinois Administrative Code Title 14, 178.165 – Restricted and Professional Words “Trust” is restricted under the Corporate Fiduciary Act and needs separate approval too.
Be Your Own Registered Agent
Every Illinois LLC needs a registered agent with a physical street address in the state. The agent accepts lawsuits, legal notices, and official government mail on behalf of your business. A P.O. Box does not qualify. The agent has to be reachable at that address during normal business hours, because if the state or a court cannot serve papers on your agent, the Secretary of State can accept service on your behalf and you might not find out about a lawsuit until a default judgment has been entered against you.4Illinois General Assembly. Naming yourself is the free option, and for a single-member LLC run out of a home office, it is usually fine. The trade-off is that your home address becomes part of the public record, and you need to be physically present during business hours to accept hand-delivered documents. A commercial registered agent service runs $50 to $300 per year and keeps your personal address off public filings. Pay for one only if you travel often or care about keeping your home address private.
File the Articles of Organization Yourself
The Articles of Organization is the document that legally creates your LLC. In Illinois, it is Form LLC-5.5, filed through the Secretary of State’s online portal or on paper from the Secretary of State’s website.5Illinois Secretary of State. LLC Organization Instructions The form asks for:
- Your LLC name, with the required designator
- Principal place of business (a physical address where company records are kept, inside or outside Illinois)
- Registered agent name and Illinois street address
- Business purpose (most filers use the general-purpose clause, which allows any lawful business)
- Management structure (member-managed or manager-managed)
- Duration (perpetual unless you specify an end date)
- Organizer name and address
All of these fields are required by statute.6Illinois General Assembly. Illinois Compiled Statutes 805 ILCS 180/5-5 – Articles of Organization If you want the LLC to exist starting on a future date rather than the filing date, you can specify a delayed effective date. Double-check the registered agent’s name and the principal office address before submitting; errors there will cause the state to send the form back.
Member-Managed or Manager-Managed
Under Illinois law, member-managed is the default. Every owner has the authority to make decisions and sign contracts on behalf of the company.7Illinois General Assembly. Illinois Compiled Statutes 805 ILCS 180/1-5 – Definitions A manager-managed LLC concentrates that authority in one or more designated managers, who may or may not be owners.
Sole owner? Pick member-managed. For a multi-member LLC where some owners are passive investors and others handle operations, manager-managed keeps decision-making with the people actually doing the work. Picking the wrong structure can create headaches when a silent partner inadvertently binds the company to a contract.
Once the state approves your filing, you get a file-stamped copy of the Articles of Organization. Keep it. You will need it to open a bank account and prove the LLC exists.
Get Your EIN Free from the IRS
An Employer Identification Number is a nine-digit federal tax ID, and it is free directly from the IRS. Apply online at irs.gov and you get the number immediately. Do not pay a third-party site for this. The IRS does not charge anything, ever.8Internal Revenue Service. Get an Employer Identification Number
Multi-member LLCs always need an EIN because the IRS treats them as partnerships by default. A single-member LLC with no employees technically does not need one and can use your personal Social Security number for federal tax purposes, but most banks require an EIN to open a business checking account, so getting one is worth the five minutes.9Internal Revenue Service. Single Member Limited Liability Companies
Timing matters. The IRS asks you to form your entity with the state before applying. File your Articles of Organization first, wait for approval, then apply for the EIN.8Internal Revenue Service. Get an Employer Identification Number
Write Your Own Operating Agreement
Illinois does not require you to file an operating agreement with the state. The statute uses permissive language: members “may” enter into one.10Illinois General Assembly. Illinois Compiled Statutes 805 ILCS 180/15-5 – Operating Agreement Skipping it anyway is one of the most common mistakes new owners make. Without one, the default rules in the Illinois Limited Liability Company Act govern your business, and those defaults may not match what you and your co-owners actually agreed to.
At a minimum, cover each member’s ownership percentage, how profits and losses are divided, who has decision-making authority, how new members can join, how a member can leave or be bought out, and what happens if the LLC dissolves. For a single-member LLC, a simple one-page agreement establishing that you are the sole owner and manager is enough to show the LLC is a separate entity from you personally, which strengthens the liability protection you formed the LLC to get.4Illinois General Assembly. Budget $75 a Year to Stay Open
Illinois requires an annual report and a $75 fee each year to keep your LLC in good standing. The report is due by the first day of the anniversary month of your LLC’s formation. Form on March 15, and your report is due each year in early March.11Illinois Secretary of State. Information for Filing an LLC Annual Report Online
Missing the deadline triggers a $100 late penalty. Keep ignoring it and the Secretary of State can administratively dissolve your LLC, at which point it loses its legal existence and you lose the liability protection. Reinstating a dissolved LLC costs $200 in filing fees on top of $100 for each missed annual report, and you still have to file every report you skipped. File on time and the ongoing cost stays at $75.
What a Formation Service Would Charge
Formation services charge $50 to several hundred dollars on top of the state’s $500 fee for doing the same paperwork you can do yourself. What they actually sell is convenience: filling in the form fields for you, serving as your registered agent in year one, and often bundling an operating agreement template. None of that is work you cannot do in an afternoon on your own.
Where paying makes sense is narrow. If you want a commercial registered agent for privacy reasons, that service alone runs $50 to $300 per year. If you have multiple members with a complicated profit-split or buyout arrangement, a lawyer-drafted operating agreement is worth more than a template. Everything else — the name search, the Articles of Organization, the EIN, filing the annual report — stays free when you do it yourself.
One last note on federal reporting: as of March 2025, entities formed in the United States are exempt from Beneficial Ownership Information reporting under an interim final rule from FinCEN, so an Illinois LLC does not currently need to file a BOI report.12FinCEN.
