How to Start an LLC in Illinois for Free: Form LLC-5.5 and $150 Filing

The honest answer to how to start an LLC in Illinois for free is that you can’t get all the way to free, because the Secretary of State charges a mandatory $150 fee to file your Articles of Organization.1Illinois General Assembly. Illinois Code 805 ILCS 180/50-10 – Fees What you can do is skip every other cost. No lawyer, no formation service, no paid registered agent, no paid EIN provider. Handle each step yourself and $150 is the whole bill.

Pick a Name That Will Actually Clear

Your LLC name has to be distinguishable from every business entity already on file with the Illinois Secretary of State, including corporations, reserved names, and assumed business names.2Illinois General Assembly. Illinois Code 805 ILCS 180/1-10 – Limited Liability Company Name Cosmetic tweaks don’t count. Swapping “LLC” for “Limited Liability Company,” or changing “and” to “&,” won’t make an otherwise identical name pass.

The name also has to carry a designator: “LLC,” “L.L.C.,” or “Limited Liability Company.” Search the Secretary of State’s business database for free before you file. Illinois does sell a 90-day name reservation for $25, but if you’re going straight to filing, skip it. It’s optional and adds nothing to the actual formation.

Be Your Own Registered Agent

Every Illinois LLC needs a registered agent with a physical street address in the state to receive legal papers and government notices.3Justia Law. Illinois Code 805 ILCS 180 Article 5 – Organization A P.O. box doesn’t qualify. This is the single biggest place people spend money they don’t have to spend. Commercial registered agent services run roughly $49 to $300 per year.

You can serve as your own agent for nothing. The trade-off is that you need to be available at the listed address during normal business hours, and that address becomes part of the public record. If you’re running the business from home and comfortable with both of those, name yourself.

Fill Out Form LLC-5.5

Form LLC-5.5, the Articles of Organization, is the one-page document that actually creates your LLC. Download the current version straight from the Secretary of State’s website. You’ll enter:

  • The full legal LLC name, with the designator included
  • The registered agent’s name and Illinois street address
  • A brief business purpose; “any lawful business” is accepted
  • Management structure: member-managed, where all owners run day-to-day operations, or manager-managed, where designated people run things while other owners stay passive
  • The name and address of each organizer

Every organizer signs and dates the form. Print or type clearly. Illegible or incomplete forms come back, which delays you. The management box you check becomes the default rule for how your LLC operates under Illinois law, so think about it before you file.

File the Articles and Pay $150

You have two ways to submit:

Online

The Secretary of State runs an electronic filing system. You enter the information, review a confirmation screen, and pay by credit card (Visa, MasterCard, Discover, or American Express). Online filings process faster than paper.

By Mail

Print the completed form and mail it to the Department of Business Services in Springfield with a check or money order for $150 payable to the Illinois Secretary of State. Cash isn’t accepted.4ILSOS.gov. Limited Liability Company Publications and Forms A missing or wrong payment kicks the whole application back. Mail filings usually take one to two weeks.

Once approved, you’ll get a file-stamped copy of your Articles back. Keep it. That’s your proof the LLC exists.

Get a Free EIN From the IRS

An Employer Identification Number is the nine-digit federal tax ID your business uses to open a bank account, file returns, and hire employees. The IRS issues EINs at no charge.5Internal Revenue Service. Get an Employer Identification Number Ignore any site that wants to charge you for one; those are third parties reselling a free government service.

Apply online at irs.gov once your LLC is officially formed with the state. The application takes about ten minutes and the number is issued at the end of the session.6Internal Revenue Service. Employer Identification Number

Write Your Own Operating Agreement

An operating agreement is an internal document covering how profits and losses get split, how decisions are made, and what happens when a member leaves or joins. Illinois doesn’t require you to have one. Without an agreement, the default rules in the Limited Liability Company Act fill in the blanks.7ILSOS.gov. Limited Liability Company Act – Summary Those defaults may not be what you actually want.

Even a single-member LLC benefits from having one, because it reinforces the legal separation between you and the business. Courts sometimes look at whether an LLC observed proper formalities when deciding whether to hold an owner personally liable. You don’t file the operating agreement anywhere. Sign it and keep it with your records.

Register for Illinois Taxes Only If You Have To

Not every LLC needs to register with the Illinois Department of Revenue. Registration is done through Form REG-1, filed electronically on the MyTax Illinois portal or by mail.8Illinois Department of Revenue. Business Registration You need to register if your LLC:

  • Sells physical goods and needs to collect Illinois sales tax
  • Hires employees and needs to withhold Illinois income tax from wages
  • Runs a hotel, parking lot, or car rental business, which carry special occupation taxes

Registration itself doesn’t add a formation cost, but if your activities trigger it, budget for the tax collection and filing obligations that follow.

Check for Professional and Local Licenses

Forming an LLC creates a legal entity. It doesn’t authorize you to practice a regulated profession. The Illinois Department of Financial and Professional Regulation licenses more than 100 professions, including architects, barbers, cosmetologists, engineers, nurses, pharmacists, and real estate professionals.9Illinois Department of Financial and Professional Regulation. Professional Licensing in Illinois If your work falls into one, you need the license before you operate, and the fee is on top of the LLC filing.

Cities and counties often add their own general business license or zoning permit. Chicago, for instance, requires a city business license matching the business activity. Check with your municipality directly. These costs vary widely.

File the $75 Annual Report Every Year

Once your LLC exists, keeping it alive costs $75 a year.1Illinois General Assembly. Illinois Code 805 ILCS 180/50-10 – Fees Illinois requires an annual report filed within the 60-day window before the first day of your LLC’s anniversary month, meaning the month your Articles were originally approved.10Illinois General Assembly. Illinois Code 805 ILCS 180/50-1 – Annual Reports Formed in September? The report is due between early July and September 1 each year. File and pay online with a credit card or electronic funds transfer.

Miss the deadline and Illinois adds a $100 penalty, plus another $100 for each year you stay delinquent, and the Secretary of State will refuse to process any other filings for your company until you clear the default.11Illinois General Assembly. Illinois Code 805 ILCS 180/50-15 – Penalty Stay delinquent long enough and the state can administratively dissolve the LLC.12Illinois General Assembly. Illinois Code 805 ILCS 180/35-25 – Grounds for Administrative Dissolution Reinstatement is possible but adds fees and paperwork. Set a calendar reminder two months out from your anniversary month and this stays a non-issue.
