How to Start an LLC in Iowa: Name, Agent, and Filing

To start an LLC in Iowa, you file a Certificate of Organization with the Iowa Secretary of State and pay a $50 fee. If you file online through the Fast Track Filing portal, the LLC can be legally active the same day. A handful of follow-up steps — choosing a name, appointing a registered agent, drafting an operating agreement, getting a federal tax ID, and registering for state taxes — round out the setup. Iowa’s LLC statute is Chapter 489 of the Iowa Code, the Uniform Limited Liability Company Act.

Choose a Name for Your LLC

Under Iowa Code section 489.112, your LLC’s name has to be distinguishable from every other business entity already on file with the Secretary of State, and it must include “Limited Liability Company,” “L.L.C.,” or “LLC.” Filings without one of those designators are rejected.

One boundary to know: if you’re forming the LLC to practice a licensed profession — law, medicine, accounting, architecture, engineering, pharmacy, nursing, dentistry, or one of roughly two dozen other regulated fields — Iowa requires a Professional Limited Liability Company instead. The name must include “Professional Limited Liability Company,” “PLLC,” or “P.L.L.C.,” and the certificate must state the specific profession.2Iowa Legislature. Appoint a Registered Agent

Every Iowa LLC must designate a registered agent before the state will accept its formation documents. Section 489.115 requires the agent to have a physical place of business in Iowa and be available to receive lawsuits, subpoenas, and government notices for the company.2Iowa Legislature. An owner or employee can serve as agent if they live in Iowa, are at least 18, and keep an office in the state.3Iowa Secretary of State. What Is a Registered Agent? Commercial registered agent services typically charge between $100 and $300 per year if you’d rather not be tied to a fixed address during business hours. Settle this before you draft the certificate, because the agent’s name and Iowa address go directly on it.

File the Certificate of Organization

  • The full legal name of the LLC, including its “LLC” or “Limited Liability Company” designator.
  • The street and mailing addresses of the principal office. This does not have to be in Iowa.
  • The name and Iowa street and mailing addresses of the registered agent.

Nothing else is mandatory. You can add information such as the names of initial members or managers, but the certificate is valid without it. Paper filings mailed to the Secretary of State take significantly longer. Your LLC exists as a separate legal entity from the moment the state records the certificate as effective.

Draft an Operating Agreement

Iowa doesn’t require you to file an operating agreement with any state agency, but it’s the most important internal document your LLC will have. It governs how the business actually runs: who makes decisions, how profits and losses split among members, what happens when a member leaves, and how the company winds down.6Iowa Legislature. At a minimum, the agreement should say whether the LLC is member-managed (all owners run it) or manager-managed (designated individuals run it), what each member contributed and owns, how distributions work, and how new members are admitted or existing ones bought out. Without a written agreement, Iowa’s default statutory rules fill the gaps, and the defaults may not match what you want. Keep the agreement with your company records and update it when the business structure changes.

Get an Employer Identification Number

Your LLC needs a federal Employer Identification Number before it can open a business bank account, hire employees, or file tax returns. The IRS issues EINs for free through its online application, and the number appears immediately once you finish.7Internal Revenue Service. File your Certificate of Organization first, because the IRS requires the LLC to be legally formed before you apply. The online application runs Monday through Friday, 7 a.m. to 10 p.m. Eastern. The EIN is permanent and stays with the LLC for the life of the entity, even if ownership changes.

Register for Iowa State Taxes

Which state registrations you need depends on what your LLC does.

If your LLC sells taxable goods or services, you need an Iowa sales and use tax permit. Registration is free through the Iowa Department of Revenue’s GovConnectIowa portal, and you can begin collecting tax as soon as you submit the application; the confirmation letter follows.8Department of Revenue. If you hire employees, two more registrations apply. Register for Iowa income tax withholding through the Department of Revenue, and register for unemployment insurance with Iowa Workforce Development at myIowaUI.org once you’ve paid wages in any calendar quarter.9Iowa Workforce Development. Keep the LLC in Good Standing

Iowa requires every LLC to file a biennial report with the Secretary of State in odd-numbered years. The filing window opens January 1 and the deadline is April 1. The fee is $30 online or $45 by paper.5Iowa Secretary of State. Missing the report has real consequences. If your LLC goes more than 60 days past the deadline, the Secretary of State can begin proceedings to administratively dissolve the company.10Iowa Legislature. Iowa Code 489.708 – Grounds for Administrative Dissolution Letting your registered agent lapse or failing to pay required state fees triggers the same risk. Administrative dissolution doesn’t end the LLC outright — it enters a winding-up phase — but it strips the company’s authority to conduct business until you reinstate it.

Keep your registered agent information current, too. If your agent resigns or moves, update the Secretary of State’s records within 60 days.10Iowa Legislature. Iowa Code 489.708 – Grounds for Administrative Dissolution

Federal Beneficial Ownership Reporting

The Corporate Transparency Act originally required most new LLCs to file a Beneficial Ownership Information report with the Financial Crimes Enforcement Network. In March 2025, FinCEN issued an interim final rule exempting all U.S.-created entities from the requirement.11FinCEN. Foreign entities registering to do business in Iowa may still have to report depending on their ownership structure.12Federal Register.
