You can start an LLC in Kansas by filing Articles of Organization with the Secretary of State for $85 online, and the filing is typically processed within one business day. Kansas LLCs operate under the Kansas Revised Limited Liability Company Act, which gives owners personal liability protection along with pass-through taxation and flexible management.1Justia. Kansas Statutes 17-7662 – Citation of Act The full path from idea to open business runs through six practical steps and one recurring compliance deadline.
Pick a Name That Meets Kansas Rules
Your LLC name has to end with one of these designators: “Limited Liability Company,” “Limited Company,” “LLC,” “LC,” “L.L.C.,” or “L.C.”2Justia. Kansas Statutes 17-7920 – Name Requirements for Limited Liability Companies It also has to be distinguishable from every other entity already on file with the Secretary of State. Run the name through the state’s free business search before you get attached to it.3Kansas Secretary of State. Articles of Organization Domestic Limited Liability Company Instructions
If a similar name is already registered, Kansas lets you use it anyway if the other business signs a Consent to Use of Similar Business Name (Form CN).4Kansas Secretary of State. Articles of Organization Domestic Limited Liability Company That May Create Series Not ready to file yet? You can hold a name for 120 days through a Temporary Reservation of Business Entity Name. The reservation cannot be renewed, so those 120 days are a hard deadline to file the Articles of Organization or lose the hold.
Appoint a Resident Agent
Every Kansas LLC must name a resident agent to accept legal documents and official notices.5Kansas Office of Revisor of Statutes. Kansas Code 17-7673 The agent can be a Kansas resident or a business entity authorized to operate in Kansas. Either way, the agent needs a physical street address in the state and has to be reliably available during business hours. P.O. boxes do not qualify.3Kansas Secretary of State. Appointing yourself is fine if you have a Kansas address and will be around to receive things. The tradeoff is that your address goes on the public record. Commercial registered agent services typically charge $100 to $300 per year to keep your home address off the filing.
File the Articles of Organization
The Articles of Organization is the document that creates your LLC. For a standard filing, use Form DL through the Secretary of State’s KanAccess online portal or mail a paper form to Topeka.6Kansas Secretary of State. Register a Business Kansas also has separate forms for series LLCs (Form LAO), professional LLCs (Form PDL), and public benefit LLCs (Form PBL) if any of those fit your situation.
The statute requires three things in the articles: the LLC’s name, the street address of its registered office in Kansas, and the name of its resident agent.5Kansas Office of Revisor of Statutes. Kansas Code 17-7673 You’ll also list at least one organizer with a signature and a mailing address for correspondence. Extra provisions are optional.
Current Filing Fees
Kansas dropped LLC formation fees in 2026. The current cost is $85 online or $90 by mail, down from $160 and $165.3Kansas Secretary of State. Articles of Organization Domestic Limited Liability Company Instructions Online filings are generally processed within one business day. Paper filings sent to 915 SW Harrison Street, Topeka, KS 66612 take several business days. Once the state approves the filing, you get a certified copy of your articles, which is proof the LLC legally exists.
Write an Operating Agreement
The operating agreement is an internal contract among members that sets the rules for running the business. Kansas treats it as the governing authority for the LLC’s internal affairs, but you don’t file it with the state.7Justia. Kansas Statutes 17-7672 – Interpretation and Enforcement of Operating Agreement It lives in your records.
Skip it and statutory defaults fill the gaps. Under the Kansas Revised LLC Act, those defaults generally tie voting rights and distributions to each member’s proportional ownership. That may work for a two-person LLC with equal contributions. For anything more layered, a written agreement lets you set the terms yourself. At a minimum, cover:
- Management structure: member-managed or manager-managed
- Capital contributions at formation and whether future contributions can be required
- How profits and losses are allocated among members
- Transfer restrictions when a member wants to sell out or a new member joins
- Dissolution procedures for winding the business down
Banks and lenders sometimes ask to see the agreement before opening a business account or extending credit. Even for a single-member LLC, having one strengthens the legal separation between you and the business, which is the point of forming an LLC in the first place.
Get a Federal EIN
An Employer Identification Number is a nine-digit federal tax ID from the IRS. You need one if your LLC has more than one member, has employees, or will file excise tax returns.8Internal Revenue Service. Employer Identification Number Single-member LLCs often get one anyway because most banks require it to open a business account, and it keeps your Social Security number off business paperwork.
The IRS online EIN application issues the number immediately. You can also submit Form SS-4 by mail or fax, which takes several weeks.9Internal Revenue Service. Instructions for Form SS-4 The application asks for the LLC’s legal name, the responsible party’s name and SSN or ITIN, and basic business details. There’s no fee.
How the IRS Will Tax Your LLC
The IRS doesn’t tax LLCs as their own entity type. It assigns a default classification based on member count. A single-member LLC is a disregarded entity, and income and expenses flow to your personal return on Schedule C.10Internal Revenue Service. Single Member Limited Liability Companies A multi-member LLC defaults to partnership taxation, with income passing to each member’s return via Schedule K-1.11Internal Revenue Service. LLC Filing as a Corporation or Partnership
Either type can elect corporate taxation by filing Form 8832, and profitable LLCs sometimes elect S-corporation treatment on Form 2553 to reduce self-employment taxes on active owners. Whether that math works depends on your income and how you pay yourself, so this is an area where a tax professional earns their fee.
Register for Kansas State Taxes
Once the LLC exists federally, you likely need to register with the Kansas Department of Revenue. The department’s Customer Service Center runs a questionnaire to identify which state taxes apply.12Kansas Department of Revenue. Business Registration Common ones:
- Sales tax, if you sell taxable goods or services in Kansas
- Withholding tax, if you have employees and need to withhold state income tax from wages
- Compensating use tax, if you buy goods from out of state for use in Kansas without paying Kansas sales tax
You can register on Form CR-16 (Kansas Business Tax Application) or through the online portal.13Kansas Department of Revenue. CR-16 Business Tax Application You’ll need your federal EIN to complete it. If you hire employees, you also need to register with the Kansas Department of Labor for unemployment insurance tax.14State of Kansas Department of Labor. Unemployment Tax
Know When Workers’ Comp Kicks In
Kansas requires workers’ compensation coverage for any non-agricultural employer with more than $20,000 in gross annual payroll.15State of Kansas Department of Labor. Workers Compensation Overview That figure includes wages paid to all workers, inside and outside Kansas. LLC members and partners are excluded from the requirement for themselves, but every other employee counts toward the threshold.
Below $20,000, coverage is optional. The penalty for failing to carry required coverage is twice your annual premium or $25,000, whichever is greater.15State of Kansas Department of Labor. Workers Compensation Overview
File the Biennial Information Report
Kansas requires every LLC to file a business entity information report every two years. The deadline is April 15. Whether you file in even or odd years depends on when the LLC was formed: even-year formations report in even years, odd-year formations in odd years.16Kansas Office of Revisor of Statutes. Kansas Code 17-76,139 Current fees are $90 online and $110 by paper, per the 2026 filing instructions.17Kansas Secretary of State. Instructions for Filing an Information Report – Limited Liability Company The report asks for the LLC’s name, members holding at least 5% ownership, and resident agent details.
What Happens If You Miss It
If the report isn’t filed within 90 days of April 15, the Secretary of State forfeits your Articles of Organization, revoking your authority to do business in Kansas.18Kansas Legislature. Kansas Code 17-7510 The state does mail a warning notice within 60 days of the due date.
Reinstatement is possible but not cheap. You file a Certificate of Reinstatement plus every missing information report going back up to 10 years. Reinstatement runs a $35 filing fee, an $85 penalty, and $110 for each past-due report.19Kansas Secretary of State. Certificate of Reinstatement – Limited Liability Company One missed report costs $230 to fix; five missed reports run $670.20Justia. Kansas Statutes 17-76,146 – Reinstatement of Canceled or Forfeited Articles of Organization or Authority to Do Business Put the April 15 filing year on your calendar and treat it like tax day.
Local Licenses and the FinCEN Boundary
Forming with the state doesn’t authorize you to operate in a specific city or county. Many Kansas municipalities require a general business license, and activities like food service, liquor sales, and construction carry separate permit or licensing requirements at both the city and state level. Check with your city or county clerk before you open.
One point worth clearing up: the Corporate Transparency Act originally required most LLCs to file a Beneficial Ownership Information report with FinCEN, but an interim final rule published on March 26, 2025 exempted all U.S.-formed entities. Only companies formed under foreign law and registered to do business in a U.S. state must now file.21FinCEN.gov. Beneficial Ownership Information Reporting A domestic Kansas LLC currently has no BOI filing obligation, though FinCEN has indicated it may issue further rulemaking.
