How to Start an LLC in Maine: Steps, Fees & Annual Report

To start an LLC in Maine, file a Certificate of Formation (Form MLLC-6) with the Secretary of State and pay the $175 filing fee. Before you file, you need a compliant business name and a registered agent with a Maine street address. After filing, you’ll want an operating agreement, an EIN from the IRS, any required state tax registrations, and a calendar reminder for the June 1 annual report that keeps your LLC in good standing.

Pick a Compliant Name

Your LLC name has to include one of the required designators: “limited liability company,” “limited company,” “L.L.C.,” “LLC,” “L.C.,” or “LC.” A low-profit LLC can use “L3C” or “l3c” instead. The abbreviations “Ltd.” and “Co.” are also allowed in place of the full words.1Maine State Legislature. Maine Code Title 31 – Section 1508 Limited Liability Company Name

The name also has to be distinguishable on the records of the Secretary of State from any existing corporation, LLC, limited partnership, or other registered entity in Maine.1Maine State Legislature. Maine Code Title 31 – Section 1508 Limited Liability Company Name Distinguishable doesn’t mean completely different. It means a clerk reviewing state records could tell your entity apart from every other one. Run a free name availability check through the Secretary of State’s online corporate search before you commit.

Certain words that imply government affiliation or regulated professional services may require additional approval or proof of licensing before the state accepts them. If you want to trade under a different name later, that goes through a separate assumed-name filing.

Not ready to file yet? You can reserve a name for 120 days. The reservation gives you exclusive use of that name while you sort out the rest of your paperwork, but it can’t be renewed, and the clock starts as soon as the Secretary of State approves it.2Maine Legislature. Appoint a Maine Registered Agent

Every Maine LLC must keep a registered agent in the state to receive lawsuits, government notices, and other official documents. Maine recognizes two categories: a commercial registered agent (a service company registered with the state to represent multiple entities) and a noncommercial registered agent, typically an individual connected to the business.3Maine State Legislature. Maine Code Title 5 – Section 102 Definitions

The agent’s address has to be a real street address or rural route box number in Maine. A P.O. Box isn’t allowed.4Maine State Legislature. Maine Code Title 5 Chapter 6-A Model Registered Agents Act – Section 104 Addresses in Filings The reason is practical: this is where someone physically hands over legal papers when your LLC gets sued. If no one is at the address to accept service, you can lose a lawsuit without ever knowing it was filed.

You can serve as your own agent if you have a qualifying Maine address. Many owners hire a commercial service instead, which typically runs $99 to $249 per year. Using a service keeps your home address off public records and makes sure someone is available even when you travel or move.

File the Certificate of Formation

The Certificate of Formation (Form MLLC-6) is the document that brings your LLC into legal existence. Download the fillable PDF from the Secretary of State’s Bureau of Corporations page.5SOS – Maine.gov. Limited Liability Company Forms You’ll need to supply:

  • The full legal LLC name, including your chosen designator
  • The registered agent’s name, address, and type (commercial or noncommercial), matching the information on file with the state
  • The entity type: standard LLC, professional LLC, or L3C
  • An optional future effective date, or blank for immediate effect on processing
  • A signature and printed name from a member, manager, or other authorized person

Professional LLCs also have to identify the specific professional services the company will provide. The state returns incomplete or inconsistent forms, which pushes back your start date, so accuracy pays off.

Filing Method and Fees

Print the completed form and mail it to the Secretary of State, Bureau of Corporations, Elections and Commissions in Augusta, with the $175 filing fee.6Maine.gov. Certificate of Formation MLLC-6 Pay by check or money order made out to “Maine Secretary of State,” or by credit card using a separate voucher form from the Secretary of State’s website.5SOS – Maine.gov. Limited Liability Company Forms Maine also offers an online portal called Interactive Corporate Services for some business filings, though the primary documented path for the MLLC-6 is paper submission.

Expedited Processing

Standard processing takes several business days. A $50 surcharge gets you 24-hour (next business day) processing, and a $100 surcharge gets same-day processing.7Maine Secretary of State. Customer Contact Cover Letter – Expedited Filing Fees If you need to open a bank account or sign a lease on a tight timeline, the same-day option is usually worth it. Once approved, the Bureau returns a certified copy as proof of your LLC’s legal existence.

Write an Operating Agreement

Maine law treats the operating agreement as the document that controls how members relate to each other and to the LLC itself.8Maine State Legislature. Maine Code Title 31 – Section 1521 Limited Liability Company Agreement Scope Function and Limitations Where the agreement is silent, Maine’s default statutory rules fill the gap. You don’t file the operating agreement with the state. It’s an internal document. But without one, you’re stuck with whatever the statute says, which may not match how you actually want to run things.

The biggest decision the agreement makes is management structure. In a member-managed LLC, every owner participates in running the business and can bind the company. In a manager-managed LLC, members designate one or more people (who may or may not be members themselves) to handle operations while the other members act as passive investors. If you have silent partners, manager-managed is almost always the right choice. If everyone is hands-on, member-managed keeps things simpler.

A solid operating agreement also covers:

  • How profits and losses are allocated among members, which doesn’t have to follow ownership percentages
  • Voting thresholds: which decisions take a simple majority and which require unanimous consent
  • Capital contributions at formation and whether additional contributions can be required later
  • Transfer restrictions on member interests and the approvals required
  • Dissolution triggers such as a member’s death or withdrawal

Single-member LLCs benefit from one too. Courts are more likely to respect the separation between you and your LLC, which is the whole point of forming one, if you can show you treated it as a real entity with written governance rules.

Get an EIN and Handle Taxes

After the state approves your Certificate of Formation, apply for an Employer Identification Number (EIN) from the IRS. The EIN is a nine-digit tax ID you’ll need to open a bank account, hire employees, and file returns.9Internal Revenue Service. Employer Identification Number The IRS issues EINs for free through its online application. Form the LLC with the state first. The IRS requires that the entity already exist.10Internal Revenue Service. Get an Employer Identification Number

By default, the IRS treats a single-member LLC as a disregarded entity (taxed like a sole proprietorship) and a multi-member LLC as a partnership. In both cases, income flows through to the members’ personal returns rather than being taxed at the entity level. Maine follows that pass-through treatment for state income tax, so the LLC itself is a reporting entity, not a taxpaying one, and each member pays Maine income tax on their share of the profits.

Some owners elect S-corporation treatment by filing IRS Form 2553. It can lower self-employment tax when members pay themselves a reasonable salary, but there are strict eligibility rules and a tight deadline: no more than two months and 15 days after the beginning of the tax year the election takes effect.11Internal Revenue Service. Instructions for Form 2553 The math depends on how much the business earns and how much you draw as salary, so talk to an accountant before committing.

If your LLC sells tangible goods or certain taxable services in Maine, register for a sales tax account with Maine Revenue Services. Taxable services in Maine include hotel and lodging rentals, electricity transmission and distribution, vehicle and equipment rentals, and extended service contracts, among others. Out-of-state LLCs that sell into Maine must register once gross Maine revenue exceeds $100,000 in the current or previous calendar year.12Maine Revenue Services. Sales Use and Service Provider Tax FAQ Registration happens through the Maine Tax Portal.13Maine Tax Portal. Home Even if you don’t sell taxable goods, you may need to register if you hire employees, because Maine requires withholding state income tax and unemployment insurance contributions from wages.

File an Annual Report Every June 1

This is where new owners get burned. Maine requires every LLC to file an annual report to maintain good standing, and the deadline is June 1 each year.14SOS – Maine.gov. Filing an Annual Report The report updates your basic information on file with the Secretary of State: registered agent, principal office address, and the names of members or managers.

Miss the deadline and the consequences escalate. A late filing triggers a penalty on top of the standard fee. If you still don’t file, the Secretary of State will administratively dissolve your LLC.15Maine State Legislature. Maine Code Title 31 – Section 1667 Failure to File Annual Report Incorrect Report Penalties A dissolved LLC loses its legal authority to do business. The entity continues to exist for a limited time to wind up its affairs, but anyone who acts on behalf of a dissolved LLC risks personal liability for debts incurred during that period.

Reinstatement is possible by filing all delinquent reports, paying overdue fees and penalties, and meeting the reinstatement statute’s requirements. It cures most problems retroactively, but not all. If another entity claimed your LLC’s name while you were dissolved, you may not get it back.15Maine State Legislature. Beneficial Ownership Reporting: Domestic LLCs Are Exempt

The federal Corporate Transparency Act originally required most LLCs to file a Beneficial Ownership Information (BOI) report with FinCEN. In March 2025, FinCEN issued a rule removing that requirement for all entities created in the United States.16FinCEN.gov. The requirement now applies only to foreign entities registered to do business in a U.S. state.17FinCEN.gov. Frequently Asked Questions
