How to Start an LLC in North Carolina for Free

You cannot start an LLC in North Carolina for free. The Secretary of State charges a $125 filing fee for the Articles of Organization, and that cost is non-negotiable whether you file online or by mail. What you can do is get as close to free as the law allows by handling every other step yourself instead of paying an attorney or an online formation service to do it for you. Done directly, your total out-of-pocket on day one is $125.

What You’ll Actually Pay

Only one fee is mandatory to form the LLC itself. Everything else is optional spending that depends on your choices:

  • Articles of Organization filing fee: $125, payable to the North Carolina Secretary of State.
  • Name reservation: $30, optional, and usually a waste if you’re ready to file.
  • Registered agent: $0 if you serve as your own, or $50 to $300 per year for a commercial service.
  • Operating agreement: $0 if you draft it yourself.
  • EIN from the IRS: always free when you apply directly.
  • Annual report (ongoing): $200 by paper or $203 online, due every April 15th starting the year after formation.

Formation services and law firms layer their own charges on top of the same $125 the state collects, often an extra $150 to $500 or more. The free path means paying only the state and doing the paperwork yourself.

Pick a Name and Skip the Reservation Fee

Your LLC name has to be distinguishable from every other business entity already on file with the Secretary of State. It also has to include one of the statutory designators: “limited liability company,” “LLC,” “L.L.C.,” “ltd. liability co.,” “limited liability co.,” or “ltd. liability company.”1North Carolina General Assembly. North Carolina Code 55D – Article 3 – Section 55D-20 Most people just put “LLC” at the end.

Check availability using the free business search at sosnc.gov. Search close variations too, not just the exact spelling. If your name is available and you’re ready to file, there’s no reason to spend $30 reserving it. The reservation is only useful when you need to hold a name for a few weeks while you handle other details.

One limit worth knowing: registering the name with the state only blocks another North Carolina entity from filing under it. It doesn’t stop out-of-state companies from using the name, and it doesn’t give you trademark rights.

Be Your Own Registered Agent

Every North Carolina LLC must maintain a registered agent in the state to accept legal documents and official notices. The agent needs a physical business office in North Carolina that serves as the LLC’s registered office. A P.O. Box alone doesn’t satisfy the requirement, because the statute requires the registered agent’s business office and the registered office to be at the same physical location.2North Carolina General Assembly. North Carolina Code Chapter 55D – Registered Office and Registered Agent

Your agent can be an individual who lives in North Carolina or a business entity authorized to operate in the state.2North Carolina General Assembly. North Carolina Code Chapter 55D – Registered Office and Registered Agent If you live in the state and have a physical address where you can reliably receive mail during business hours, you qualify. Naming yourself costs nothing.

The tradeoff is privacy. Your address becomes part of the public record, and if anyone sues the LLC, the process server shows up at that address. If you work from home, travel often, or just don’t want your home address searchable, a commercial agent is the usual fix. That turns a free formation into an ongoing annual expense, so weigh it honestly before signing up.

Write Your Own Operating Agreement

North Carolina doesn’t require you to file an operating agreement with the state, and the law treats it as optional.3North Carolina General Assembly. North Carolina Code 57D – Article 2 – Section 57D-2-30 Skipping it anyway is a mistake. Without one, you’re stuck with the state’s default rules for how your LLC runs, and those defaults may not match what you and any co-owners actually want.

Multi-member LLCs need an operating agreement to spell out ownership percentages, how profits and losses are split, and what happens when a member wants out. Single-member LLCs still benefit from one. It reinforces the separation between you and the business, which is the whole point of forming an LLC. Banks often ask to see it when you open a business account.

At a minimum, cover:

  • Member names and ownership percentages.
  • Capital contributions from each member, whether cash, property, or services.
  • How profits and losses get allocated (not required to match ownership).
  • Management structure: member-managed or manager-managed.
  • Voting procedures and thresholds for major decisions.
  • Rules for transferring or selling a membership interest.
  • What triggers dissolution and how assets get distributed.

Templates are easy to find online. Read every clause and tailor it to your actual arrangement rather than signing a generic form.

What to Do After the LLC Is Formed

Federal Tax Classification

The IRS doesn’t have a dedicated LLC tax category. By default, a single-member LLC is treated as a “disregarded entity,” with all income and expenses passing through to your personal return. A multi-member LLC is treated as a partnership and files Form 1065, with each member reporting their share on their own return.6Internal Revenue Service. Single Member Limited Liability Companies The LLC itself owes no federal income tax; profits flow through to the members at individual rates.

You can elect S-corporation taxation later by filing Form 2553, which must be filed no more than two months and 15 days after the beginning of the tax year it’s supposed to take effect.7Internal Revenue Service. Instructions for Form 2553 It’s not automatically better. Payroll and extra returns add real cost, and most brand-new LLCs stick with the default until profits justify a second look.

State Tax Registration

Register with the North Carolina Department of Revenue if your activities require it. Hiring employees means setting up a withholding account; selling taxable goods or certain services means a sales and use tax account. Both are handled through the Department’s online portal at eservices.dor.nc.gov.

North Carolina repealed its general privilege license tax effective July 1, 2024, so most new LLCs don’t need to worry about it. Loan agencies, pawnbrokers, and check-cashing companies are the exceptions still subject to privilege licensing.

Open a Business Bank Account

Open a dedicated business account as soon as your EIN arrives. This protects your liability shield. Mixing personal and business funds gives a creditor or plaintiff an opening to argue the LLC is a sham and reach your personal assets. Banks typically want to see your approved Articles of Organization, your EIN confirmation letter, and photo ID.

Run every business dollar through that account, use a business debit or credit card, and pay yourself through documented transfers rather than pulling cash whenever you want it.

Annual Report

Every North Carolina LLC must file an annual report with the Secretary of State by April 15th each year, starting the year after formation. The fee is $200 by paper or $203 online. Miss the deadline and the state can administratively dissolve your LLC, which eliminates your liability protection until you reinstate. The report itself takes a few minutes; it just updates your principal office address, registered agent, and business description. Put the date on a calendar now.

Two Things That Are Not Part of Formation

Insurance isn’t required to form the LLC, but the LLC structure doesn’t cover property loss, customer injuries, or employee claims. North Carolina does require workers’ compensation coverage for any business with three or more employees.8NC Department of Insurance. Workers Compensation General liability and other policies are worth pricing once you start operating, but they’re a separate decision from the free formation path.

You may have read that LLCs must file beneficial ownership information reports with FinCEN under the Corporate Transparency Act. As of March 2025, FinCEN issued an interim final rule exempting all entities created in the United States from that requirement.9Financial Crimes Enforcement Network (FinCEN.gov). FinCEN Removes Beneficial Ownership Reporting Requirements for US Companies and US Persons Domestic LLCs and their owners no longer need to file BOI reports, and FinCEN has stated it won’t enforce penalties against U.S. companies or citizens for this reporting.10Financial Crimes Enforcement Network (FinCEN.gov). Beneficial Ownership Information Reporting That could change if FinCEN issues a new rule, so check fincen.gov/boi before assuming the exemption still holds when you form.
