To start an LLC in Oregon, file Articles of Organization with the Secretary of State for a $100 fee, either online (typically one to three business days) or by mail. Before you file, pick a name that meets state rules and line up a registered agent with a physical Oregon address. After the LLC is approved, you’ll want an EIN from the IRS, a dedicated business bank account, any licenses your industry requires, and a calendar reminder for the annual report that comes due every year on your formation anniversary.
Pick a Name That Will Actually Clear
Your LLC name has to be distinguishable from every other active business entity on file with the Oregon Secretary of State, and it has to include “Limited Liability Company,” “LLC,” or “L.L.C.” somewhere in it.1Oregon Revised Statutes. Oregon Code 63.094 – Limited Liability Company Name
Distinguishable doesn’t mean wildly different. A single-letter change can be enough. What won’t be enough: differences only in spacing, capitalization, entity designators (LLC versus Inc.), punctuation, or common articles and prepositions. The final call happens at filing, so a name that looks clear in the search can still be denied. If You’ll Operate Under a Different Name
Planning to do business under a brand that isn’t your LLC’s legal name? Oregon requires you to register an assumed business name (sometimes called a DBA) through the Secretary of State’s Business Registry. This is the common situation where the legal entity is something like “Smith Holdings LLC” but the storefront reads “Portland Coffee Roasters.”4Oregon Secretary of State. Line Up a Registered Agent
Every Oregon LLC needs a registered agent to accept legal documents like lawsuits, subpoenas, and government notices on the LLC’s behalf. The agent’s name and address go on the public record.5Oregon Secretary of State. Registered Agents and Service of Process
State law requires a physical Oregon street address where someone can be personally served. A P.O. box, mail receiving agency, or virtual office won’t qualify. The agent has to be either an individual who resides in Oregon or a business entity authorized to operate in the state, and the business office has to match the registered office address.6Oregon Revised Statutes. You can serve as your own agent if you have a qualifying address and are reliably there during business hours. A lot of owners hire a professional service instead, both to keep a home address off public filings and to make sure documents don’t get missed.
File the Articles of Organization
Articles of Organization is the document that legally creates your LLC. It goes to the Oregon Secretary of State, and the filing fee is $100 whether you submit online or by mail.7Oregon Secretary of State. Business Registry Fee Schedule
Oregon asks for more detail than some states. Under ORS 63.047, you’ll need to provide:8Oregon Revised Statutes. Oregon Code 63.047 – Articles of Organization
- The LLC’s name (meeting the rules above).
- The name of your initial registered agent and the physical street address of the registered office.
- A mailing address for state notices until you file your first annual report.
- Management structure. Member-managed is the default; if it’s manager-managed, you have to say so explicitly.
- The name and address of each organizer.
- Duration: perpetual, or a specific dissolution date.
- If the LLC will provide licensed professional services (legal, medical, accounting, and so on), those services have to be listed.
- The physical street address and mailing address of the principal office.
- At least one member, manager, or authorized representative with direct knowledge of operations, listed as a contact.
Online filing through the Business Registry usually processes in one to three business days. Mail submissions take significantly longer, and times vary.9Oregon Secretary of State. Write an Operating Agreement
Oregon does not require an operating agreement. The statute is permissive: it says an operating agreement “may provide for the regulation and management” of the LLC’s affairs.10Oregon Revised Statutes. Oregon Code 63.431 – Operating Agreement Skip it and Oregon’s default LLC rules fill every gap: how profits split, what happens when a member wants out, how big decisions get made.
A workable agreement covers profit and loss allocation, member contributions, decision-making, what happens if a member dies or exits, and how the LLC can be dissolved. Single-member LLCs benefit too, because a written agreement reinforces the legal separation between owner and business that gives the LLC its point. You don’t file it with the state. Keep it with your business records, and make sure every member has a signed copy.
Get an EIN From the IRS
An Employer Identification Number is a nine-digit federal tax ID from the IRS. You need one if your LLC has more than one member, has employees, or files certain federal tax returns. Even single-member LLCs without employees usually get one anyway, because most banks require it to open a business account.11Internal Revenue Service. Open a Business Bank Account
Once the EIN and approved Articles are in hand, open a dedicated business account. Mixing personal and business money is one of the fastest ways to lose the liability protection the LLC gives you. A court that finds you’ve treated LLC funds as your own can pierce the veil and hold you personally liable for business debts.
Banks typically ask for your EIN, a copy of the Articles of Organization, personal ID for each account owner, and the LLC’s address and phone number. Register for Oregon Taxes
Oregon has no general sales tax, so there’s no sales tax permit to worry about.14Oregon Department of Revenue. LLCs that hit certain revenue thresholds may also owe Oregon’s Corporate Activity Tax, which funds K-12 education.15Oregon Secretary of State. Check Licenses and Local Permits
Oregon does not issue a single statewide business license. Licensing depends on your industry, the services you offer, and where you operate.16Oregon Secretary of State. State License Requirements A consulting firm running out of a home office may need nothing past the LLC filing. A restaurant will need health permits, liquor licensing, and probably a local city business license.
State-level licenses apply to regulated fields like construction, real estate, food service, and healthcare. Counties and cities layer on their own requirements, including zoning permits and local business licenses. File the Annual Report Every Year
This is where new owners stumble. Every Oregon LLC has to file an annual report with the Secretary of State and pay a $100 fee. The due date is the anniversary of the date the LLC was originally formed, not a fixed calendar date.7Oregon Secretary of State. Business Registry Fee Schedule
The report updates the basics on file: registered agent, principal office address, and members or managers. You file online through the Business Registry. Miss the deadline and the LLC gets marked inactive; keep missing it and the state administratively dissolves the LLC, treating it as if it no longer exists.
If that happens, you can apply for reinstatement within five years. You’ll pay a reinstatement fee plus every annual report fee you missed. Your original name has to still be available too. If someone else registered it while your LLC was dissolved, you’ll pick a new one as part of reinstatement.18Oregon Secretary of State.
