To start an LLC in PA, you file a Certificate of Organization with the Pennsylvania Department of State’s Bureau of Corporations and Charitable Organizations, pay a $125 filing fee, and list a Pennsylvania street address as your registered office.1Commonwealth of Pennsylvania. Pennsylvania Limited Liability Company Online filings are typically processed in about one business day.2Commonwealth of Pennsylvania. Department of State Cuts Licensing and Business Processing Times by 74% on Average in 2025 Once formed, the LLC is a separate legal entity, which generally shields your personal assets from the company’s debts.3Pennsylvania General Assembly. Pennsylvania Code Title 15 Section 8818 – Characteristics of Limited Liability Company The rest of the process is a sequence of specific choices and filings, and each one has consequences if you skip it.
Choose a Name That Clears the Database
Your LLC’s name has to be distinguishable from every other business entity already on file with the Department of State.4Pennsylvania General Assembly. Pennsylvania Code Title 15 Section 202 – Requirements for Names Generally Search existing records through the PA Business One-Stop Hub at hub.business.pa.gov before you commit. The name also needs a designator that tells the public you’re an LLC: “Limited Liability Company,” “LLC,” “L.L.C.,” or a similar abbreviation.
Some words trigger additional scrutiny. Banking, educational, and professional terms are restricted and may require proof of licensure or governmental consent. The word “cooperative” can appear only if the entity is actually a cooperative corporation.5LII / Legal Information Institute. 19 Pa Code 17.204 – General Restrictions on Name Availability A professional LLC for a licensed occupation like medicine or law will need a name reflecting that restricted status.
Set Up a Pennsylvania Registered Office
Pennsylvania is unusual in requiring a registered office rather than a registered agent. Your Certificate of Organization must list a physical street address within the Commonwealth where the LLC can receive legal documents, including lawsuits. A P.O. box by itself is not enough. Someone has to be able to accept service of process at that location during business hours.
If you work from home and don’t want your address on the public record, you can hire a commercial registered office provider. These services maintain a Pennsylvania street address for you and forward any legal mail they receive. The address can be updated later by filing an amended statement with the Department of State.
File the Certificate of Organization
The Certificate of Organization (Form DSCB:15-8821) is the document that legally creates your LLC, and it must be submitted together with a docketing statement (Form DSCB:15-134A).1Commonwealth of Pennsylvania. Pennsylvania Limited Liability Company The Certificate asks for the LLC’s name, the registered office address, the names and addresses of each organizer, and the effective date you want the LLC to begin. You’ll also indicate whether the entity is a restricted professional company or a benefit company.
Pennsylvania does not require LLCs to publish a notice of formation in a newspaper.1Commonwealth of Pennsylvania. Pennsylvania Limited Liability Company
Online or Mail
Filing online through Business Filing Services (BFS), the Department of State’s electronic portal, is the preferred route. You create an account, upload the completed Certificate and docketing statement, and pay the $125 fee electronically. If you file on paper, mail the forms to the Bureau of Corporations with a check or money order payable to the Pennsylvania Department of State for exactly $125. The Bureau does not accept cash or credit cards for standard mailed filings.6Commonwealth of Pennsylvania. Fees and Payments
Once the Bureau processes your filing, you receive a stamped copy of the Certificate confirming the LLC’s legal existence. Mailed submissions take longer because of transit and manual handling.
Expedited Processing
If you need faster turnaround, the Bureau offers three tiers of expedited service on top of the $125 fee. Expedited service is only available for online or in-person submissions, not mail.7Commonwealth of Pennsylvania. Expedited Services
- Same-day service: $100, submitted before 10:00 a.m.
- Three-hour service: $300, submitted before 2:00 p.m.
- One-hour service: $1,000, submitted before 4:00 p.m.
Expedited fees can be paid by credit card, check, money order, or a pre-established customer deposit account, and all fees are nonrefundable whether the filing is accepted or rejected.7Commonwealth of Pennsylvania. Expedited Services
Write an Operating Agreement
The operating agreement is the internal contract that governs how your LLC runs: the relationship between members, how profits and losses are divided, voting rights, and what happens when a member leaves or the company dissolves. Pennsylvania law lets the operating agreement control these matters, and where it’s silent, the default rules in Title 15 fill the gaps.8Pennsylvania General Assembly. Pennsylvania Code Title 15 Section 8815 – Contents of Operating Agreement
You don’t file this document with the state. It stays with the company. But skipping it is where many new LLCs get into trouble later. Without a written agreement, you’re stuck with the statutory defaults, which may not match what members actually intended. Two members who assumed they’d split profits 60/40 based on their capital contributions might find the default rule gives them equal shares instead.
One of the first decisions the agreement should address is whether the LLC will be member-managed or manager-managed. In a member-managed LLC, every owner takes part in business decisions. In a manager-managed structure, members appoint one or more managers to handle operations while the rest act as passive investors. Pennsylvania defaults to member-managed if the Certificate of Organization doesn’t say otherwise. Certain statutory protections can’t be waived by the agreement, including the duty of loyalty, the duty of care, and each member’s right to access company information.8Pennsylvania General Assembly. Get an EIN and Register for State Taxes
Once the LLC is formed, apply for an Employer Identification Number from the IRS. This nine-digit number functions like a Social Security number for your business, and you need it to open a bank account, file tax returns, and hire employees. The IRS recommends forming your LLC with the state before applying, because applying beforehand can cause delays.9Internal Revenue Service. Get an Employer Identification Number The application is free at irs.gov.
Register for state taxes through myPATH, the Department of Revenue’s online hub. This is where you sign up for employer withholding, sales and use tax collection, unemployment compensation, and any other state taxes that apply.10Commonwealth of Pennsylvania. Register My Business for Taxes If you sell taxable goods or services, you’ll likely need a sales tax license even without employees. myPATH replaced the older PA-100 paper form for most business tax registrations.
How Your LLC Will Be Taxed
Pennsylvania doesn’t impose a separate LLC tax. How your LLC is taxed depends on how many members it has and what election you make with the IRS.
- A single-member LLC is treated as a disregarded entity. You report income directly on your personal Pennsylvania return (PA-40) using Schedule C for business income or Schedule E for rental income, and the LLC itself does not file a separate state return.11Commonwealth of Pennsylvania. Pass Through Entities
- A multi-member LLC defaults to partnership treatment. The LLC files an informational PA-20S/PA-65 return, and each member reports their share on a PA-40.11Commonwealth of Pennsylvania. Pass Through Entities
- An LLC electing S corporation status files the same PA-20S/PA-65 informational return, with income passing through to members individually.11Commonwealth of Pennsylvania. Pass Through Entities
- An LLC electing C corporation status is taxed at the corporate level. The Pennsylvania corporate net income tax rate for 2026 is 7.49%.12Commonwealth of Pennsylvania. Corporation Tax Rates
In any pass-through scenario, members pay Pennsylvania’s flat personal income tax rate of 3.07% on their share of earnings.13Commonwealth of Pennsylvania. Tax Rates Your municipality may add an earned income tax or business privilege tax on top of the state rate.
File an Annual Report Every Year
Act 122 of 2022 replaced Pennsylvania’s old decennial filing with an annual report requirement for every domestic and foreign LLC.14Commonwealth of Pennsylvania. Business Reports You file between January 1 and September 30 each year through the Business Filing Services portal.15Commonwealth of Pennsylvania. Annual Reports The fee is $7 for a for-profit LLC.6Commonwealth of Pennsylvania. Fees and Payments
The small fee is misleading. Starting with annual reports due in 2027, failure to file subjects your LLC to administrative dissolution. A dissolved LLC can only conduct activities necessary to wind up or seek reinstatement, and it loses the exclusive right to its name, which someone else could then register.15Commonwealth of Pennsylvania. Annual Reports
Reinstatement after administrative dissolution isn’t free. You’ll owe $35 online ($40 on paper), plus $15 for each delinquent annual report you missed.15Commonwealth of Pennsylvania. Annual Reports Costs add up fast if you fall behind, and in the meantime your liability protection is compromised.
Workers’ Comp and Local Licensing
If your LLC has even one employee, Pennsylvania law requires workers’ compensation insurance. That obligation starts with your first hire, regardless of whether the employee is part-time or a family member like a spouse or child.16Commonwealth of Pennsylvania. Workers’ Compensation Compliance Operating without coverage exposes you personally to liability and can bring criminal penalties. Coverage is available through a private carrier, the State Workers’ Insurance Fund, or self-insurance if the LLC qualifies.
Local requirements vary. Many Pennsylvania municipalities impose their own business license or privilege tax obligations, and the rules differ sharply from one city or township to the next. Philadelphia, for example, requires a Commercial Activity License for any business operating within city limits, plus activity-specific licenses in some industries. Smaller municipalities may have simpler rules or none at all. Check with your local government offices to see what applies.
Federal Beneficial Ownership Reporting
You may have heard about the Corporate Transparency Act’s beneficial ownership reporting requirement. As of March 2025, all domestic LLCs are exempt. FinCEN’s interim final rule limits the reporting obligation to foreign entities registered to do business in the United States, so a Pennsylvania LLC does not file a BOI report. Scam letters referencing a “Form 4022” or “Form 5102” are fraudulent, since FinCEN does not use those forms.17FinCEN.gov. Beneficial Ownership Information Reporting
