How to Start an LLC in Pennsylvania: Filing, Fees, and Taxes

To start an LLC in Pennsylvania, you file a Certificate of Organization with the Bureau of Corporations and Charitable Organizations, submit a Docketing Statement alongside it, and pay a $125 filing fee. That single filing legally creates the company. Everything else — a registered office, an operating agreement, an EIN, state tax registration, and the annual report — either supports that filing or keeps the LLC in good standing afterward.

Pick a Name That Clears the State Database

Your LLC name has to be distinguishable from every other business entity already on file with the Pennsylvania Department of State, including corporations and limited partnerships. Check availability through the Department’s online business entity search before you get attached to a name. A name that’s too close to an existing registration will get your paperwork rejected.

The name must also include a designator: “Limited Liability Company,” “L.L.C.,” or “LLC.” Pennsylvania restricts words that suggest a different type of business. “Bank,” “Insurance,” and similar terms require separate approval from the relevant state regulator.

Clearing the state database is not the same as clearing trademarks. A name available in Harrisburg can still infringe on a federal or common-law trademark held by another business, so run a trademark check before you print anything.

File the Certificate of Organization and Docketing Statement

The Certificate of Organization (Form DSCB:15-8821) is the document that creates your LLC. It must be filed together with a Docketing Statement (Form DSCB:15-134A), which captures administrative details for the state’s records. The Certificate itself asks for very little: the LLC name with its designator, a registered office address, the name and signature of each organizer, and an optional effective date. If you leave the effective date blank, the LLC becomes active the moment the state accepts the filing.2Pennsylvania Department of State. Notice what the form does not ask: whether your LLC will be member-managed or manager-managed. That decision belongs in your operating agreement, not the formation paperwork.

The Docketing Statement collects the person responsible for tax matters, the LLC’s fiscal year end, and a Pennsylvania county name. Make sure the addresses on the two forms match exactly. Mismatched addresses and a missing county are common reasons filings come back rejected.

Use a Registered Office, Not a Registered Agent

Pennsylvania does not use the registered agent system found in most other states. Every LLC must maintain a registered office: a physical street address in Pennsylvania where the business can receive legal notices and service of process. If you don’t have a physical location in the state, you can list a Commercial Registered Office Provider (CROP) instead. A CROP functions similarly to a registered agent elsewhere, but only with a signed contract already in place. Pay the Fee and Choose Your Filing Speed

The filing fee for a domestic LLC Certificate of Organization is $125, and it’s nonrefundable whether or not the state accepts your filing.4Commonwealth of Pennsylvania. Fees and Payments

You have two ways to submit:

  • Online through the Department of State’s Business Filing Services portal, with credit card payment. Filed copies print directly from your account.5Commonwealth of Pennsylvania. Register a Business
  • By mail, with a check or money order, to the Bureau of Corporations and Charitable Organizations, 401 North Street, Room 206, Harrisburg, PA 17120. Mail processing runs roughly seven to ten business days.

If you need the LLC formed faster, the Bureau offers expedited service on top of the $125 fee: $100 for same-day (documents in before 10:00 a.m.), $300 for three-hour (before 2:00 p.m.), and $1,000 for one-hour (before 4:00 p.m.). When the filing is approved, you receive a file-stamped copy of the Certificate. Keep it. Banks, licensing offices, and business partners will all ask to see it.

Write an Operating Agreement

Pennsylvania does not require you to file an operating agreement with the state. That doesn’t make it optional in any practical sense. The operating agreement is where you set out who makes decisions, how profits and losses are split, what happens when a member leaves, and how the business winds down.7Justia. For a single-member LLC, the agreement reinforces the legal separation between you and the business, which matters if a court is ever asked to treat the LLC as an extension of you personally. For a multi-member LLC, it’s where you record whether the company is member-managed (all owners vote) or manager-managed (authority delegated to specific people). Capital contributions, admitting new members, and buy-sell provisions covering death, incapacity, or a member wanting out are the provisions that tend to matter most when things go wrong.

Get an EIN from the IRS

Any LLC with more than one member, employees, or a corporate tax election needs an Employer Identification Number from the IRS. Single-member LLCs with no employees usually need one anyway, because most banks require it to open a business account.8Internal Revenue Service. Understanding Your EIN

Register with the Pennsylvania Department of Revenue

After the LLC is formed, register with the Pennsylvania Department of Revenue using Form PA-100, the Enterprise Registration Form. One form covers multiple state tax accounts, including employer withholding and sales and use tax, based on what your business will actually do.

By default, LLC members report their share of business income on their personal Pennsylvania returns at the state’s flat 3.07% rate. Local taxes are a separate layer. Depending on the municipality, you may need a business privilege tax license or other local permits. Rules and fees vary widely, so call your local tax office early.

Know Your Default Tax Treatment

The IRS taxes LLCs based on how many members they have unless you elect otherwise. A single-member LLC is treated as a disregarded entity by default, with income and expenses flowing through to your personal return on Schedule C. A multi-member LLC is taxed as a partnership by default, filing Form 1065 as an informational return while each member reports their share on their own return.

File the Annual Report

Pennsylvania used to require LLCs to file only once every ten years. Act 122 of 2022 repealed that decennial system and replaced it with an annual report starting in calendar year 2025. The fee is $7 for LLCs, and the filing window runs from January 1 through September 30 each year.13Commonwealth of Pennsylvania. Annual Reports

Starting with reports not filed in 2027, the state can administratively dissolve your LLC and strip the protection of your business name. At $7 a year, put it on the calendar and don’t skip it.

Federal Beneficial Ownership Reporting

The Corporate Transparency Act originally required most domestic LLCs to report beneficial ownership information to FinCEN. An interim final rule published in March 2025 exempted all U.S.-formed entities from the requirement. As of now, only foreign entities registered to do business in the United States must file, and FinCEN has said it will not enforce BOI reporting penalties against domestic companies or their owners.14Financial Crimes Enforcement Network. Line Up Insurance and Final Practical Items

An LLC’s liability shield has limits. It protects your personal assets from business debts, but it won’t cover a personally guaranteed loan, fraud, or an injury caused by your own negligence. Business insurance fills those gaps. General liability covers bodily injury, property damage, and legal defense costs. If you hire employees, Pennsylvania requires workers’ compensation. With the Certificate filed, the EIN in hand, state tax accounts opened, and an operating agreement signed, the legal setup is finished.
