Every Wisconsin LLC needs a registered agent to accept legal papers and official notices on the company’s behalf. The agent has to keep a physical street address in Wisconsin. The Articles of Organization (Form 502) is the document that actually forms your LLC. Wisconsin keeps the required contents short:

The fastest route is online through the Department of Financial Institutions’ electronic filing system or the state’s One Stop Business Portal. Online filings cost $130 and are typically accepted upon receipt. If you’re on a deadline, expedited service is available on top of the base fee: $25 for next-business-day processing, $250 for four-hour turnaround, or $500 for one-hour turnaround. When the LLC Exists
Your LLC legally exists the moment the Articles of Organization become effective, generally the date the department receives the filing. If no time is stated, effectiveness runs from close of business that day. You can also set a delayed effective date up to 90 days out.7Wisconsin State Legislature. Get an EIN and Open a Bank Account
Once your Articles are effective, apply to the IRS for an Employer Identification Number. You’ll need it to open a commercial bank account, hire employees, and file federal returns. The IRS specifically recommends forming your state entity first, because applying in the wrong order can delay the application.8Internal Revenue Service. With the EIN and a stamped copy of your Articles, you can open a business bank account. On federal taxes, Wisconsin LLCs aren’t taxed as a separate entity by default. A single-member LLC is a disregarded entity, and a multi-member LLC files as a partnership. Put an Operating Agreement in Writing
Wisconsin doesn’t require an operating agreement, and you don’t file one with the state. If one person put in $200,000 and another put in $50,000, equal splits probably weren’t the plan.
A written agreement sets who owns what percentage, how profits and losses are divided, what happens when a member leaves, and who has authority to sign contracts or take on debt. Even single-member LLCs benefit. Banks sometimes ask for one, and having it on file helps show the LLC operates as a genuine separate entity.
Register for Wisconsin Taxes
If your LLC will sell taxable goods or services, hire employees, or otherwise owe state taxes, you need a Wisconsin Business Tax Registration from the Department of Revenue. Wisconsin does not impose a franchise or minimum entity tax on LLCs using the default pass-through treatment. Members report their share of income on their individual Wisconsin returns. LLCs that elect corporate taxation are subject to the state’s franchise and income tax on corporate earnings.
File the Annual Report
After your first calendar year, every Wisconsin LLC files an annual report with the Department of Financial Institutions. The deadline depends on the quarter you formed:

Miss the deadline by more than a year, and the department can start administrative dissolution proceedings. You get a notice and 60 days to fix it, but if you don’t respond, the state dissolves the entity and you lose the exclusive right to your name.12Wisconsin State Legislature. Check Licensing and Permits
Forming the LLC doesn’t authorize you to operate in a regulated industry. Real estate, construction, cosmetology, accounting, healthcare, and many others require a credential from the Wisconsin Department of Safety and Professional Services. Federal Beneficial Ownership Reporting
The Corporate Transparency Act originally required most new LLCs to file a Beneficial Ownership Information report with FinCEN. An interim final rule published in March 2025 exempted all entities formed in the United States from the requirement.
