C-corporations with Iowa activity file the Iowa Form IA 1120 corporation income tax return each year with the Iowa Department of Revenue. For tax years beginning in 2026, Iowa taxes corporate net income at 5.5% on the first $100,000 and 7.1% on anything above that.1Iowa Legislature. Iowa Code 422.33 – Corporate Tax Imposed The return starts with federal taxable income, applies Iowa additions and subtractions, and uses a single sales factor to apportion income for corporations that also operate outside the state.
Who Has to File
Any corporation doing business in Iowa or earning income from Iowa sources must file the IA 1120, and the filing obligation stands even in a loss year.1Iowa Legislature. Iowa Code 422.33 – Corporate Tax Imposed Iowa uses an economic nexus standard, so a corporation without offices, employees, or property in the state can still be on the hook if it purposefully directs business at Iowa customers.2Iowa Department of Revenue. One federal boundary matters here. Public Law 86-272 blocks Iowa from imposing corporate income tax on a company whose only Iowa activity is soliciting orders for tangible personal property, where the orders are approved and filled from outside the state. It does not cover services, software licensing, or anything beyond solicitation of tangible goods.2Iowa Department of Revenue. Out-of-State Businesses
An LLC that has elected federal C-corporation treatment files the IA 1120 too. Entities taxed federally as S-corporations, partnerships, or disregarded entities use different Iowa returns.
2026 Rates
Iowa uses a two-bracket graduated rate structure on corporate net income for tax years beginning in 2026:1Iowa Legislature. Iowa Code 422.33 – Corporate Tax Imposed
- 5.5% on net income up to $100,000
- 7.1% on net income above $100,000
Iowa Code section 422.33(1)(b) allows the Department of Revenue to certify further reductions when certain revenue thresholds are met, so check the Department’s annual rate certification before you finalize a return.
Building Iowa Taxable Income
Iowa net income starts from federal taxable income, then runs through additions and subtractions on IA 1120 Schedule A.3Iowa Legislature. Iowa Code 422.35 – Net Income of Corporation, How Computed Iowa adopted rolling federal conformity starting with tax year 2020, so most federal changes flow through automatically. Additions
The most common addition is interest and dividends from state and municipal bonds issued outside Iowa. That income is federally exempt but taxable in Iowa. Interest from bonds issued by Iowa and its political subdivisions stays exempt.3Iowa Legislature. Iowa Code 422.35 – Net Income of Corporation, How Computed
You also add back any federal net operating loss deduction carried over from a tax year beginning before January 1, 2023. Those pre-2023 NOLs need separate tracking because they were calculated under the old Iowa-specific rules. For tax years beginning on or after January 1, 2023, Iowa no longer computes a separate NOL, and the federal deduction flows through without modification.5Iowa Department of Revenue. Other additions include contributions to the Iowa Education Savings Plan Trust that reduced federal taxable income when designated for a shareholder’s dependent, and adjustments tied to partnership-level federal audit changes under IRC section 6225.3Iowa Legislature. Subtractions
Interest and dividends from U.S. government obligations come out because Iowa cannot tax income from federal securities.3Iowa Legislature. Iowa Code 422.35 – Net Income of Corporation, How Computed
Global Intangible Low-Taxed Income is fully excluded from the Iowa corporate tax base. If your federal taxable income includes GILTI under IRC section 951A, subtract the entire amount on Schedule A, line 7. Because Iowa excludes the whole amount, you cannot also claim the 50% GILTI deduction under IRC section 250(a)(1)(b) for Iowa purposes.6Iowa Department of Revenue. GILTI / NCTI and FDII / FDDEI
Foreign dividend income, including subpart F income, is subtracted based on the ownership thresholds in IRC section 243. Additional subtractions apply for biodiesel production refunds and certain broadband infrastructure or disaster recovery grants from federal, state, or local sources.3Iowa Legislature. The Repealed Federal Income Tax Deduction
Iowa used to allow corporations to deduct 50% of federal income taxes paid. That deduction was fully repealed for tax years beginning on or after January 1, 2023. If older workpapers still reference it, drop it.3Iowa Legislature. Iowa Code 422.35 – Net Income of Corporation, How Computed
IRC Section 163(j)
Iowa does not conform to the federal business interest expense limitation under IRC section 163(j). If that limitation moved your federal taxable income up or down, recompute your Iowa net income as though section 163(j) did not apply.7Legal Information Institute. Apportioning Income With a Single Sales Factor
If your corporation has nexus in Iowa and at least one other state, you apportion business income to Iowa using a single sales factor. Property and payroll do not enter the formula.8Iowa Administrative Code. Iowa Administrative Code 701 – Chapter 54, Allocation and Apportionment On IA 1120 Schedule E, divide Iowa sales by total sales everywhere, then multiply business income by that ratio.
This structure favors corporations with heavy Iowa payroll or property that sell mostly out of state, and works against companies with little Iowa presence but significant Iowa sales.
How Sales Are Sourced
Sales of tangible personal property are Iowa sales when the goods are shipped or delivered to a buyer in the state. Destination controls, not origin.
Service receipts are sourced under a market-based rule: gross receipts are assigned to Iowa based on where the customer receives the benefit of the service. Where the benefit is received partly in Iowa and partly elsewhere, split the receipts proportionally.8Iowa Administrative Code. Iowa Administrative Code 701 – Chapter 54, Allocation and Apportionment
Non-business investment income skips the formula and is allocated directly. Real property rents and gains are allocated to the state where the property sits; non-business income from intangibles is generally allocated to Iowa if the corporation’s commercial domicile is in the state.
Deadlines and the Automatic Extension
For calendar-year filers, the IA 1120 is due April 30. Fiscal-year filers file by the last day of the fourth month after year-end. Cooperative associations have until the 15th day of the ninth month after the close of the tax period. A short-period return required under the IRC is due to Iowa 45 days after the federal original due date.9Iowa Department of Revenue. IA 1120 Instructions
Iowa grants an automatic six-month extension to file, with one condition: you must have paid at least 90% of your correct tax by the original due date. There is no separate extension form. Miss the 90% mark and the extension does not apply, and both penalty and interest start running the day after the original due date. When Electronic Filing Is Mandatory
Iowa requires e-filing if the corporation meets any one of the following for the tax year:10Legal Information Institute. Iowa Admin Code 701-8.7 – Mandatory Electronic Filing for Certain Business Entity and Fiduciary Taxpayers
- Gross receipts of $250,000 or more
- Iowa tax credits of $25,000 or more claimed on the return
- Ten or more Iowa Schedules K-1 issued to partners, members, shareholders, or beneficiaries
- The corporation elects or is required to file a consolidated Iowa return under Iowa Code section 422.37
Submit a paper return when any threshold applies and Iowa treats you as a nonfiler. Late-file penalties can attach, and the statute of limitations for Department review does not start running until you file the required electronic return.11Iowa Department of Revenue. Estimated Tax Payments
If your corporation expects an Iowa income tax liability after credits above $1,000, you must make estimated payments.12Iowa Legislature. Iowa Code 422.85 – Imposition of Estimated Tax When the threshold is clear by the fourth month of the tax year, four equal installments are due:
- Last day of the 4th month
- Last day of the 6th month
- Last day of the 9th month
- Last day of the 12th month
For calendar-year filers, that is April 30, June 30, September 30, and December 31. If the $1,000 threshold becomes clear later in the year, Iowa collapses the schedule into fewer, larger installments across the remaining periods. Penalties and Interest
Iowa applies two separate 5% penalties that can stack. One is for failure to file by the due date; the other is for failure to pay by the due date. Both are waived when at least 90% of the correct tax has been paid by the original due date.14Justia. Iowa Code 421.27 – Penalties
Interest also runs on any unpaid balance. For 2026, the annual rate on unpaid tax is 10.0%, roughly 0.8% per month. Iowa resets the rate each year based on the average prime rate over the preceding twelve months plus two percentage points.15Iowa Department of Revenue. The 90% figure by the original due date is the number to plan around.
Credits Worth Knowing
The Iowa Research and Development Tax Credit is one of the more valuable credits available on the IA 1120. It is based on qualifying research expenses under IRC section 41, and it is refundable, so any excess over your Iowa tax liability is paid back to you. To qualify, the business must be certified by the Iowa Economic Development Authority and primarily engaged in fields such as advanced manufacturing, bioscience, technology, or insurance and finance. Watch the total credits claimed on the return. Iowa credits of $25,000 or more trigger the mandatory e-filing rule on their own, regardless of gross receipts. Report credits on the applicable Iowa schedules and carry any non-refundable amounts forward under each credit’s own rules.
