An Idaho S corporation meets its Idaho Form 41S filing requirements by submitting the return to the Idaho State Tax Commission by the 15th day of the fourth month after year-end (April 15 for calendar-year filers), starting from the completed federal Form 1120-S and then applying Idaho’s additions, subtractions, apportionment, and shareholder reporting rules. Every filer owes at least a $20 minimum tax plus a $10 permanent building fund tax, and nonresident shareholders trigger either withholding or a composite return.
Who Has to File
Any corporation with a valid federal S election must file Form 41S if it is doing business in Idaho or is registered with the Idaho Secretary of State to transact business in the state. Idaho reads “doing business” broadly: owning or leasing property in the state, soliciting business there, or having an agent act on the entity’s behalf all qualify. An S corporation that is a member of a partnership or another S corporation operating in Idaho picks up a filing obligation through that connection.1Cornell Law Institute. Idaho Admin Code r 35.01.01.285 – S Corporations
The trigger is the entity’s activity, not the shareholders’ residency. An S corporation with all Idaho-resident shareholders owes nothing to Idaho if the entity itself has no Idaho presence. Flip it around and the result is just as strict: an inactive S corporation that is merely authorized to do business in Idaho still owes the $20 minimum tax and must file.1Cornell Law Institute. Idaho Admin Code r 35.01.01.285 – S Corporations
One narrow boundary: Public Law 86-272 blocks states from imposing a net income tax when a company’s only in-state activity is soliciting orders for tangible personal property that are approved and shipped from outside the state.2Multistate Tax Commission. Statement of Information Concerning Practices Under Public Law 86-272 That shield covers tax liability, not necessarily the filing requirement itself. If this is you, confirm with the Tax Commission before skipping the return.
Entity-Level Taxes You May Owe
S corporations are pass-through entities, so most income tax lands on the shareholders. A few charges still fall on the entity and show up on Form 41S:
- A $20 minimum tax, owed by every filer regardless of Idaho activity.1Cornell Law Institute. Idaho Admin Code r 35.01.01.285 – S Corporations
- A $10 permanent building fund tax that applies alongside the minimum tax.3Idaho State Tax Commission. Form 41ES – Business Income Tax Payments
- Built-in gains and excess net passive income tax, similar to federal IRC Sections 1374 and 1375, if the entity converted from C corporation status. Unexpired Idaho income tax credit carryovers from the C corporation years can offset these.1Cornell Law Institute. Idaho Admin Code r 35.01.01.285 – S Corporations
- Composite return tax at the corporate rate on nonresident shareholders’ Idaho source income if you file a composite return on their behalf.4Idaho State Legislature. Idaho Code Title 63 Section 63-3022L
If the combined liability is large enough, make quarterly estimated payments on Form 41ES to avoid underpayment interest.
Building the Return From the Federal 1120-S
Form 41S starts with the ordinary business income or loss from your completed federal Form 1120-S and then adjusts for Idaho rules. Attach a complete copy of the federal return, including all federal Schedule K-1s.5Idaho State Tax Commission. Form 41S – S Corporation Income Tax Return and Instructions 2024
Depending on your situation, several other attachments are required:
- An Idaho Form ID K-1 for each shareholder, showing their share of Idaho additions, subtractions, and credits.6Idaho State Tax Commission. Form ID K-1 – Partners, Shareholders, or Beneficiarys Share of Idaho Adjustments, Credits
- Form 42, if the S corporation does business in Idaho and at least one other state, to compute the apportionment factor.7Idaho State Tax Commission. Form 42 – Apportionment and Combined Reporting Adjustments
- A schedule of all state and local taxes deducted federally, a bonus depreciation schedule, and schedules identifying any other additions or subtractions.5Idaho State Tax Commission. Form 41S – S Corporation Income Tax Return and Instructions 2024
At the top of the form, enter the business name, mailing address, federal EIN, and NAICS code from the federal return.5Idaho State Tax Commission. Form 41S – S Corporation Income Tax Return and Instructions 2024 You also report each shareholder’s residency status and ownership percentage, which drives the nonresident rules below. Answer every question in the Questions 1–12 section; unanswered questions are treated as “no” and can delay processing.
Idaho Additions and Subtractions
Idaho does not accept the federal income number as-is. The adjustments appear on Form 41S and flow through to each shareholder’s Form ID K-1.
Additions
Any state, municipal, or local tax measured by net income that was deducted on the federal return gets added back, including Idaho tax the S corporation paid on built-in gains or excess net passive income.8Idaho State Legislature. Idaho Code Title 63 Chapter 30 Section 63-3022 – Adjustments to Taxable Income Attach a schedule listing each tax deducted.
Interest and dividends from other states’ municipal bonds also get added back; this income is typically federally exempt but taxable in Idaho, and Form ID K-1 has a dedicated line for it.6Idaho State Tax Commission. Form ID K-1 – Partners, Shareholders, or Beneficiarys Share of Idaho Adjustments, Credits
Bonus depreciation is the most time-consuming adjustment. Idaho does not conform to federal bonus depreciation for property acquired before 2008 or after 2009. If you claimed the special depreciation allowance federally, run a separate Idaho depreciation calculation as if bonus depreciation had never been claimed. When federal depreciation exceeds Idaho depreciation, the difference is added back; when the Idaho number is higher, you take a subtraction.9Idaho State Tax Commission. Bonus Depreciation Attach either a separate federal Form 4562 or a detailed computation.
Subtractions
Interest from U.S. government obligations such as Treasury bonds is the most common subtraction, reported net of related expenses, since federal law bars states from taxing it.6Idaho State Tax Commission. Form ID K-1 – Partners, Shareholders, or Beneficiarys Share of Idaho Adjustments, Credits Interest from Idaho municipal securities that was included in the other-state bond addition also comes out, because Idaho does not tax its own municipal bond income. Other possible subtractions include Idaho technological equipment donations and a favorable bonus depreciation adjustment.
Apportionment When You Operate in More Than One State
If the S corporation does business in Idaho and at least one other state, only Idaho’s share of apportionable income flows to Idaho shareholders. You calculate the fraction on Form 42.
Most businesses use a single sales factor: Idaho sales divided by total sales everywhere.10Idaho State Legislature. Idaho Code 63-3027 Form 42 asks for property and payroll figures as well, but the final calculation for most filers uses only sales.7Idaho State Tax Commission. Form 42 – Apportionment and Combined Reporting Adjustments The three-factor formula applies to utilities and a few other industries with special rules.
Nonapportionable income (items like certain capital gains or interest that do not arise from the regular trade or business) is allocated entirely to the state where it originated rather than running through the formula.10Idaho State Legislature. Idaho Code 63-3027 If you classify income this way, attach a schedule explaining why and identifying the source.
Nonresident Shareholders
If a nonresident individual shareholder receives at least $1,000 in Idaho source income, the entity has to handle that shareholder’s Idaho tax one of two ways. Doing nothing is itself the third option, and it’s the costly one.
Option 1: Withhold
Withhold Idaho income tax on each nonresident shareholder’s distributable income at the highest individual rate. File Form PTE-01 for each shareholder you withhold on, and list all nonresident shareholders on Form PTE-12 with a “W” filing code.11Idaho State Tax Commission. Pass-Through Entities The withholding payment is due by April 15 for calendar-year filers. Each shareholder then claims a credit for the withheld amount on their individual Idaho return.
Option 2: File a Composite Return
Alternatively, file a composite return that reports and pays tax on behalf of qualifying nonresident individual shareholders. The included income is taxed at the corporate rate rather than the individual rate.4Idaho State Legislature. Idaho Code Title 63 Section 63-3022L Include a statement showing each covered shareholder’s share of income and the tax paid on their behalf. A shareholder who still files their own Idaho return claims a credit for the entity-paid tax.
The Default Trap
If the entity neither withholds nor files a composite return, and the nonresident shareholder also fails to file their own Idaho return, the entity itself becomes liable for the tax at the corporate rate on that shareholder’s income.4Idaho State Legislature. Idaho Code Title 63 Section 63-3022L Pick one of the two options and handle it proactively.
Deadlines and Extensions
Form 41S is due on the 15th day of the fourth month after the close of the tax year, which is April 15 for calendar-year filers.12Idaho State Tax Commission. Income Tax for S Corporations That is a month after the federal 1120-S deadline of March 15, so the federal return should already be complete when the Idaho return comes due. A weekend or legal holiday due date rolls to the next business day.
Idaho automatically grants a six-month extension to October 15 for calendar-year filers. You do not need to file a separate extension form unless you owe a payment. To qualify for the extension without penalty, your prepayments (estimated payments, withholding, or prior-year refunds applied) must equal at least 80% of the current year’s tax or 100% of the prior year’s tax.13Idaho State Tax Commission. Extensions
Two shortcuts: if the prior year’s return showed zero tax due, no extension payment is needed, and if the required payment works out to $50 or less, you can skip it and still qualify.13Idaho State Tax Commission. Extensions If you do owe, pay with Form 41ES or through the Tax Commission’s free QuickPay online service.
Penalties and Interest
If you meet the 80%/100% safe harbor by April 15 and file by October 15, the penalty is 0.5% per month on any unpaid tax, running from the filing date to the payment date. Missing the safe harbor increases the monthly penalty, and missing the October 15 extended deadline on top of that raises it further. The combined penalty tops out at 25%.
Interest also accrues on any overdue tax from the original due date until paid. The rate was 5% for 2023 and 6% for 2024 and changes annually.3Idaho State Tax Commission. Form 41ES – Business Income Tax Payments Check the Tax Commission’s website for the current year. Underpayment interest on estimated tax installments runs from each quarterly due date until the required amount is paid or the return’s due date arrives, whichever comes first.
How to Submit
Idaho accepts Form 41S electronically through the Federal/State e-File program, which lets you transmit the state return with the federal 1120-S. Amended returns can also be e-filed. The system prompts you to include the federal return, K-1s, and supporting schedules.
