To do business in Illinois, an out-of-state LLC must complete Illinois foreign LLC registration by filing an Application for Admission to Transact Business with the Secretary of State, paying a $150 fee, and submitting a recent good standing certificate from its home state.1Illinois Secretary of State. Once admitted, you owe annual reports, a registered agent at all times, and separate tax registration with the Illinois Department of Revenue.
Do You Actually Need to Register
Illinois does not set a revenue or transaction threshold. The state works the other way around: it lists activities that don’t count as doing business, and if what you’re doing isn’t on that list, plan to register.
The following activities, on their own, do not require a foreign LLC to register:2Justia Law. Illinois Code 805 ILCS 180 Article 45 – Foreign Limited Liability Companies
- Defending or settling a lawsuit in Illinois.
- Holding internal meetings of managers or members in the state.
- Maintaining bank accounts.
- Selling through independent contractors who don’t keep offices or business locations in Illinois.
- Soliciting orders that must be accepted outside Illinois before becoming binding.
- Owning real or personal property passively.
- Completing an isolated transaction within 120 days, provided it isn’t part of a pattern.
- Having a member or manager who lives in Illinois.
Opening an office or warehouse, hiring Illinois-based employees, running a retail location, or regularly meeting clients from an Illinois location will typically require registration. If you have a sustained physical or operational presence in the state, register before you begin.
Filing the Application for Admission
Registration starts with the Application for Admission to Transact Business, filed with the Illinois Secretary of State. It asks for your LLC’s legal name, the state or country where it was formed, the date of formation, and the name and address of your Illinois registered agent.3Illinois General Assembly. Illinois Code 805 ILCS 180/45-5 – Admission to Transact Business
You must attach a certificate showing your LLC is in good standing in its home state, dated within 60 days of your Illinois filing. If your home state doesn’t issue good standing certificates, the Secretary of State will accept an affidavit from the appropriate official or other proof of your LLC’s existence.3Illinois General Assembly. Illinois Code 805 ILCS 180/45-5 – Admission to Transact Business
The filing fee is $150, and you can submit online or by mail.1Illinois Secretary of State. Limited Liability Company Publications and Forms If something is wrong with your application, the Secretary of State returns it for correction rather than rejecting it outright.
Using Your LLC Name in Illinois
Your name must be distinguishable from every entity already on file with the Secretary of State, including domestic LLCs, other foreign LLCs, reserved names, assumed names, and corporate names on record under other Illinois business statutes.4Illinois General Assembly. Illinois Code 805 ILCS 180/1-10 – Name Distinguishable means meaningfully different. Punctuation tweaks or adding “LLC” won’t get you there.
If your home-state name is already taken in Illinois, you don’t have to change it back home. Illinois lets a foreign LLC register under a different name for use in the state, so long as that alternate name meets the same distinguishability rules a domestic LLC would face.5Justia Law. Illinois Code 805 ILCS 180 Article 45 – Foreign Limited Liability Companies – Section 45-15
You can also lock in a name before filing. A foreign LLC intending to apply for admission may reserve a name with the Secretary of State for 90 days, and the reservation can be transferred to someone else if plans change.6Illinois General Assembly. Illinois Code 805 ILCS 180/1-15 – Reservation of Name
Registered Agent and Office
You must continuously maintain a registered agent and registered office in Illinois. The agent has to be either an Illinois resident individual or a business entity authorized to operate in the state, and the office needs a physical street address. Post office boxes don’t qualify.7Illinois General Assembly. Illinois Code 805 ILCS 180/1-35 – Registered Agent and Registered Office
The registered agent receives lawsuits, government correspondence, and service of process on the LLC’s behalf. If the position goes vacant, the Secretary of State automatically becomes your agent for service of process. Lawsuits then get served on a government office instead of someone who will alert you, which is how companies miss critical deadlines.
If your agent resigns, you have 60 days to appoint a replacement.7Illinois General Assembly. Illinois Code 805 ILCS 180/1-35 – Registered Agent and Registered Office To change the agent or office at any other time, file a statement with the Secretary of State listing both the old and new information. The change takes effect when the Secretary of State files it.8Illinois General Assembly. Illinois Code 805 ILCS 180/1-36 – Change of Registered Office or Registered Agent
If you have no Illinois employees or office, hiring a commercial registered agent service is the simplest option. Annual fees generally run from about $35 to $350 depending on the provider and what’s included.
Annual Report
Once admitted, you must file an annual report with the Secretary of State that updates your LLC’s name, registered office and agent, principal place of business, and the names and addresses of managers or members with management authority.9Illinois General Assembly. Illinois Code 805 ILCS 180/50-1 – Annual Report
The report is due in the 60-day window immediately before the first day of your anniversary month, meaning the month you were originally admitted in Illinois.9Illinois General Assembly. Illinois Code 805 ILCS 180/50-1 – Annual Report If you were admitted March 15, your report is due between January 1 and March 1 each year. The fee is $75.1Illinois Secretary of State. Limited Liability Company Publications and Forms
If the Secretary of State returns your report for corrections, you get 60 days from the original due date to refile without penalty. Miss that grace period and a $100 late fee applies. Continued failure to file is one of the main grounds for having your Illinois authority revoked.
Tax Registration Is Separate
Registering with the Secretary of State gives you legal authority to operate. It does not register you for taxes. You must separately register with the Illinois Department of Revenue if you conduct business in the state or have Illinois customers.10Illinois Department of Revenue. About Business Registration The registration covers business income tax and, depending on your operations, sales tax, withholding tax, and other obligations. LLCs are specifically required to register for business income tax.11Illinois Department of Revenue. How to Register Your Illinois Business
At the federal level, most foreign LLCs operating in Illinois also need an Employer Identification Number. An EIN is required if your LLC has employees, needs to pay employment or excise taxes, or is a multi-member LLC, which the IRS treats as a partnership by default.12Internal Revenue Service. Employer Identification Number Single-member LLCs often need one anyway to open business bank accounts or hire contractors. The EIN application is free through the IRS website.
What Happens if You Skip Registration
The Illinois LLC Act imposes two layers of consequences on a foreign LLC that does business in the state without registering: financial penalties and a courthouse door that stays closed.
On the money side, you owe back everything you would have paid had you registered on time, including filing fees, annual report fees, and any penalties under the Act. If you don’t register within 60 days of starting to do business in the state, you also owe an additional $2,000 penalty plus $100 for each month or partial month you continue operating unregistered.13Justia Law. Illinois Code 805 ILCS 180 Article 45 – Foreign Limited Liability Companies – Section 45-45 The Attorney General can bring proceedings to collect. For an LLC that has been operating unregistered for a couple of years, the total adds up fast.
The litigation bar is just as serious. An unregistered foreign LLC cannot file or maintain a lawsuit in any Illinois court until it gets admitted.13Justia Law. Illinois Code 805 ILCS 180 Article 45 – Foreign Limited Liability Companies – Section 45-45 If a customer stops paying or a vendor breaches a contract, you can’t enforce your rights in court until you fix the registration. The narrower boundaries: failure to register does not stop you from defending a lawsuit brought against you, does not invalidate contracts you’ve already signed, and does not make members personally liable for company debts.
Losing and Regaining Authority
Even after you’re properly registered, the Secretary of State can revoke your authority to transact business. The most common triggers are failing to file an annual report or pay fees, letting your registered agent lapse without a replacement inside 60 days, providing false information on a filing, ignoring a money judgment obtained by a local government or school district, and sending a payment that bounces without making it good.14Illinois General Assembly. Illinois Code 805 ILCS 180/45-35 – Revocation Revocation generally comes with notice and a chance to cure. Once it lands, though, you face the same lawsuit bar as a company that never registered.
Reinstatement is available. You file an application for reinstatement, submit every overdue annual report, and pay all outstanding fees and penalties.15Illinois General Assembly. Illinois Code 805 ILCS 180/35-40 – Reinstatement Following Administrative Dissolution If another entity has claimed your name during the lapse, you’ll need a new name that meets Illinois requirements. Once the Secretary of State accepts the reinstatement, your existence is treated as if it was never interrupted, and members and managers are not personally liable for debts incurred during the dissolution period. Accumulated fees and reconstructed reports still have to be dealt with, and staying current is far cheaper than cleaning up afterward.
Withdrawing When You Leave Illinois
When your LLC stops doing business in Illinois, filing a formal application for withdrawal is the only way to end your ongoing obligations. Skip it and annual reports and fees keep accruing until your authority is eventually revoked, leaving penalties to clean up long after you’ve moved on.
The withdrawal application states that the LLC is no longer transacting business in Illinois, surrenders its admission, and revokes the registered agent’s authority to accept service. You also designate the Secretary of State as your agent for any future lawsuits arising from your time active in the state, and give a mailing address where process can be forwarded to you.16Illinois General Assembly. Illinois Code 805 ILCS 180/45-40 – Withdrawal Before filing, bring all annual reports current and clear any unpaid fees. Outstanding balances can delay or block the withdrawal.
