Iowa Articles of Incorporation: Filing, Costs, and Biennial Report

Iowa articles of incorporation are the document you file with the Iowa Secretary of State to create a corporation, and the base filing fee is $50.1Iowa Secretary of State. Business Entity Forms and Fees Under Iowa Code Chapter 490, the corporation legally exists the moment the Secretary of State accepts the filing, unless the document names a later effective date.2Iowa Legislature. What the Document Must Contain

Iowa Code section 490.202 requires only four things in the articles:3Iowa Legislature. Iowa Code 490.202 – Articles of Incorporation

  • The corporate name, meeting the requirements of section 490.401.
  • The total number of shares the corporation is authorized to issue.
  • The street and mailing addresses of the initial registered office in Iowa, and the name of the registered agent at that office.
  • The name and address of each incorporator.

Nothing else is mandatory. The articles can include optional provisions, and some are worth adding at formation rather than amending in later: par value for shares, a stated corporate purpose, internal governance rules, and limits on director liability. If you plan to issue more than one class of stock, define the rights and preferences of each class now.

Picking a Name That Will Clear

The name must include “Corporation,” “Incorporated,” “Company,” or “Limited,” or an abbreviation of one of those words. It also has to be distinguishable on the Secretary of State’s records from every other active entity registered in Iowa, including LLCs, limited partnerships, nonprofits, foreign entities authorized here, and names someone else has already reserved.4Iowa Legislature. Iowa Code 490.401 – Corporate Name

Search the Secretary of State’s online business database before you file. If you’ve landed on a name but aren’t ready to file, you can reserve it under section 490.402.

Registered Agent and Registered Office

The corporation must continuously maintain both a registered agent and a registered office in Iowa. The agent can be an Iowa resident, or a domestic or foreign corporation or LLC authorized to do business in Iowa, as long as the agent’s business office matches the registered office address.5Iowa Legislature. Iowa Code 490.501 – Registered Office and Registered Agent

The registered office has to be a physical street address in Iowa. A P.O. box can appear as the separate mailing address the statute asks for, but it cannot stand in for the street address.3Iowa Legislature. Iowa Code 490.202 – Articles of Incorporation Many founders serve as their own agent at the start. If you’d rather keep your home address off the public record, commercial registered agent services do this for an annual fee.

How to File and What It Costs

You have two ways to submit:

  • Online through the Secretary of State’s Fast Track Filing portal. This is the fastest route and the one most new filers use.
  • By mail or in person to the Secretary of State’s office in Des Moines. Paper takes longer to process.

The base filing fee is $50 either way.1Iowa Secretary of State. Business Entity Forms and Fees If you need the filing turned around quickly, Iowa charges extra for expedited handling on top of the base fee: $250 for same-day preclearance when documents arrive by 10:00 a.m., $50 for two business days, and $15 for five business days.6Iowa Secretary of State. When the Secretary of State accepts the filing, you receive an acknowledgment. That acceptance is also the moment your corporation legally exists, unless you wrote a delayed effective date into the articles themselves.2Iowa Legislature. Iowa Code 490.203 – Incorporation

What Comes Right After Filing

The acknowledgment creates the corporation on paper. A few steps have to happen before it can actually operate.

Hold an Organizational Meeting

Iowa requires an organizational meeting after incorporation. If you named initial directors in the articles, those directors meet to appoint officers, adopt bylaws, and handle other startup business. If no directors were named, the incorporators hold the meeting and their first task is electing a board.7Iowa Legislature. Iowa Code 490.205 – Organization of Corporation If everyone agrees, you can skip the formal meeting and act by written consent instead.

At that meeting the board typically adopts bylaws, appoints officers, authorizes a bank account, approves the issuance of initial shares, and reimburses any incorporator who paid the filing fee out of pocket. Keep minutes. They become part of the records you’re required to maintain.

Get an EIN

Your corporation needs an Employer Identification Number from the IRS before it can open a bank account, hire employees, or file tax returns. Applying online at irs.gov issues the number immediately. Keep the IRS confirmation notice (CP 575) with your corporate records.

The Biennial Report Keeps the Corporation Alive

Iowa does not require an annual report, but it does require a biennial one. For-profit corporations file during even-numbered years, with the window opening January 1 and the deadline on April 1. The fee is $60.8Iowa Secretary of State. How Do I File a Biennial Report

The report confirms information the Secretary of State already has: business name, registered agent, registered office, and principal office address. You also indicate whether the corporation holds an interest in Iowa agricultural land. Miss it and the Secretary of State can begin administrative dissolution under section 490.1421, which ends the corporation’s legal standing.9Iowa Legislature. Iowa Code 490.1421 – Procedure for and Effect of Administrative Dissolution Reinstatement means paying all overdue fees and filing every report you missed. Calendar the deadline.

Changing the Articles Later

If something in the articles needs to change (the name, the authorized share count, a new class of stock, a governance provision), you amend. Once a corporation has shareholders, the board first adopts the proposed amendment, then submits it to shareholders with a recommendation to approve. The board can skip that recommendation only when a conflict of interest or similar circumstance exists, and in that case it must tell shareholders why.10Iowa Legislature. Iowa Code 490.1003 – Amendment by Board of Directors and Shareholders

After approval, you file articles of amendment with the Secretary of State. The filing must include the corporate name, the full text of each amendment, the adoption date, and details about the shareholder vote (or a statement that shareholder approval was not required).11Iowa Legislature.
