Iowa calls its LLC formation document a Certificate of Organization rather than Articles of Organization, so the Iowa Articles of Organization you’re looking for is filed under that name with the Iowa Secretary of State. The filing fee is $50, and the statute requires only three pieces of information in the document itself: the LLC’s name, its principal office address, and its registered agent’s name and Iowa address.1Justia. Iowa Code 489.201 – Formation of Limited Liability Company — Certificate of Organization Your LLC exists the moment the certificate becomes effective, not when the confirmation arrives back in your inbox.
The two terms cover the same document. Most states use “Articles of Organization,” but Iowa’s Uniform Limited Liability Company Act uses “Certificate of Organization,” and that’s the label you’ll see on every official form and portal.1Justia. What the Certificate Must Contain
Iowa keeps the document short. Section 489.201 requires only three items:1Justia. Iowa Code 489.201 – Formation of Limited Liability Company — Certificate of Organization
- The LLC’s name, which must comply with Iowa’s naming rules under Section 489.112.
- The street and mailing addresses of the LLC’s principal office, meaning where the company actually operates.
- The name and Iowa street and mailing addresses of the registered agent.
You can add optional provisions if you want, such as whether the LLC is member-managed or manager-managed, its duration, or its purpose. None of these are required, and the Secretary of State won’t reject a certificate that sticks to the three basics. If you need the LLC to begin on a specific future date, you can name a delayed effective date in the document.
Choosing an LLC Name That Iowa Will Accept
The name has to include one of these designators: “limited liability company,” “limited company,” “L.L.C.,” “LLC,” “L.C.,” or “LC.” You can abbreviate “Limited” as “Ltd.” and “Company” as “Co.”2Justia. Iowa Code 489.112 – Permitted Names
The name also has to be distinguishable on the Secretary of State’s records from every existing entity’s name, every registered foreign entity, every reserved or registered name, and every fictitious name already on file.2Justia. Iowa Code 489.112 – Permitted Names “Distinguishable” is a low bar in Iowa. A single different letter or a different sequence of characters is enough.3Iowa Secretary of State. Understanding Name Availability in Iowa What does not count as distinguishable: switching the designator (from “LLC” to “L.L.C.,” for example), or adding a generic tag like “Corporation,” “Inc.,” or “Ltd.” to the end.
Run the name through the Secretary of State’s online business search before filing. If you find one you want but aren’t ready to file yet, you can hold it for 120 days by submitting a name reservation application.4Iowa Legislature. Iowa Code 489.113 – Reservation of Name
Registered Agent Requirements
Every Iowa LLC needs a registered agent to accept legal documents like lawsuits and state notices during business hours. An individual can serve if they live in Iowa, are at least 18, and maintain an office in the state. A business entity can serve if it’s authorized to operate in Iowa.5Iowa Secretary of State. What Is a Registered Agent?
The address you list must be a physical Iowa street address. A P.O. box will not work, because service of process has to be possible in person. The agent’s address and the LLC’s principal office address don’t have to match.
How to File and What It Costs
Iowa handles LLC filings through Fast Track Filing, the Secretary of State’s online portal, where you upload the Certificate of Organization as a PDF.6Iowa Secretary of State. Standard online filings usually process within a few business days. If that’s too slow, Iowa offers two expedited options on top of the $50 filing fee:8Iowa Secretary of State. Preclearance and Expedited Services
- Five business days: $15 per document.
- Two business days: $50 per document.
The expedite charge is per document, not per submission, and you’re not charged if the filing is rejected.
Fixing or Updating the Certificate
If something in the certificate becomes inaccurate — the LLC’s name changes, the principal office moves, or you want to add provisions about management — Iowa law requires an amendment. A manager of a manager-managed LLC or a member of a member-managed LLC who knows the certificate is inaccurate has a legal duty to fix it promptly.9Iowa Legislature. Iowa Code 489.202 – Amendment or Restatement of Certificate of Organization
An amendment lists your LLC name, the date you originally filed the certificate, and the text of the change. The fee is $50.7Iowa Secretary of State. Business Entity Forms and Fees If several changes have piled up, you can file a restated certificate that consolidates everything into one clean document. Changing only the registered agent doesn’t require a full amendment; Iowa allows a simpler statement of change for that.
What to Do Right After Filing
Two things belong on your list as soon as the certificate is on file.
Write an Operating Agreement
Iowa doesn’t require you to file an operating agreement with the state, and you don’t submit one anywhere. Writing one still matters. It sets out how profits and losses are split, how decisions get made, what happens when a member leaves, and how disputes are handled. Without it, Iowa’s default statutory rules govern the LLC, and those defaults may not match what the owners actually agreed to. Single-member LLCs benefit from one too, because it documents the separation between owner and business that supports liability protection.
Get an EIN from the IRS
Most Iowa LLCs need a federal Employer Identification Number. The IRS lists LLCs among the entities that need one, and you’ll also need it to open a business bank account or hire employees.10Internal Revenue Service. Employer Identification Number Apply online through the IRS website to receive the nine-digit number immediately, or file Form SS-4 by mail or fax.11Internal Revenue Service. Keeping the LLC in Good Standing: The Biennial Report
Iowa requires every LLC to file a biennial report with the Secretary of State updating the LLC’s name, registered agent, and principal office address. The first report is due between January 1 and April 1 of the first odd-numbered year after the year you formed the LLC, and every odd-numbered year after that.12Iowa Legislature. Iowa Code 489.212 – Biennial Report for Secretary of State
Filing online through Fast Track Filing costs $30. Filing by mail or in person costs $45.13Iowa Secretary of State. How Do I File a Biennial Report?
Miss the April 1 deadline and you’ll get a delinquency notice. If you still haven’t filed by August, the state administratively dissolves the LLC. Reinstating it means more paperwork, potential fees, and a period during which your LLC was not an active entity.14Iowa Secretary of State. What Happens if My Business Misses the Deadline to File a Biennial Report? This is the single most common way Iowa LLCs lose their good standing. Put a January reminder on your calendar the day you form the LLC.
If Your LLC Was Formed in Another State
Out-of-state LLCs don’t file a Certificate of Organization to operate in Iowa. Instead, you submit a foreign registration statement together with a certificate of existence from your home state issued within the previous 90 days. The fee is $100.15Iowa Secretary of State. Statement Foreign Registration Limited Liability Company You’ll need an Iowa registered agent, and you’ll have to comply with Iowa’s naming rules; if your existing name isn’t available here, you can adopt an alternate name for use in the state. Foreign LLCs are subject to the same biennial report requirement, on the same schedule and at the same fees, as domestic Iowa LLCs.12Iowa Legislature.
