What the Certificate of Organization Must Include

Iowa keeps the public filing lean. Only three items are required:3Iowa Legislature. Iowa Code 489.201 – Formation of Limited Liability Company – Certificate of Organization

  • The LLC’s name, with an approved designator and distinguishable from existing entities on file.
  • The principal office address (street and mailing), which is the primary location where business records are kept.
  • The name and Iowa street address of the registered agent.

Iowa does not ask for organizer names, member names, or management structure in the Certificate itself. Those details typically live in the operating agreement. You can add optional provisions if you want to, but most filers stick with the minimum.

LLC Name Rules

Your name must include a designator that signals limited liability status. Iowa accepts “Limited Liability Company,” “Limited Company,” “L.L.C.,” “LLC,” “L.C.,” or “LC.” You can abbreviate “Limited” as “Ltd.” and “Company” as “Co.”7FindLaw. The name also has to be distinguishable from every other business entity on file, including corporations, limited partnerships, other LLCs, registered fictitious names, and reserved names. Entity-type words don’t count in that comparison, so “Hawkeye Services LLC” would likely conflict with “Hawkeye Services Inc.” A conflict means the Secretary of State rejects the filing and you resubmit with a different name.7FindLaw. Reserving a Name Before You File

Not ready to file yet? You can reserve a name for 120 days by submitting an application with your name, address, and the LLC name you want to hold. Appointing a Registered Agent

Every Iowa LLC must continuously maintain a registered agent in the state. The agent accepts legal documents, including lawsuits and government notices, on the LLC’s behalf.9Iowa Legislature. Iowa Code 489.113 – Registered Office and Registered Agent for Service of Process

The agent can be an Iowa resident or a business entity authorized to operate in the state. Either way, the registered office must be a physical Iowa street address. P.O. boxes don’t qualify. You can serve as your own agent if you have an Iowa address, or you can hire a commercial service, which typically runs $33 to $149 per year.

After the Certificate Is Approved

Get an EIN From the IRS

The IRS application is free online. The agency warns against third-party sites that charge for it. The LLC must already be formed with the state, the principal place of business must be in the U.S., and the applicant must be the responsible party with a Social Security number or ITIN. Adopt an Operating Agreement

Iowa doesn’t make you file an operating agreement, but skipping one leaves your LLC running on statutory defaults. The agreement governs relationships among members, the rights and duties of any managers, the company’s activities, and how the agreement itself gets amended.11Iowa Legislature. One default that catches people: Iowa treats every LLC as member-managed unless the operating agreement expressly says otherwise. If you want a manager-managed structure, the agreement must say so.12Iowa Legislature. Biennial Reports Keep You in Good Standing

If you miss the deadline by more than 60 days, the Secretary of State can begin administrative dissolution.14Justia Law. Domestic LLCs can reinstate by filing the two most recent biennial reports and paying the fees, but foreign entities that get dissolved cannot reinstate and must register from scratch.15Iowa Secretary of State. If Your LLC Was Formed in Another State

An LLC formed elsewhere that wants to do business in Iowa files a Foreign Registration Statement instead of a Certificate of Organization. The statement requires the LLC’s name, jurisdiction of formation, principal office address, and Iowa registered agent details, plus a certificate of existence from the home state dated within 90 days of filing. A Note on Federal Beneficial Ownership Reporting

The Corporate Transparency Act originally required most new LLCs to file a Beneficial Ownership Information report with FinCEN. As of March 2025, FinCEN revised its rules to exempt all entities formed in the United States. The reporting obligation now applies only to foreign entities registering to do business in a U.S. state. An Iowa LLC formed by U.S. persons is not required to file a BOI report.17FinCEN.gov.
