Software is taxable in Florida only when it arrives on something you can hold. The state’s 6% sales tax applies to canned software delivered on a disc, USB drive, or other physical medium, because Florida taxes “tangible personal property” — property that can be seen, weighed, measured, or touched.1Florida Senate. Canned Software Sold on Physical Media
Pre-written software sold on a disc or USB drive is fully taxable at the 6% state rate. Florida Administrative Code Rule 12A-1.032 makes this explicit: retail sales of prepackaged software in tangible form are taxable as sales of tangible personal property.3Legal Information Institute. Florida Admin Code 12A-1.032 – Computer Software A county discretionary surtax may apply on top of the state rate, depending on where the product is delivered.
The “load and leave” method does not sidestep the tax. If the seller brings a storage device to your location, installs the software, and takes the device away, the Department of Revenue still treats the transaction as a sale of tangible personal property and collects 6% on the full purchase price. The fact that the software ends up living only on your hard drive does not change the outcome.
Electronically Downloaded Software
When you buy canned software and download it directly — no disc, no drive, nothing physical — the sale is not subject to Florida sales tax. The Department of Revenue has confirmed this in multiple Technical Assistance Advisements, treating an electronic transmission as a service rather than a transfer of tangible property.4Florida Department of Revenue. Technical Assistance Advisement 02A-052 The identical software that would be taxable on a USB drive becomes tax-free as a download.
One trap to watch: if a single transaction bundles the download with a physical backup copy, the whole sale becomes taxable. The total price for tangible personal property and any services bundled with it is included in the taxable base, and the physical component drags the digital portion in with it.5Florida Department of Revenue. Technical Assistance Advisement 08A-035 To keep the download tax-free, keep physical media out of the transaction.
Mobile apps purchased through the Apple App Store, Google Play, or similar platforms follow the same rule. No physical medium means no Florida sales tax, whether the app is free, a one-time purchase, or an in-app subscription. Electronic books and streaming video services have also been confirmed as non-taxable, because they are neither tangible personal property nor one of the specific services Florida has chosen to tax.6Florida Department of Revenue. Software as a Service
SaaS — where you access a program through your browser and the software runs on the provider’s servers — is not subject to Florida sales tax. You never receive a physical copy, and you never take title to the underlying code. The transaction is a service.2Florida Department of Revenue. Florida Sales and Use Tax This holds whether you pay monthly, annually, or per user.
Cloud-based accounting platforms, customer management tools, project management software, and email marketing services all fall outside the tax. Even if a SaaS application lets you download reports or export data, those incidental downloads do not turn the service into a taxable product as long as the files themselves have no independent software function.
If you sell SaaS to customers in other states, don’t assume this treatment travels. A growing number of states do tax SaaS, and the rules vary widely between business-to-business and business-to-consumer sales. Florida’s position is favorable, but each state has to be evaluated on its own.
Custom Software
Software built from scratch for a single customer is generally not taxable. Rule 12A-1.032 draws the line: when a vendor modifies or creates a program to a customer’s specifications and charges for that custom work, the charge is for a customized software package and is not subject to tax.3Legal Information Institute. Florida Admin Code 12A-1.032 – Computer Software You are paying for the developer’s analysis, design, and coding — a professional service, not a mass-produced product.
The work has to be genuine. Changing a color scheme or adding a logo to off-the-shelf software isn’t custom. The developer needs to analyze your requirements and write original code, or make modifications extensive enough to produce a substantially different program.
Invoicing matters. If the developer delivers the finished custom code on a disc, the labor charge stays non-taxable only if the invoice separates the coding cost from the charge for the physical medium. Lump them into one line and the entire amount becomes taxable.5Florida Department of Revenue. Technical Assistance Advisement 08A-035
Maintenance and Support Agreements
Whether a software maintenance or support agreement is taxable depends on the underlying software and on whether the agreement is required or optional.
Mandatory Agreements Tied to Taxable Software
If a maintenance agreement is a required condition of buying canned software on physical media, the full cost of the agreement is taxable at 6%. Florida treats agreements that cover maintaining, repairing, or replacing tangible personal property as taxable service warranties under Section 212.0506.7Florida Senate. Florida Code 212.0506 – Taxation of Service Warranties Because the underlying software was tangible personal property, so is the contract protecting it.
Agreements on Electronically Delivered Software
When the underlying software was delivered electronically and wasn’t taxable, the maintenance and support agreement isn’t taxable either. The Department of Revenue has confirmed that sales tax does not apply to maintenance and support services covering software delivered in an electronic format.8Florida Department of Revenue. Optional Support-Only Agreements
Optional agreements that provide only technical support, help-desk access, or bug fixes — without shipping new software versions on physical media — are generally treated as non-taxable service contracts. If an optional agreement includes upgrades delivered on a disc, though, the entire agreement can become taxable because it now covers delivery of tangible personal property. Separating service fees and product deliveries on the invoice protects the tax-exempt portion.7Florida Senate. Florida Code 212.0506 – Taxation of Service Warranties
County Discretionary Sales Surtax
Any software transaction subject to the 6% state tax may also carry a county-level discretionary surtax. Rates depend on the delivery location. Most counties fall between 0.5% and 1.5%, Hamilton County currently charges 2%, and a few counties impose no surtax at all.9Florida Department of Revenue. Discretionary Sales Surtax Rate Table Combined with the state rate, total sales tax on a taxable software purchase can reach up to 8%.
The surtax applies only to the first $5,000 of a single taxable transaction, which helps on large purchases of physical software. The Department of Revenue publishes and periodically updates the current rate for each county.10Florida Department of Revenue. Discretionary Sales Surtax
Penalties for Getting It Wrong
A business that sells taxable software and either files late or pays late owes a 10% penalty on the unpaid amount, with a $50 minimum per late return.11Florida Legislature. Florida Code 212.12 – Dealers Credit for Collecting Tax, Penalties for Noncompliance The penalty is automatic and comes on top of the tax itself.
Collecting sales tax from customers and then keeping it is far more serious. Florida treats that as theft of state funds, and the severity scales with the amount:
- Less than $1,000: second-degree misdemeanor
- $1,000 to $19,999: third-degree felony
- $20,000 to $99,999: second-degree felony
- $100,000 or more: first-degree felony
These are criminal charges, not just financial penalties.12Florida Legislature. Florida Code 212.15 – Taxes Declared State Funds Because the taxable/non-taxable line hinges on delivery method, businesses selling the same product in more than one format need to track how each transaction ships. Misclassify a high-volume product and unremitted tax can push into felony territory quickly.
Resale Certificates for Software Retailers
If you buy canned software on physical media to resell rather than to use, you can buy it tax-free by giving your supplier a valid Florida Annual Resale Certificate. The certificate confirms you hold an active Florida sales tax registration and are purchasing for resale, shifting the tax obligation to your eventual sale to the end customer. Florida uses Form DR-13, and the certificate must be renewed each year. Without a valid certificate on file, the supplier is required to charge you the full 6% plus any applicable county surtax.
