Maryland Articles of Cancellation: Filing, Notice, and Wind-Up

To close a Maryland LLC, you file Maryland Articles of Cancellation with the State Department of Assessments and Taxation (SDAT) after you’ve wound up the business: given known creditors registered-mail notice at least 19 days before filing, paid debts, closed your state and federal tax accounts, and distributed whatever is left. Standard processing is free. Expedited processing costs $50.1Maryland State Department of Assessments and Taxation. The Form and How to File

The Articles of Cancellation form is a PDF available from SDAT and can also be submitted through the Maryland Business Express portal. It asks for the LLC’s name, the date it was formed, and a statement that the company is being terminated. You either check a box confirming there are no known creditors or enter the date you mailed creditor notice.1Maryland State Department of Assessments and Taxation. Paper filings go to the Department of Assessments and Taxation, Charter Legal Department, 700 East Pratt Street, 2nd Floor, Suite 2700, Baltimore, MD 21202. There is no filing fee for standard processing. If you’ve seen $100 quoted elsewhere, that figure is wrong. SDAT rejects incomplete forms or ones that don’t follow the instructions, so check every field before you send it.

The 19-Day Creditor Notice Rule

If the LLC has known creditors, you have to send them notice by registered mail, and you cannot file the articles until at least 19 days after that notice went out.2Justia. Maryland Code Corporations and Associations 4A-910 – Conditions for Filing Articles of Cancellation If there are no known creditors, you can file at any time with no waiting period.

“Known creditors” is broader than people reading demand letters. It covers anyone the LLC owes money to: outstanding vendor invoices, loan balances, unresolved lease obligations. Sending the registered mail notice and waiting the full 19 days is what protects members from later claims that creditors were cut off from collecting.

Winding Up Before You File

Dissolution and termination are two different events under Maryland law. When an LLC dissolves, it doesn’t stop existing. It continues in a winding-up phase until the Articles of Cancellation are filed and accepted. The articles must state that the LLC is terminated on the filing date or on a specified date no more than 30 days later.3Justia. Maryland Code Corporations and Associations 4A-909 – Contents of Articles of Cancellation

During winding up, the LLC collects what it’s owed, pays creditors, and distributes anything that remains to members per the operating agreement. Creditors come first. Members split what’s left.

Skipping this sequence doesn’t just risk a rejected filing. If assets were handed to members ahead of unpaid creditors, those creditors can sometimes pursue members personally. Active contracts need their own review. Leases, service agreements, and vendor contracts often carry early-termination penalties, and you’ll want to either finish out the obligation or negotiate an exit. Give customers and business partners written notice of the closure separately from the statutory creditor notice.

Close Your Tax Accounts

Maryland

Closing tax accounts with the Comptroller of Maryland is a separate step from the SDAT filing. Close your withholding account using Form MW506FR and your sales and use tax account using Form 202FR, if applicable. You can also close these accounts by calling 410-260-7980 or 1-800-638-2937 during business hours.4Maryland Business Express. Closing a Business Checklist

Unresolved tax debts can block the whole process. The Comptroller certifies delinquent LLCs to SDAT for potential forfeiture of their right to do business.5Maryland General Assembly. Maryland Code Corporations and Associations 4A-911

Federal

File a final federal return for the year you close and mark it as final. If you had employees, file final Forms W-2 and make all outstanding federal tax deposits by their deadlines.6Internal Revenue Service. Closing a Business

Payroll taxes deserve particular care. The IRS can assess a Trust Fund Recovery Penalty against any person responsible for withholding and paying employment taxes who willfully fails to do so. “Responsible person” includes officers, partners, and anyone with authority over company finances, and “willfully” here means consciously paying other business expenses instead of remitting withheld taxes. The penalty equals the full unpaid trust fund tax, plus interest, and it attaches to the individual, not to the dissolved LLC.7Internal Revenue Service. Trust Fund Recovery Penalty

Once returns are filed and taxes paid, you can deactivate your EIN by sending the IRS a letter with the entity’s EIN, legal name, address, and reason for closing. The IRS cannot cancel an EIN entirely, but it will close the business account.8Internal Revenue Service. If You No Longer Need Your EIN

Surrender Licenses and Permits

Professional and occupational licenses held through the Maryland Department of Labor don’t close on their own. Find the specific licensing contact on the Department of Labor’s website and email that office to request surrender.4Maryland Business Express. Closing a Business Checklist Local business licenses from your county or municipality follow their own cancellation procedures. Left open, any of these can trigger renewal fees or compliance notices long after you’ve stopped operating.

Transfer Intellectual Property First

Trademarks, patents, copyrights, and trade secrets owned by the LLC don’t disappear when the entity terminates. They have to be dealt with during winding up: transferred to a member or another entity, sold to pay debts, or formally abandoned.

A trademark transfer is recorded with the USPTO through its Assignment Center, which charges a recording fee. The assignment has to be completed while the LLC still exists, since a terminated entity can’t sign documents.9United States Patent and Trademark Office. Trademark Assignments: Transferring Ownership or Changing Your Name Patent assignments follow a similar recording path. Copyrights transfer by written agreement, and recording the transfer with the U.S. Copyright Office creates a public record if ownership is ever questioned. Abandoning IP is sometimes the cleanest option, but trademark rights in particular can be picked up by competitors once released, so think through any future plans before letting them go.

What Termination Does and Doesn’t Do

Once termination takes effect, the LLC cannot conduct business, enter contracts, or use its name in Maryland. No one can sue it as a going concern. Termination does not erase debts that existed before cancellation, though, and any owner who personally guaranteed an obligation stays on the hook no matter what the LLC’s status is.

Keep Your Records

Closing the business is not the end of your recordkeeping. The IRS expects you to hold on to records for set periods, measured from the final return rather than from the date operations stopped:10Internal Revenue Service. How Long Should I Keep Records

  • General tax records: at least three years from the date you filed the final return, or two years from the date you paid the tax, whichever is later.
  • Employment tax records: at least four years after the date the tax was due or the date it was paid, whichever is later.
  • Unreported income over 25% of gross income: six years.
  • Unfiled or fraudulent returns: indefinitely.

Keep copies of the Articles of Cancellation, the operating agreement, and the records of your asset distributions permanently. If a former creditor or the IRS surfaces questions years later, those documents are the proof your wind-up was done properly.
