Maryland Trade Name: Filing, Renewal, and Penalties

To register a trade name in Maryland, file a trade name certificate with the State Department of Assessments and Taxation (SDAT). It costs $25, lasts five years, and puts your business name on public record tied to its actual owner.1Maryland General Assembly. Maryland Code Corporations and Associations 1-406 What the filing does and does not do matters more than the paperwork itself, so the details on renewal, penalties, and legal effect are worth knowing before you file.

Who Has to File

Maryland Corporations and Associations ยง 1-406 requires anyone doing business under a name other than their own legal name to file a trade name certificate. A trade name is a name, symbol, word, or combination used to identify and distinguish a business.2Maryland General Assembly. Maryland Code Business Regulation 1-401

A sole proprietor named Jane Smith who runs a bakery called “Sunrise Pastries” needs to register. Operating simply as “Jane Smith” does not require a filing. The same rule reaches partnerships and corporate entities using a name different from their legal formation name.

One boundary to know: your trade name cannot suggest a business structure you haven’t formed. A sole proprietor cannot slip “Inc.” into a trade name.3Maryland Department of Assessments and Taxation. Trade Name Application

How to File the Certificate

The certificate must be in writing, signed under oath, and include four items: the true names and addresses of the owner or principal, the nature and location of the business, the trade name, and the SDAT identification number for the associated business.1Maryland General Assembly. You can submit through the Maryland Business Express portal online or mail a paper application to SDAT’s Charter Division. The base filing fee is $25. Expedited processing costs an additional $50 and returns your filing within seven business days. Same-day service is available too: $425 for paper filings hand-delivered by 10:00 a.m. on a business day, or $325 for online submissions filed by 2:30 p.m.4Maryland Department of Assessments and Taxation. Search Before You File

SDAT will process your application, but the acceptance of a filing does not mean the name is free for you to use. Run two searches first. Check Maryland’s existing business records through the SDAT online database for identical or confusingly similar names already in use. Then search the U.S. Patent and Trademark Office’s database to confirm you won’t collide with a federal trademark.5United States Patent and Trademark Office. Search Our Trademark Database

Skipping the search is where the expensive mistakes happen. You can register a name, print signage, build a website, and still receive a cease-and-desist letter from a trademark holder. A Maryland trade name certificate does not shield you from federal infringement claims.

What Registration Does Not Do

The trade name certificate is an administrative filing that creates a public record. It is not a trademark and not a business entity.

No Exclusive Rights to the Name

Filing with SDAT does not stop someone else in Maryland from using the same name. The registration exists to identify who stands behind a name for tax and accountability purposes, not to lock down branding rights. If a competitor starts using a similar name, the certificate alone won’t be enough to force them to stop.

For actual brand protection within the state, you would pursue a Maryland state trademark through the Secretary of State’s office. For nationwide protection, you would register a federal trademark with the USPTO.5United States Patent and Trademark Office. Search Our Trademark Database The trade name filing can help establish when you started using the name, which carries some evidentiary weight in later disputes, but it is not a substitute for trademark registration.

No Liability Protection

A trade name is not a business entity. Registering one does not create an LLC, a corporation, or any structure that separates personal assets from business debts. A sole proprietor operating under a registered trade name is still personally liable for what the business owes. Forming an LLC or a corporation is a separate filing with its own fees. Anyone treating a trade name certificate as a legal shield is going to be surprised when a creditor or lawsuit arrives.

Renewal, Amendments, and Cancellation

A trade name certificate is valid for five years from the date SDAT files it.1Maryland General Assembly. Maryland Code Corporations and Associations 1-406 To keep it active, file a renewal within the six-month window before the five-year term expires.6Library of Maryland Regulations. COMAR 18.04.10.05 – Renewal The renewal fee is $25.

SDAT may send a reminder during the renewal window, but the regulation is explicit that a missed notice does not excuse a missed renewal.6Library of Maryland Regulations. COMAR 18.04.10.05 – Renewal Miss the deadline and the certificate expires; the name then becomes available for someone else to register. Calendar it yourself.

Changes to the business, like a new address, an added owner, or a departing partner, require an amended certificate. The amendment fee is $25.1Maryland General Assembly. Maryland Code Corporations and Associations 1-406

If you close the business or stop using the name, file a cancellation. It also costs $25, payable by check or money order. Every owner listed on the original application must sign the cancellation with an original signature. If an owner has died, attach a copy of the death certificate. Standard cancellation processing takes four to six weeks; seven-business-day expedited service costs an additional $50.7Maryland Department of Assessments and Taxation. Penalties

There are two separate criminal provisions in Maryland trade name law, and they are often confused with each other and with the simple failure to register.

Filing a False Certificate

A person who willfully and knowingly files a false trade name certificate with SDAT is guilty of a misdemeanor. On conviction, the penalty is a fine of up to $1,000, imprisonment for up to one year, or both.1Maryland General Assembly. Maryland Code Corporations and Associations 1-406 This targets things like listing fake owners or misrepresenting what the business does.

Fraudulently Imitating Another Business’s Name

Under the Business Regulation Article, it is a misdemeanor to intentionally do business under a name that is the same as or deceptively similar to a name already used by another Maryland business, when the intent is to defraud. The fine is up to $100 per day the violation continues. This provision does not reach individuals who simply share a similar personal name.8Maryland General Assembly. Maryland Code Business Regulation 1-415 – Fraudulent Use or Imitation of Trade Names

Simply Failing to Register

Section 1-406 uses “shall,” which makes the filing mandatory. Operating without registering puts you out of compliance, and that carries real practical consequences: difficulty opening a business bank account, complications enforcing contracts, and problems with lenders who want proof of registration. But the criminal penalties above target false filings and deliberate name fraud. A simple failure to file paperwork is not what those statutes punish.

Why the Filing Matters in Practice

Banks, vendors, and credit issuers routinely ask for proof of trade name registration when you try to open a business account or apply for financing. Without the certificate, you will run into friction at most financial institutions. That is how many business owners discover the requirement.

Registration also lets you build a consistent brand across signage, online platforms, and marketing under a name that is officially on file with the state. The public record maintained by SDAT is searchable online, giving customers and potential partners a way to verify who is behind a business before they do business with it.
