Massachusetts Certificate of Exemption (Form ST-2): Applying and Using

The Massachusetts Form ST-2 is the Certificate of Exemption issued by the Department of Revenue (DOR) that lets a qualifying organization buy goods and services without paying the state’s 6.25% sales tax. To get one, your organization applies through MassTaxConnect, attaches its IRS determination letter, and waits for DOR to mail the certificate. The exemption only covers purchases used for the organization’s exempt purposes, and each tax-free transaction also requires a completed Form ST-5 or ST-5C given to the vendor along with a copy of the ST-2.

Who Qualifies

Eligibility comes from two provisions of Massachusetts General Laws Chapter 64H, Section 6. Subsection (d) covers sales to the United States, the Commonwealth, any political subdivision, or their agencies. Subsection (e) covers sales to organizations holding federal tax-exempt status under Section 501(c)(3) of the Internal Revenue Code, provided the property or services purchased are used in the organization’s religious, charitable, educational, or scientific work.1General Court of Massachusetts. The scope is narrower than many nonprofits assume. A 501(c)(4) social welfare organization, a 501(c)(6) trade association, or any other non-501(c)(3) nonprofit does not qualify, even with a valid IRS determination letter under a different subsection. Government agencies receive the exemption based on their legislative standing; private organizations must apply and be certified by the DOR commissioner before the exemption takes effect.2Mass.gov. How to Apply Through MassTaxConnect

All applications go through MassTaxConnect, the DOR online tax portal. The exact path depends on whether your organization already has a DOR account.

New Organizations

If your 501(c)(3) has never registered with DOR, follow the standard business registration on MassTaxConnect. During registration, indicate that the organization is a nonprofit and select the type. Attach the IRS determination letter. The federal identification number and organization name on the application must match the IRS letter exactly. Organizations Already Registered With DOR

Subordinates Under a Group Exemption

Subordinate organizations covered by an IRS group exemption follow the same MassTaxConnect registration process, but each subordinate must use its own federal identification number, not the parent organization’s. After You Apply

Once approved, DOR mails the Form ST-2 Certificate of Exemption to the organization. There is no publicly listed application fee, and no source confirms a specific processing timeline. Apply well before you need to make tax-exempt purchases.

How to Use the ST-2 at Purchase

Holding the ST-2 alone does not make a purchase tax-free. You also give the vendor a completed Form ST-5 (Sales Tax Exempt Purchaser Certificate), together with a copy of the ST-2. The vendor keeps both on file.2Mass.gov. AP 101: Organizations Exempt From Sales Tax

Form ST-5 for Direct Purchases

On the ST-5, choose one of two options. For a one-time buy, check the Single Purchase Certificate box and list the specific items on the “Description of Property to be Purchased” line. For a vendor you buy from regularly, check the Blanket Certificate box and describe the types of items you typically purchase; you only need to present the ST-5 once for that vendor, as long as the description accurately covers future purchases. Form ST-5C for Contractor Purchases

When a contractor buys building materials or supplies for a project on behalf of your exempt organization, the contractor uses Form ST-5C instead of the ST-5. The contractor signs it under penalties of perjury and includes the contract number, contract date, estimated completion date, and a description and location of the project. The ST-5C cannot be used as a blanket certificate; the contractor presents a new one for each purchase. A copy of the ST-2 must accompany the ST-5C, and the exempt organization must sign and date both forms. What the ST-2 Does Not Cover

The certificate is not a blanket pass on every Massachusetts tax. The purchase has to be used in the organization’s exempt work. Office supplies for nonprofit operations qualify. Restaurant meals carry a separate Massachusetts meals tax of 6.25%, and some municipalities add a 0.75% local option excise. The meals tax has its own rules rather than the general sales tax exemption framework.4Mass.gov. One point catches organizations off guard: sales made by an exempt organization are still subject to sales tax unless a separate exemption applies. The ST-2 exempts your purchases, not your retail sales.5Mass.gov. Sales and Use Tax

Renewal, Updates, and Duplicates

Ten-Year Validity

An ST-2 is valid for ten years from the date of issuance. If nothing about the organization has changed, DOR issues a new certificate roughly thirty days before the old one expires. If the automatic renewal falls through and you keep making exempt purchases after expiration, those transactions could be challenged.

Name Changes, Address Changes, and Mergers

If the organization changes its name, moves, or goes through a merger or consolidation, request a duplicate or amended ST-2 from DOR in writing, online, or by phone. Have the following ready:

  • For a name change, provide both the old and new names and include a copy of the Articles of Amendment filed with the Secretary of State.
  • For an address change, provide both the present and former addresses.
  • For a merger, submit a copy of the Articles of Merger filed with the Secretary of State and an updated IRS determination letter reflecting the surviving corporation’s name.
  • For a consolidation, submit a copy of the Articles of Consolidation. If the consolidation produced a new federal identification number, file a fresh MassTaxConnect application for the new entity.

Revocation

DOR can revoke exempt status if it finds the organization was incorrectly certified. Losing 501(c)(3) status with the IRS is the clearest trigger, but any failure to meet the statutory requirements could prompt revocation.2Mass.gov. AP 101: Organizations Exempt From Sales Tax

Penalties for Misuse

Willfully giving a vendor a fraudulent or materially false exemption certificate to avoid sales or use tax is a criminal offense under Massachusetts General Laws Chapter 62C, Section 73. An individual faces a fine of up to $10,000, up to one year in prison, or both. A corporation faces a fine of up to $50,000.6General Court of Massachusetts.
