A Massachusetts Certificate of Good Standing shows that your business is properly registered, current on its annual reports, and not in dissolution proceedings. Banks, licensing boards, and other states routinely ask for one before approving a loan, issuing a permit, or letting you register as a foreign entity. Two different Massachusetts agencies issue certificates that go by similar names, so before you apply, you need to know which one the person asking actually wants.
Which Certificate You Actually Need
The Secretary of the Commonwealth’s Corporations Division issues the certificate most people mean when they say “good standing.” It confirms your entity name, formation date, that all required annual reports have been filed with fees paid, that no dissolution is pending, and that the entity appears in good standing in the Secretary’s records.1General Court of Massachusetts. The Department of Revenue issues its own Certificate of Good Standing and/or Tax Compliance, which proves you have filed all required Massachusetts tax returns and paid what you owe under Chapter 62C.3Mass.gov. AP 613 – Requesting a Certificate of Good Standing and/or Tax Compliance, Release of Professional or Health Profession License, or Waiver of Corporate Tax Lien Certain transactions specifically require this one, not the Secretary’s:
- Liquor license applications and transfers through the Alcoholic Beverages Control Commission.
- Marijuana licensure through the Cannabis Control Commission.
- Certain gaming establishment employees before starting work.
- Reinstatement of a state contract that was suspended or revoked.
If a lender, another state, or a general licensing agency asks for a “Certificate of Good Standing” with no further detail, they almost always mean the Secretary of the Commonwealth’s version. If the requester is a Massachusetts regulatory body handling one of the transactions above, ask for the DOR certificate. Some deals require both.
Making Sure You Qualify
Both agencies check compliance before issuing anything.
For the Secretary’s certificate, your entity must be registered and in active status, with all required annual reports filed and fees paid. Corporations must file within two and a half months after the close of each fiscal year.4Secretary of the Commonwealth of Massachusetts. For the DOR certificate, the Department must confirm no outstanding liabilities (including corporate excise, sales, and withholding taxes) and no unfiled returns. Before applying, pull up your entity’s exact legal name as it appears in state records. A missing comma or “LLC” versus “L.L.C.” can cause the system to reject your request or return the wrong entity.
Applying Through the Secretary of the Commonwealth
Three routes are available, and they differ mainly in speed.
Online. Log in to the Corporations Division portal with your Customer ID Number (CID) and PIN, choose the certificate type, and pay electronically. Electronic certificates arrive by email. By mail. Send your request with a check or money order to the Corporations Division at One Ashburton Place, 17th Floor, Boston, MA 02108. This is the route to take when you specifically need a paper certificate with an embossed seal. Certified mail gives you a tracking number.

Applying Through the Department of Revenue
The DOR handles requests through MassTaxConnect. If you already have an account, log in, click “More,” and select “Request a Certificate of Good Standing” under Other Actions. If you don’t have an account, go to the MassTaxConnect homepage and select “Request a Certificate of Good Standing” under the Individuals or Businesses section.6Mass.gov. A paper application is also available, but the processing gap is large. Online requests are approved and mailed within 24 to 48 hours. Paper requests take four to six weeks.6Mass.gov. Fees and Turnaround
Secretary of the Commonwealth fees depend on entity type and certificate type, not delivery method:2Secretary of the Commonwealth of Massachusetts. Corporations Division Filing Fees
- Corporations, domestic and foreign: $12 for a Certificate of Good Standing.
- LLCs: $25 for a Certificate of Good Standing, $12 for a Certificate of Existence.
- Limited partnerships: $25 for Good Standing, $12 for Legal Existence.
- Limited liability partnerships: $25 for Good Standing, $12 for Legal Existence.
Expedited processing on electronic filings adds $3 for filings under $25, or $6 for filings between $25 and $85.9Secretary of the Commonwealth. On the Secretary side, in-person requests are handled while you wait, online requests come back next-fastest, and mail is slowest because you’re stacking processing time on top of postal delivery both directions.
If Your Request Is Denied
Missing annual reports are the most common cause. Filing them isn’t complicated, but it isn’t always cheap. Corporations pay $125 per annual report, or $100 if filed electronically, plus a $25 late fee for each overdue report. LLCs pay $500 per report, or $450 electronically, with the same amount again if late.2Secretary of the Commonwealth of Massachusetts. If your entity was administratively dissolved, you’ll need to file an Application for Reinstatement. For domestic corporations, that means filing all annual reports for the previous ten fiscal years, attaching a DOR certificate confirming all corporate excise taxes and penalties are paid, and paying a $100 reinstatement fee. Your name also has to still meet naming requirements. If another entity took your name while you were dissolved, you’ll need to file a name change at the same time.10The Commonwealth of Massachusetts. Unresolved tax liabilities block the DOR certificate entirely. MassTaxConnect will not let you submit the application if the account shows a balance or an unfiled return.6Mass.gov. Simple typos cause a smaller share of denials but are worth ruling out first: a misspelled entity name or wrong ID number will bounce your request. Compare every field against your original registration documents before submitting.
Foreign Entities and Out-of-State Registration
If your business was formed in another state and is registered to transact business in Massachusetts, you can request a certificate confirming your foreign registration from the Corporations Division.11Secretary of the Commonwealth of Massachusetts. Going the other direction, if you’re a Massachusetts entity registering in another state, that state will almost certainly require a Massachusetts Certificate of Good Standing as part of foreign qualification. Some states require the certificate to be dated within 30 to 90 days of your application, so time your request to the deadline you’re actually working against rather than pulling it too early.
