Michigan Data Center Sales Tax Exemption: Form 3372 and Clawback Risk

Michigan’s data center sales tax exemption lets qualified data centers, their colocated customers, and certified enterprise data centers buy servers, networking gear, backup power, cooling, racks, prewritten software, and certain construction materials without paying the state’s 6% sales or use tax. The exemption lives in MCL 205.54ee (sales tax) and MCL 205.94cc (use tax), runs through at least December 31, 2050, and is claimed by giving the vendor a completed Form 3372 at the time of purchase.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions It is not automatic, and it is not unconditional. Three things decide whether a purchase qualifies: what kind of entity is buying, what the equipment is, and whether statewide job-creation thresholds have been met.

Who Qualifies

Three categories of entities can use the exemption, and each is defined narrowly.

Qualified Data Center

A qualified data center is one or more buildings in Michigan where the operator runs networked computers or facilities that centralize storage, processing, or distribution of data for outside clients. The operator has to be in the business of managing infrastructure for others, and at least 75% of the facility’s revenue must come from colocated businesses that are not affiliates of the owner or operator.2Michigan Department of Treasury. Data Center Exemption A company that mostly runs its own workloads and rents a bit of space on the side does not clear that 75% bar.

Colocated Business

A colocated business is a separate entity that contracts with a qualified data center to put its own equipment inside the facility for at least one year.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions If the arrangement runs under a year, the equipment bought for it does not qualify.

Enterprise Data Center

Enterprise data centers operate under a separate certificate issued by the Michigan Strategic Fund.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions Enterprise data centers located on property covered by a brownfield redevelopment plan or on land that was formerly an industrial power plant site get an extended exemption window through December 31, 2065. The Strategic Fund cannot issue new enterprise data center certificates after December 31, 2029, so operators who need one should plan around that cutoff. Certificates in effect on that date stay valid.

Equipment That Qualifies

The statute spells out the qualifying property with unusual specificity. Exempt data center equipment includes:

  • Computers, servers, and peripheral devices
  • Routers, switches, cabling, and wiring
  • Storage batteries, backup generators, uninterruptible power supply units, and other redundant power supply equipment
  • Environmental control equipment, including cooling systems and dedicated HVAC
  • Racks and shelving
  • Prewritten computer software used to operate, manage, or maintain the data center or the business of the data center or colocated business
  • Building materials, infrastructure, machinery, and tools used under the qualified data center’s proprietary construction method, including items that would normally be treated as fixtures

Two of these are broader than operators sometimes assume. The construction-materials category covers specialized items such as raised flooring and structural reinforcements built under the data center’s proprietary method, even once they become part of the real estate.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions And unlike many state programs, Michigan expressly covers prewritten software used to run the facility or the business inside it, so virtualization platforms, data management suites, and network monitoring tools fit.3Michigan Department of Treasury. What Is Not Covered

Equipment owned by a third party that supplies the data center’s primary power is specifically excluded.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions If a utility owns the transformers or switchgear feeding your facility, those stay taxable. Office furniture, administrative supplies, and anything not tied to data operations also fall outside the exemption.

How to Claim It: Form 3372

The exemption is claimed on Michigan Department of Treasury Form 3372, the Sales and Use Tax Certificate of Exemption.4Michigan Department of Treasury. Michigan Sales and Use Tax Certificate of Exemption You hand the completed form to the vendor at the time of purchase, which shifts the tax collection obligation off the seller for that transaction.

Working through the form:

  • In Section 1, choose a one-time purchase (with the order or invoice number) or a blanket certificate for recurring buys. A blanket certificate with no expiration works for ongoing vendor relationships with purchases at least once every 12 months. If the gap between purchases could run longer, use a blanket certificate with an expiration date; the maximum is four years.
  • In Section 2, enter your organization’s legal name exactly as it appears in Michigan Department of Treasury records, along with your Michigan tax identification number.
  • In Section 3, the data center exemption is not among the preprinted checkboxes. Check “Other” and write in the applicable citation: MCL 205.54ee for sales tax or MCL 205.94cc for use tax.
  • In Section 4, an authorized representative signs and dates under penalty of perjury, certifying the information is true and accepting responsibility for tax, penalty, and interest if the claim is later disallowed.

Digital copies with valid signatures are generally accepted for online procurement.4Michigan Department of Treasury. Michigan Sales and Use Tax Certificate of Exemption Some outdated references point to Form 4905; that form is an insurance company annual return and does not apply here.

Records and Audit Exposure

Sellers must keep records of every exempt sale, including the certificates or equivalent information in electronic format.4Michigan Department of Treasury. Michigan Sales and Use Tax Certificate of Exemption Michigan’s sales and use tax audit lookback is 48 months, so retain exemption certificates and supporting documentation for at least four years from each transaction.5Michigan Department of Treasury. Voluntary Disclosure

If Treasury concludes during an audit that a purchase did not qualify, the purchaser owes the original tax plus penalty and interest.4Michigan Department of Treasury. Michigan Sales and Use Tax Certificate of Exemption The most common failure is paperwork, not substance: the purchase clearly qualified, but the certificate was missing or incomplete. Organize records by transaction date and vendor so a records request does not become a scramble.

The Job-Creation Condition

Michigan’s exemption rides on statewide employment benchmarks measured from a January 1, 2016 baseline. The industry as a whole, not any one operator, has to clear them:

  • At least 400 data center industry jobs created statewide since January 1, 2016 (post-2022 threshold).
  • At least 1,000 data center industry jobs created statewide since January 1, 2016 (post-2026 threshold).

Local economic development corporations collect the employment numbers, certify them, and send them to the Michigan Strategic Fund, which forwards them to Treasury.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions The Strategic Fund must report to legislative leadership and the governor no later than April 1, 2026 on how many qualifying jobs have been created since 2016. If the industry falls short of 1,000, the exemption can be suspended for everyone, including facilities that individually created hundreds of positions. Your eligibility is partly a function of what the rest of the Michigan industry is doing.

Clawback Risk for Enterprise Data Centers

Enterprise data center operators carry an additional risk. If a certified facility stops meeting the statutory definition, the Michigan Strategic Fund can revoke the certificate, and revocation triggers repayment of every dollar of exempted tax plus interest.

Before revoking, the Strategic Fund must give written notice at least 60 days and no more than 180 days in advance, with an opportunity to show that the facility still qualifies.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions If that showing fails, the consequence depends on timing:

  • Revocation within 10 years of the certificate’s issuance: full repayment of all exemptions received, plus interest, with no reduction available.
  • Revocation after 10 years: the default is still full repayment plus interest, but the Strategic Fund has discretion to reduce the amount to as low as 50% of the total exemptions received.

Interest runs from January 1 of the year each exemption was received until repayment.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions A facility that has bought millions of dollars in equipment tax-free over a decade is looking at a large contingent liability if the certificate ever lapses. That is why operators treat eligibility as something to monitor continuously, not something to confirm once at the outset.

Dates to Watch

The core exemption for qualified data centers and colocated businesses has been in effect since January 1, 2016 and runs through December 31, 2050, subject to the job-creation thresholds. Enterprise data centers on qualifying brownfield or former power plant sites run through December 31, 2065. New enterprise data center certificates cannot be issued after December 31, 2029, so any project that would depend on one needs to secure it before that date.1Michigan Legislature. Michigan Compiled Laws 205.54ee – Data Center Equipment; Exemption From Tax; Conditions; Report; Definitions And the April 1, 2026 Strategic Fund report on statewide job creation is the next event that could change the exemption’s availability for everyone in the program.
