What the Certificate Proves and Who Asks for It

The certificate confirms your business is filed with the Minnesota Secretary of State and is currently active and authorized to operate. Depending on entity type, the office may issue it as a “Certificate of Good Standing” or a “Certificate of Existence and Registration.” Both serve the same purpose.2Office of the Minnesota Secretary of State. Lenders, investors, and prospective partners commonly request it to verify legal compliance before approving a loan or signing a contract. If you’re registering as a foreign entity in another state, that state’s filing office will almost always require a current certificate from Minnesota. It also comes up in mergers, acquisitions, and due diligence as proof your entity isn’t facing administrative dissolution or outstanding compliance issues.

Your Annual Renewal Has to Be Current

You can only get a Certificate of Good Standing if your entity is current on its filings. In Minnesota the key requirement is an annual renewal, not an annual report. People often search for the wrong form name and come up empty.

Corporations formed under Chapter 302A must file an annual renewal with the Secretary of State by December 31 each year, starting the year after incorporation.3Minnesota Office of the Revisor of Statutes. If You’re Not Currently in Good Standing

Missing an annual renewal has consequences beyond blocking the certificate. For corporations, failing to file during a calendar year leads to administrative dissolution; for LLCs, the equivalent is called administrative termination. Either way, your entity is no longer recognized as active.7Minnesota Office of the Revisor of Statutes. Renewing Your Business Continuing to operate without active status strips the liability protection you formed the entity for, so owners become personally exposed for business debts incurred during the gap.

Reinstating a dissolved corporation requires filing the missing annual renewal plus a $25 reinstatement fee. Once processed, the corporation returns to good standing as of the date of dissolution, which means it’s treated as though the dissolution never happened. Reinstatement also validates contracts and acts performed while the entity was dissolved, provided they were within the authority of the articles, and restores assets and rights to the extent they weren’t sold or distributed during the dissolution period.7Minnesota Office of the Revisor of Statutes.
