Minnesota LLC Tax Filing Requirements and Deadlines

A Minnesota LLC has two tracks of ongoing paperwork: a free annual renewal with the Secretary of State by December 31, and tax filings with the Department of Revenue that follow whatever classification the IRS has assigned your LLC. Minnesota LLC tax filing requirements track the federal treatment, so a single-member LLC reports on the owner’s personal return, a multi-member LLC files a partnership return, an S corp election triggers Form M8, and a C corp election triggers Form M4. Members pay individual income tax on pass-through income at rates from 5.35% to 9.85%, and larger entities owe an added minimum fee.

Annual Renewal With the Secretary of State

Every Minnesota LLC must file an annual renewal with the Secretary of State by December 31.1Minnesota Office of the Revisor of Statutes. Minnesota Code 322C.0208 – Annual Report for Secretary of State The filing is free online, by mail, or in person.2Minnesota Secretary of State. Business Filing and Certification Fee Schedule Your first renewal isn’t due until the calendar year after formation, so an LLC organized in 2025 owes its first renewal by December 31, 2026.

The form asks for your LLC’s name, registered office address, registered agent, the name and business address of the manager or principal officer, the principal executive office address if different, and an email address for future notices.3Minnesota Office of the Revisor of Statutes. Minnesota Code 5.34 – Annual Renewal

Miss the deadline and the Secretary of State administratively terminates the LLC, stripping its authority to do business in Minnesota.1Minnesota Office of the Revisor of Statutes. Minnesota Code 322C.0208 – Annual Report for Secretary of State Reinstatement takes one annual renewal filing and a $25 fee, and it restores the LLC as of the termination date.4Minnesota Office of the Revisor of Statutes. Minnesota Code 322C.0706 – Reinstatement Operating in the gap puts your liability shield at risk, so file on time.

Which Minnesota Tax Return Your LLC Files

Minnesota treats your LLC the same way the IRS does.5Minnesota Department of Revenue. Revenue Notice 02-10: Sales and Use Tax – Single-Member Limited Liability Companies Classification controls which form you file and who pays.

Single-Member LLC

A single-member LLC is a disregarded entity for federal and state purposes. Report business income and expenses on your federal Schedule C and carry those amounts to Minnesota Form M1, your individual income tax return.6Minnesota Department of Revenue. Partnership Filing Requirements No separate state entity return. Active owners also owe federal self-employment tax at 15.3% on net business income.

Multi-Member LLC (Partnership Default)

Multi-member LLCs default to partnership treatment and file Form M3, Minnesota’s partnership return, which reports entity income and allocates each member’s share.6Minnesota Department of Revenue. Partnership Filing Requirements Members pay the tax on their personal returns. The entity itself owes no income tax but may owe the minimum fee.

LLC Taxed as an S Corporation

If you’ve elected S corporation status federally, the LLC files Minnesota Form M8.7Minnesota Department of Revenue. S Corporation Filing Requirements Income still passes through to shareholders, who pay individual tax on their shares, and the entity may still owe the minimum fee.

LLC Taxed as a C Corporation

C corporation elections file Form M4, the Corporation Franchise Tax Return.8Minnesota Department of Revenue. 2025 Minnesota Corporation Franchise Tax Instructions The entity pays tax on its own income at a 9.8% corporate franchise rate, and members pay again on distributions.

Individual Income Tax Rates on Pass-Through Income

Members pay Minnesota tax at four graduated rates. For 2026, the brackets for single filers are:9Minnesota Department of Revenue. Minnesota Income Tax Brackets, Standard Deduction and Dependent Exemption

  • 5.35% on taxable income up to $33,310
  • 6.80% from $33,311 to $109,430
  • 7.85% from $109,431 to $203,150
  • 9.85% above $203,150

Married couples filing jointly have wider brackets, with the top rate kicking in above $337,930. Thresholds adjust for inflation; the four rate percentages are fixed by statute. LLC income stacks on top of other income, so a profitable year can push you up a bracket.

The Minimum Fee

Partnerships, S corporations, and LLCs taxed as either owe an annual minimum fee when their combined Minnesota property, payroll, and sales cross a threshold. It applies on top of income tax, even when the entity itself owes none. For 2026:10Minnesota Department of Revenue. Minimum Fee

  • Under $1,280,000: no fee
  • $1,280,000 to $2,559,999: $260
  • $2,560,000 to $12,829,999: $770
  • $12,830,000 to $25,639,999: $2,560
  • $25,640,000 to $51,279,999: $5,140
  • $51,280,000 or more: $12,830

Thresholds adjust each year. Most small LLCs fall below the floor and owe nothing. The fee is calculated on Form M3 or Form M8 and paid with that return.10Minnesota Department of Revenue. Minimum Fee

Quarterly Estimated Payments

If you expect to owe $500 or more in Minnesota income tax after withholding and refundable credits, you must make quarterly estimated payments.11Minnesota Department of Revenue. Estimated Tax LLC distributions don’t carry automatic state withholding, so this catches most members with real pass-through income.

Payments are due April 15, June 15, September 15, and January 15 of the following year. To avoid an underpayment penalty, your combined payments and withholding must equal at least 90% of your current-year tax or 100% of your prior-year tax. If your federal adjusted gross income exceeded $150,000, the prior-year safe harbor rises to 110%.11Minnesota Department of Revenue. Estimated Tax You can skip the January 15 payment if you file your return and pay the balance by January 31.

Sales Tax and Employment Tax Triggers

If your LLC sells taxable goods or services, register with the Department of Revenue and collect sales tax at the point of sale. The statewide rate is 6.875%, with many cities and counties adding local taxes on top.12Minnesota Department of Revenue. Taxes and Rates You remit the combined rate on a monthly, quarterly, or annual schedule assigned by the Department based on volume. Failing to collect and remit sales tax can create personal liability for the people responsible, not just the entity.

With employees, you must withhold Minnesota income tax from wages and remit it to the Department of Revenue, and you’ll need a Minnesota Tax ID separate from your federal EIN.13Minnesota Department of Employment and Economic Development. Business Tax Liabilities Any employer paying covered wages must also register with Minnesota Unemployment Insurance and pay quarterly UI tax.14Minnesota Department of Employment and Economic Development. Return Deadlines and Extensions

Minnesota deadlines mirror the federal ones. Calendar-year partnerships and S corporations file by March 15 (March 16 in 2026 because the 15th is a Sunday). Calendar-year C corporations file by April 15.15Minnesota Department of Revenue. 2025 M3 Partnership Instructions

Partnerships and S corporations get an automatic six-month filing extension, provided any tax owed is paid by the original due date. If the IRS grants a federal extension longer than six months, Minnesota matches it.15Minnesota Department of Revenue. 2025 M3 Partnership Instructions Request the federal extension on Form 7004.16Internal Revenue Service. About Form 7004, Application for Automatic Extension of Time to File Certain Business Income Tax, Information, and Other Returns An extension buys filing time, not payment time; unpaid balances accrue interest and penalties from the original due date.

Penalties and Interest for Missed Deadlines

Late filing and late payment are separate penalties, and they can stack. For partnership, S corporation, and corporate franchise returns:17Minnesota Department of Revenue. Penalties and Interest for Businesses

  • Late payment: 6% of unpaid tax as of the original due date
  • Late filing: an additional 5% if you file after the due date without paying in full
  • Repeat offenders: 25% of unpaid tax for each late period, assessed after a Department warning letter

Corporate franchise filers avoid the late payment penalty if they pay at least 90% of the tax by the original due date and the rest by the extended deadline. For sales and withholding taxes, the late payment penalty starts at 5% and climbs 5% every additional 30 days up to a 15% cap.17Minnesota Department of Revenue. Penalties and Interest for Businesses

Interest runs on all unpaid tax and penalties until paid in full. The 2026 interest rate is 7%.17Minnesota Department of Revenue. Penalties and Interest for Businesses

How to File

The Department of Revenue’s e-Services portal is the fastest route. You can submit returns, manage your Minnesota Tax ID account, and schedule bank payments, and the system issues a confirmation number as proof of filing.18Minnesota Department of Revenue. e-Services Information Electronic returns typically process within a few business days.

Paper filing still works. Mail completed forms to the addresses in the form instructions, and use certified mail near a deadline. Paper returns take several weeks to process. Keep confirmation numbers and payment receipts either way; they’re your proof if the Department later questions whether you filed on time.

Pass-Through Entity Tax Election Has Expired

Minnesota’s elective pass-through entity tax, which let qualifying LLCs, partnerships, and S corporations pay state income tax at the entity level at 9.85% and gave members a refundable credit, has expired for tax years beginning after December 31, 2025. It is not available for the 2026 tax year.19Minnesota Department of Revenue. Pass-Through Entity (PTE) Tax If your LLC still needs to make the election for its 2025 tax year, the deadline is the entity’s extended due date, which is September 15, 2026 for calendar-year filers.
