The Mississippi LLC annual report is due to the Secretary of State by April 15 each year, filed online, with no fee for domestic LLCs and a $250 fee for foreign LLCs registered to do business in the state.1Mississippi Secretary of State. When It’s Due and What It Costs
The filing window runs from January 1 through April 15.1Mississippi Secretary of State. Annual Reports Every active LLC has to file, whether or not the company did any business the year before, and the rule applies to both Mississippi-formed LLCs and out-of-state LLCs registered here.3Justia Law. Domestic LLCs file for free. Foreign LLCs owe $250.2Mississippi Secretary of State. Business Documents Filing Fees If your LLC was originally formed in another state, budget for that difference; it catches multi-state owners off guard.
The Secretary of State will still accept a report after April 15, but only until dissolution proceedings begin.4Legal Information Institute. 1 Mississippi Code R 7-2.1 – Due Date for Limited Liability Company Annual Reports Once that clock starts, a simple late filing no longer fixes the problem.
What You’ll Need Before You File
The annual report is an informational update, not a tax return. All the information has to be accurate as of the day you sign and submit.3Justia Law. Mississippi Code 79-29-215 – Annual Report for Secretary of State Have the following ready:
- The LLC’s legal name and the state or country where it was formed.
- Your registered agent’s name, email address, and physical Mississippi street address.
- The LLC’s principal office address, which can be outside Mississippi.
- Names and business addresses of all managers (for a manager-managed LLC) or at least one member (for a member-managed LLC).
- Names, titles, and business addresses of any officers the LLC has appointed.
- A yes-or-no answer on whether the LLC has a written operating agreement.
- A brief description of what the business does.
The registered agent entry trips people up most often. It has to be a physical Mississippi street address, not a P.O. box, and the agent has to still be serving in that role. An LLC without a registered agent for 60 days or more creates a separate ground for dissolution, independent of the annual report deadline.5Justia Law. Mississippi Code 79-29-821 – Grounds for Administrative Dissolution
You’ll also need your Mississippi Business ID number. If you don’t have it, look it up through the Secretary of State’s business search tool using the LLC’s legal name.
Filing Online
All annual reports have to be filed electronically through the Secretary of State’s online portal.6Mississippi Secretary of State. Business Services Online Filing Portal Paper filings are not accepted. Log in (or create an account) and choose the annual report option from the business filings menu.1Mississippi Secretary of State. Annual Reports
The system pre-populates most fields from your last filing, so the work is mostly confirming or updating each entry. Review every line. If the Secretary of State finds the report incomplete, they’ll return it for correction, and you have 30 days from the date of that notice to resubmit before it’s treated as late.3Justia Law. Mississippi Code 79-29-215 – Annual Report for Secretary of State
Once submitted, the portal shows a confirmation screen. Save a copy of the filed report with your permanent business records. That’s your proof of compliance if a question about your LLC’s good standing comes up later.
If You Miss the Deadline
Missing April 15 doesn’t dissolve your LLC on the spot, but once the report is more than 60 days overdue, the Secretary of State can begin dissolution proceedings against a domestic LLC.5Justia Law. Mississippi Code 79-29-821 – Grounds for Administrative Dissolution You’ll get written notice identifying the problem, and from the date you receive it you have another 60 days to fix things by filing the overdue report.7FindLaw. Mississippi Code 79-29-823 – Administrative Dissolution
Let that second window close and the Secretary of State signs a certificate of administrative dissolution. Your LLC stops existing as a legal entity. It can’t file lawsuits, defend itself in court, or rely on the liability shield that keeps your personal assets separate from business debts. Any contracts signed while the company is dissolved carry risk, because the LLC technically lacks authority to act.
Failure to file the report isn’t the only trigger. The Secretary of State can also start dissolution proceedings if the LLC lacks a registered agent for 60 days, fails to pay required fees, or if the Department of Revenue reports delinquent taxes.5Justia Law. Mississippi Code 79-29-821 – Grounds for Administrative Dissolution
Foreign LLCs go through a parallel process. Instead of dissolution, the Secretary of State revokes the foreign LLC’s certificate of authority to do business in Mississippi, on the same grounds: failing to file the annual report within 60 days of the deadline, lacking a registered agent, or not paying required fees.8Mississippi Secretary of State. Mississippi Revised Limited Liability Company Act – Section 79-29-1021 The practical effect matches dissolution: the company loses authorization to transact business, file suit, or enforce contracts in Mississippi until registration is restored. The entity itself still exists in its home state.
Getting Back Into Good Standing
An administratively dissolved LLC can apply for reinstatement at any time after dissolution. The application has to confirm that whatever caused the dissolution has been corrected and that the LLC’s name still meets Mississippi’s naming requirements.9Justia Law. Mississippi Code 79-29-825 – Reinstatement Following Administrative Dissolution The filing fee is $50.2Mississippi Secretary of State. Business Documents Filing Fees
Reinstatement runs through the same online portal as annual reports. You’ll need to file any overdue annual reports as part of bringing the company back into compliance. If delinquent state taxes were part of the dissolution, the system may require a tax clearance letter from the Mississippi Department of Revenue before reinstatement can go through.10Mississippi Secretary of State. Business FAQs – Section: How Do I Reinstate My Administratively Dissolved Company
Once approved, reinstatement relates back to the dissolution date. Legally, it’s treated as though the dissolution never happened, and the LLC’s obligations and liabilities during the gap are determined as if the company had been active the whole time.9Justia Law. Mississippi Code 79-29-825 – Reinstatement Following Administrative Dissolution That retroactive effect helps, but it doesn’t erase the practical fallout. Banks may freeze accounts, contracts can lapse, and partners may lose confidence while public records show the LLC as dissolved. Filing on time is far easier than cleaning up afterward.
