Missouri Retail Sales License: Requirements, Bond, and Filing

A Missouri retail sales license is the free registration every business selling taxable goods or services in the state must get from the Department of Revenue before making its first sale. There is no fee for the license, and it does not expire, but most new businesses have to post a small sales tax bond first, and the license stays valid only as long as you file and pay on time.1Missouri Revisor of Statutes. Who Needs One

If you sell tangible personal property to consumers in Missouri, you need the license. That applies to storefronts, home-based sellers, flea market vendors, and temporary or itinerant businesses.2Missouri Department of Revenue. Business Tax Registration FAQs It also applies to businesses providing certain taxable services, including telecommunications, lodging, utilities, and some amusement and entertainment services.3Missouri Department of Revenue. Out-of-state sellers register instead when their gross receipts from deliveries into Missouri exceed $100,000 in the current or previous calendar year; below that threshold, no Missouri registration is required.4Missouri Senate. Conference Committee Substitute for Senate Bills Nos. 153 and 97 Nonprofits are not automatically exempt. Missouri law exempts sales made by or to religious, charitable, and educational organizations only when the sales are part of those core functions; a nonprofit selling merchandise outside that scope collects sales tax like any other retailer and must apply for and receive formal exemption approval before treating any sale as exempt.5Missouri Revisor of Statutes. How to Apply

Registration runs through the Missouri Tax Registration Application, Form 2643, submitted online through the MyTax Missouri portal or by mail.6Missouri Department of Revenue. Missouri Tax Registration Application Form 2643 The form asks for your business’s legal structure, ownership details, federal EIN, and estimated taxable sales. Corporations, LLCs, and partnerships also provide their Missouri Secretary of State registration information.

The license itself is free. The director of revenue must issue it within ten working days of receiving a complete application, and online submissions generally process faster.1Missouri Revisor of Statutes. Missouri Code 144.083 – Retail Sales License Required Once you have it, display it prominently at your place of business.

One catch: if you owe outstanding sales or withholding tax from a previous business, you must pay that balance plus interest and penalties before the Department will issue a new license.1Missouri Revisor of Statutes. The Sales Tax Bond

Most new applicants have to post a bond before the license is issued. The bond amount equals three times your average estimated monthly sales tax liability, with a floor of $25 if the calculated figure comes to less than $500.8Legal Information Institute. 12 CSR 10-104.020 – Sales and Use Tax Bonds

You can satisfy the requirement with a corporate surety bond, a cash bond, an irrevocable letter of credit, or a certificate of deposit pledged to the DOR.9Missouri Revisor of Statutes. Missouri Code 144-087 – Retail Sales Licensee Bond Requirements Surety premiums typically run between 1% and 10% of the bond amount per year, depending on your credit. After two years of on-time filing and payment, the DOR releases or refunds the bond.8Legal Information Institute. 12 CSR 10-104.020 – Sales and Use Tax Bonds

Temporary and itinerant vendors post their bond before selling anything, and the director sets the amount based on how long the sales activity is expected to last.9Missouri Revisor of Statutes. Missouri Code 144-087 – Retail Sales Licensee Bond Requirements

Collecting the Right Rate

Once licensed, you collect tax on every taxable sale. Missouri’s state rate is 4.225%, and cities, counties, and special districts add their own rates on top; combined rates in some areas exceed 10%.10Missouri Department of Revenue. Sales/Use Tax The DOR publishes a rate lookup tool tied to your business address.

Sellers with more than $500,000 in annual gross sales who provide receipts or invoices must clearly state the total sales tax rate on those documents.10Missouri Department of Revenue. Sales/Use Tax Smaller sellers don’t have to itemize tax on receipts, but it’s the standard practice.

If you pull inventory off the shelf for your own use rather than selling it, you owe use tax on those items at the same combined rate, since you originally bought them tax-free for resale.

Filing Schedule and Late Penalties

How often you file depends on how much state sales tax you collect:

  • Monthly if you collect $500 or more in state sales tax per month; returns are due by the last day of the following month.
  • Quarterly if you collect less than $500 per month; returns are due April 30, July 31, October 31, and January 31.
  • Annually if you collect less than $200 per quarter; the return is due January 31 of the following year.

File a return for every period, even one with no sales. A zero-dollar return skipped is treated the same as a late filing.11Missouri Department of Revenue. Maintain Sales/Use Tax

File on time and you keep 2% of the tax due as a timely filing allowance; on $1,000 owed, you remit $980.12Missouri Department of Revenue. Sales Tax Filing FAQs Miss the deadline by a day and the allowance is gone.

Filing the return but paying late brings a flat 5% penalty on the amount owed. Not filing at all costs 5% per month, up to a 25% maximum, plus daily interest on the unpaid balance at the DOR’s current annual rate.11Missouri Department of Revenue. Maintain Sales/Use Tax

Keep all sales tax records for at least three years from the date you filed the return, including receipts, invoices, and any exemption certificates you accepted.

Exempt Sales and Resale Purchases

When a customer says a purchase is exempt, get a completed Form 149, the Sales and Use Tax Exemption Certificate, before you leave off the tax. Form 149 covers resale, exempt organizations, and manufacturing exemptions, among others.13Missouri Department of Revenue. Form 149 – Sales and Use Tax Exemption Certificate

You have a duty of care in accepting these certificates. The exemption claimed has to make sense for what’s being sold; accepting a resale certificate for goods that clearly won’t be resold won’t protect you in an audit. Missouri doesn’t offer an online way to verify a Form 149, so the judgment at the counter is yours. Keep every certificate for the three-year retention period.

Going the other direction, you can use your own Missouri retail sales license number on a Form 149 to buy inventory tax-free from your suppliers.

When the License Ends

The license stays valid until you surrender it or the director of revenue revokes it. There is no renewal.1Missouri Revisor of Statutes. Missouri Code 144.083 – Retail Sales License Required The director can revoke it, after ten days’ notice, if you fall 60 days behind on sales or withholding tax, and the revocation can be published publicly.

Closing your business means filing Form 126 to close the account and filing a final sales tax return within 15 days of ceasing operations.14Missouri Revisor of Statutes. Missouri Code 144.150 – Final Return and Successor Liability Skip that step and the DOR still expects returns from you, including zero-dollar ones, and missing them generates penalties.7Missouri Department of Revenue. Staying current matters beyond DOR penalties. Cities, counties, and other state agencies check your sales and withholding tax status through a Certificate of No Tax Due before issuing or renewing local business licenses.15Missouri Department of Revenue. Online No Tax Due System Information Falling behind can cost you the ability to renew those local licenses.

Buying an Existing Business

If you’re taking over an existing business rather than starting one, Missouri makes you personally liable for the seller’s unpaid sales tax unless you protect yourself. You must withhold enough of the purchase price to cover any outstanding liability, or you inherit the debt.14Missouri Revisor of Statutes. Missouri Code 144.150 – Final Return and Successor Liability

Before closing, the seller is legally required to request a tax clearance statement from the DOR and give it to you. The DOR issues the statement within 15 business days of the request, and you can rely on it for 120 days.14Missouri Revisor of Statutes. Missouri Code 144.150 – Final Return and Successor Liability A seller who won’t request one is a red flag.

Selling Without a License

Operating in Missouri without a valid retail sales license carries administrative penalties of up to $500 for the first day and $100 for each additional day, capped at $10,000, on top of any unpaid tax, interest, and other penalties under Chapter 144. It’s also a misdemeanor.16Missouri Revisor of Statutes. Missouri Code 144.118 – Penalty for Failure to Obtain Retail Sales Tax License2Missouri Department of Revenue. Business Tax Registration FAQs

First-time Missouri business owners get one narrow break: the daily penalty does not apply during the first 20 days. That relief does not extend to anyone who has operated a business in the state before, and it doesn’t excuse the underlying duty to collect and remit sales tax during those 20 days.16Missouri Revisor of Statutes.
