A Montana Certificate of Good Standing is officially called a Certificate of Existence, and you request it from the Montana Secretary of State online for a $5 fee.1Montana Secretary of State. Business Services Filing Fees The certificate confirms that your business is properly formed, current on its annual report, and has paid all fees, taxes, and penalties owed to the state.2Montana State Legislature. Montana Code 35-14-128 – Certificate of Existence or Registration If your business is a corporation or LLC formed in Montana, you’ll get a Certificate of Existence; if it was formed in another state and registered to do business in Montana, you’ll get a Certificate of Registration. Both documents work the same way lenders and other states expect a good standing certificate to work.
How To Request the Certificate
Requests go through the Secretary of State’s business services portal at biz.sosmt.gov.3Montana Secretary of State. Online Business Services Any person can submit the request, not just an owner or officer. The fee is a flat $5 regardless of entity type, so a corporation, LLC, or association all pay the same.1Montana Secretary of State. Business Services Filing Fees
The certificate reflects your compliance status on the day it’s issued. It doesn’t carry a formal expiration, but the party asking for it usually does. Banks and other states commonly want a certificate dated within the last 30 to 90 days, so time your request to the transaction rather than ordering one far in advance.
Get Current Before You Request It
The Secretary of State will not issue a Certificate of Existence if your business has an open compliance problem. The most common one is a missed annual report. Montana’s filing window runs January 1 through April 15 each year, and the report is free for corporations and LLCs filed in that window.3Montana Secretary of State. You file the annual report by searching for your business on biz.sosmt.gov, clicking the entity name, and selecting “File Annual Report.”3Montana Secretary of State. Fix the filing, pay any outstanding fees or penalties, and then request the certificate.
What the Certificate Confirms
For a domestic corporation, a Certificate of Existence confirms four things, drawn from Secretary of State records:2Montana State Legislature. Montana Code 35-14-128 – Certificate of Existence or Registration
- The entity is duly incorporated under Montana law, with the date of incorporation.
- All fees, taxes, and penalties owed to the state have been paid.
- The most recent required annual report has been filed.
- Articles of dissolution have not been filed, the corporation has not been administratively dissolved, and no dissolution proceeding is pending.
For a foreign entity registered in Montana, the Certificate of Registration confirms current registration, that fees and taxes are paid, and that annual reports are current. Anyone receiving the certificate can treat its contents as conclusive evidence of those facts under Montana law.2Montana State Legislature. When You’ll Be Asked for One
Registering in Another State
If your Montana business expands and needs to register as a foreign entity in another state, that state will almost always ask for a Certificate of Existence from Montana as part of the foreign qualification process. Most states want the certificate dated within the last 30 to 90 days.
Financing, M&A, and Major Contracts
Banks and investors routinely request a Certificate of Existence during due diligence. The same request shows up in mergers, acquisitions, and significant contract negotiations where the other side wants documented proof it’s dealing with a legally recognized entity before signing or funding.
Government Contracts and Licensing
Competing for state or federal contracts typically requires proof of good standing. Federal contracting through SAM.gov requires your legal business name to match exactly what’s registered with your state, so a dissolution or name discrepancy can stall a registration. Some professional licenses and permits also require current good standing as a precondition for issuance or renewal.
If You’ve Been Administratively Dissolved
If the certificate request is being blocked because your business has already been administratively dissolved, you’ll need to reinstate before a Certificate of Existence can issue. Dissolution follows a set process: on or before September 1 each year, the Secretary of State identifies corporations with grounds for dissolution and sends written notice, giving the business 90 days to fix the problem. If it isn’t corrected, the Secretary of State signs a certificate of dissolution and the corporation loses its right to conduct business in Montana beyond winding up its affairs.4Montana State Legislature. Montana Code 35-14-1421 – Procedure for and Effect of Administrative Dissolution
Reinstatement requires clearing every delinquency that caused the dissolution. For an LLC, that means an application signed by a member who was with the company at dissolution, confirming the LLC’s assets haven’t been liquidated and that a majority of members authorized the reinstatement, plus a tax clearance certificate from the Montana Department of Revenue and every delinquent annual report.5Montana State Legislature. Montana Code 35-8-210 – Reinstatement of Dissolved Limited Liability Company LLC reinstatement has a hard five-year deadline from the date of dissolution.
Fees stack up with time. A profit corporation pays $30 for reinstatement plus $35 for each year of delinquent annual reports. An LLC pays $35 plus $35 per delinquent year.1Montana Secretary of State. Business Services Filing Fees A business dissolved for three years would owe its reinstatement fee plus $105 in back annual reports, on top of any taxes and penalties owed to the Department of Revenue.
Once reinstated, the restoration relates back to the date of dissolution, and the LLC is treated as if it had been a legal entity continuously since formation.5Montana State Legislature.
