The Nebraska LLC biennial report is a short filing every Nebraska LLC must submit to the Secretary of State during odd-numbered years, due by April 1, that confirms the company’s name, office addresses, and registered agent. The next deadline is April 1, 2027. The fee is $30, and missing the deadline eventually leads to administrative dissolution.1Nebraska Secretary of State. Annual/Biennial Reporting
When the Report Is Due
Nebraska LLCs file in odd-numbered years only. The window opens January 1 and closes April 1 of each odd year, so a report filed in early 2027 covers you until the next cycle in 2029.1Nebraska Secretary of State. Annual/Biennial Reporting Domestic LLCs formed in Nebraska and foreign LLCs authorized to do business here follow the same schedule.
Your first report depends on when you formed. An LLC organized in an even-numbered year files its first report by April 1 of the next odd-numbered year. An LLC organized in an odd-numbered year does the same: first report by April 1 of the following odd-numbered year.2Nebraska Legislature. Nebraska Revised Statutes 21-125 – Biennial Report
The Grace Period Before Delinquency
Missing April 1 does not immediately damage your standing. Nebraska gives you until June 16 of the same year before marking the entity delinquent. After June 16, the Secretary of State will administratively dissolve a domestic LLC or revoke a foreign LLC’s authority to transact business.1Nebraska Secretary of State. Annual/Biennial Reporting No separate late fee applies between April 1 and June 16, so if you’ve missed the deadline, file right away rather than waiting.
What the Report Asks For
The information set is short and administrative. Under Nebraska law, the report must list:2Nebraska Legislature. Nebraska Revised Statutes 21-125 – Biennial Report
- The exact legal company name on file with the Secretary of State.
- The street and mailing address of the company’s designated office in Nebraska.
- The name and street address of the registered agent authorized to accept legal documents. A P.O. box alone is not enough, though a P.O. box can be listed alongside a physical address.
- The street and mailing address of the principal office where the company conducts primary operations. This can be outside Nebraska.
- For foreign LLCs only, the state or country where the LLC was originally organized.
You are not asked to disclose members, managers, financials, or tax information. All information must be current as of the date you file. If your principal office has moved since your last report, update it when you submit.

Changing Your Registered Agent or Designated Office
The biennial report itself cannot change your registered agent or designated office address. Those updates require a separate Statement of Change of Designated Office, Registered Agent and/or Registered Agent’s Address, which costs $25 online or $30 by mail.8Nebraska Secretary of State. Statement of Change of Designated Office, Registered Agent and/or Registered Agent’s Address You can, however, update your principal office address directly on the biennial report with no extra filing.
Series LLCs and Professional LLCs
Professional LLCs file on the same biennial schedule as standard LLCs, and the Secretary of State does not require proof of professional licensure as part of the report.1Nebraska Secretary of State. Annual/Biennial Reporting
A series LLC with protected series does not file a separate report for each series. The parent files one biennial report and must list the name of every active protected series on file with the Secretary of State. Leaving a protected series off the report does not affect the series itself, but the Secretary of State will not issue a certificate of existence for that series until the information is corrected.9Nebraska Legislature. Fixing a Mistake After You File
If you catch an error in a report you already submitted, you can file a correction at any time.2Nebraska Legislature. Nebraska Revised Statutes 21-125 – Biennial Report Use the Amendment or Correction to Domestic Limited Liability Company Biennial Report form. The fee is $30, and you need a separate form for each report year being corrected.10Nebraska Secretary of State. Amendment or Correction to Domestic Limited Liability Company Biennial Report This amendment form cannot change your registered agent or designated office; those still require the separate Statement of Change filing.
There is also a built-in safety net at submission. If the Secretary of State receives your report and finds required information missing, the office will notify you and return it. If you fix and resubmit within 30 days of that notice, the report counts as timely filed.2Nebraska Legislature. Nebraska Revised Statutes 21-125 – Biennial Report
What Happens If You Don’t File
The consequences come in two stages. Between April 1 and June 16 you are late but not yet in trouble. After June 16, the Secretary of State will administratively dissolve a domestic LLC or revoke a foreign LLC’s authority to do business in the state.1Nebraska Secretary of State. Annual/Biennial Reporting
Administrative dissolution is more than a status label. A dissolved LLC continues to exist only to wind up its affairs: paying debts, settling obligations, and distributing remaining assets. It can defend lawsuits and take steps necessary to wrap things up, but it should not be entering new contracts or carrying on business as usual.11Nebraska Legislature. Nebraska Revised Statutes 21-148 – Winding Up The liability protection members normally enjoy may also be compromised while the company sits in dissolved status.
Reinstating a Dissolved LLC
If your LLC has already been dissolved, you can apply to reinstate it. The application requires two documents filed together: the Application and Declaration of Reinstatement and a completed biennial report. Total cost is $60, split between a $30 biennial filing fee and a $30 reinstatement fee.3Nebraska Secretary of State. Application for Reinstatement of Limited Liability Company
Reinstatement cannot be filed online. Mail both forms with a check payable to “Secretary of State” to:

P.O. Box 94608

The application asks for the LLC’s name, the date of dissolution, and the reason. You must declare that the grounds for dissolution have been eliminated and that the company’s name still meets Nebraska’s naming requirements. If you need to change the LLC’s name or registered agent as part of reinstatement, additional forms and fees apply.3Nebraska Secretary of State. Application for Reinstatement of Limited Liability Company Nebraska does not require a tax clearance certificate from the Department of Revenue as a condition of reinstatement.
