New York City Tax Compliance: Deadlines, Filing, and Late Penalties

New York City tax compliance means meeting the filing and payment obligations imposed by the NYC Department of Finance on top of your state and federal returns. Depending on where you live, what you own, and how you earn, that can include personal income tax, one of two corporate taxes, the Unincorporated Business Tax, Commercial Rent Tax, sales tax, transfer tax on real estate, or the Hotel Room Occupancy Tax. Each has its own form, rate, and deadline, and the penalties for missing any of them stack quickly.

Start by matching your situation to the city’s tax categories. Most people and businesses owe at least one; many owe several.

Personal Income Tax (NYC Residents)

If you’re a city resident, you owe NYC personal income tax, collected alongside your state return. You’re a resident if your domicile is in the city, or if you keep a permanent place of abode there for substantially all of the year and spend 184 or more days in the city during the tax year. Any part of a day counts as a full day.1New York State Department of Taxation and Finance. Income Tax Definitions – Section: Resident

Rates have held steady since 2017 and run from 3.078 percent on the lowest bracket to 3.876 percent above the top threshold, with two intermediate rates of 3.762 and 3.819 percent. For single filers the top rate kicks in above $50,000 of city taxable income; for married couples filing jointly, above $90,000.2Office of the New York City Comptroller. Unincorporated Business Tax (Freelancers, Sole Proprietors, Partnerships)

If you’re self-employed, a freelancer, a single-member LLC, or a partner in a partnership doing business in the city, you likely owe UBT at a flat 4 percent on income allocated to NYC. Smaller operations catch a break: if your UBT liability is $3,400 or less, a credit wipes it out entirely, and liabilities between $3,401 and $5,400 get a partial credit that phases out.3New York City Department of Finance. Unincorporated Business Tax (UBT)

City residents who pay UBT can claim a credit against their NYC personal income tax to soften the double hit. The credit covers 100 percent of UBT paid if your city taxable income is $42,000 or less, phasing down to 23 percent above $142,000. It can zero out your city personal income tax but won’t produce a refund.4New York State Department of Taxation and Finance. Business Corporation Tax or General Corporation Tax

For tax years beginning on or after January 1, 2015, the General Corporation Tax applies only to S corporations and qualified S subsidiaries. Every other corporation files under the Business Corporation Tax.5New York City Department of Finance. Business General Corporation Tax (GCT)

The Business Corporation Tax reaches any domestic or foreign corporation doing business, employing capital, owning or leasing property, or maintaining an office in NYC. The primary rate is 8.85 percent of business income allocated to the city, but the tax is computed under multiple methods (including business capital and gross receipts bases), and the corporation pays whichever produces the largest number.6Department of Finance. Commercial Rent Tax (Manhattan Below 96th Street)

If you lease business space in Manhattan south of the center line of 96th Street and your annual rent is at least $250,000, you owe CRT. The statutory rate is 6 percent, but every taxpayer gets an automatic 35 percent rent reduction, which brings the effective rate to 3.9 percent.7New York City Department of Finance. Business Commercial Rent Tax (CRT) The tax falls on the tenant, not the landlord. Tenants outside Manhattan or above 96th Street are not subject to CRT.

Sales and Use Tax

Any vendor selling taxable goods or services in NYC must register for a Certificate of Authority through New York Business Express before the first sale. The combined rate is 8.875 percent: 4.5 percent city, 4 percent state, and a 0.375 percent Metropolitan Commuter Transportation District surcharge.8New York State Department of Taxation and Finance. Real Property Transfer Tax

Sellers of city real estate owe RPTT whenever property changes hands for more than $25,000. Rates run on the full consideration, not just the amount above a threshold:

  • Residential one- to three-family homes, individual condos, and co-op units: 1 percent at $500,000 or less; 1.425 percent above $500,000.
  • All other transfers (commercial, multi-family): 1.425 percent at $500,000 or less; 2.625 percent above $500,000.9New York City Department of Finance. Real Property Transfer Tax (RPTT)

Hotel Room Occupancy Tax

Hotels, short-term rental operators, and similar lodging providers owe 5.875 percent on room charges plus a flat daily surcharge of $0.50 to $2.00 per room depending on the nightly rate. Rooms at $40 or more per night carry the full $2.00 flat fee on top of the percentage.10New York City Department of Finance. Business Hotel Room Occupancy Tax

Key Filing Deadlines

Calendar-year corporations must file the Business Corporation Tax return and pay by April 15 of the following year. An automatic six-month extension is available on Form NYC-EXT if filed before the original due date and if you correctly estimate and pay the tax owed with the extension. Up to two additional three-month extensions can be requested on Form NYC-EXT.1.11Department of Finance. Business Corporation Tax

If you expect to owe a significant amount of city tax, you need to make quarterly estimated payments instead of waiting for the annual return. For 2026 calendar-year filers:

  • First payment: April 15, 2026
  • Second payment: June 15, 2026
  • Third payment: September 15, 2026
  • Fourth payment: January 15, 2027

Each installment is generally 25 percent of the required annual payment, which you can base on either 90 percent of what you’ll owe for the current year or 100 percent of what you owed last year, whichever is less.12New York State Department of Taxation and Finance. Estimated Tax Payment Due Dates

How to File and Pay

Most NYC business tax returns are submitted electronically through the city’s Business Tax e-Services portal, which handles UBT, Business Corporation Tax, GCT, Commercial Rent Tax, and Hotel Room Occupancy Tax filings. The system issues a confirmation number after submission; keep it as proof of filing.

You can pay directly from a checking or savings account during filing at no extra cost. Credit card payments go through but carry a 2 percent convenience fee on the full payment amount.13New York City Department of Finance. Amendment to Rules Relating to the Fee for Credit Card Transactions On a $10,000 bill that’s $200 in processing costs, so electronic bank transfer is almost always the better move. Refunds and overpayments take roughly 60 days to process, and you can check status through e-Services.14NYC Department of Finance. Personal Income Tax and Non-resident NYC Employee Payments FAQ

To let someone else handle your city tax matters, file Form POA-1. It covers both New York State and NYC taxes and must list the taxpayer’s identification number, the representative’s contact details and credentials, and the specific tax types and periods authorized. Without a signed POA-1 on file, the Department of Finance will not discuss your account with anyone else.

Records to Keep

Most NYC forms start from your Federal Adjusted Gross Income and then apply city-specific adjustments. You’ll often need to add back deductions taken on your federal return (taxes paid to other jurisdictions are a common example) and allocate income based on business property, payroll, and receipts within the five boroughs. Keep organized copies of filed returns, payment receipts, and the documentation supporting every city-specific modification.

The city’s statute of limitations for assessing additional tax is generally three years from the date a return was filed, so that’s the floor. Many tax professionals recommend holding records for six years to cover any claim of substantial understatement.

What Happens If You File or Pay Late

The Department of Finance imposes two separate penalties that stack:

  • Late filing penalty: 5 percent of the net tax owed per month or partial month, up to a maximum of 25 percent over five months. If the return is more than 60 days late, the minimum penalty is $100 or the tax due, whichever is lower.
  • Late payment penalty: 0.5 percent of the unpaid tax per month, accumulating for up to 50 months.

Interest accrues daily on the unpaid balance at a rate that adjusts quarterly. For the first quarter of 2026 it’s 11 percent; for the second quarter, 10 percent.15NYC Department of Finance. Interest Rates on Tax Underpayments At those rates a $20,000 underpayment accrues roughly $150 in interest per month before penalties are added.

You can request a waiver of late filing or late payment penalties by submitting a written explanation to the Department of Finance showing reasonable cause for the delay.16NYC Department of Finance. Business Filing Information Reasonable cause generally means circumstances outside your control: serious illness, a natural disaster, or reliance on a professional who failed to file. Forgetting or being unaware of the obligation does not qualify.

If You’ve Missed Returns Entirely

If you’ve been operating in the city without filing required returns and the Department of Finance hasn’t contacted you, the Voluntary Disclosure and Compliance Program is worth looking at before the city finds you. Accepted taxpayers get all delinquency-related penalties waived and may only need to file returns for a limited look-back period rather than every missed year.17NYC Department of Finance. Voluntary Disclosure and Compliance Program

To qualify, you cannot already be under audit, cannot have received prior contact about the specific liability, and cannot be part of a criminal tax investigation. The program is open even if the failure to file was intentional. You can apply anonymously through Business Tax e-Services or by mail, and the application must include estimated taxes owed for each delinquent period and a description of your business activities in the city.17NYC Department of Finance. Voluntary Disclosure and Compliance Program

If you owe both city and state taxes, a unified application is available through the New York State Department of Taxation and Finance. Each jurisdiction issues a separate agreement, but the processes run in parallel. Once accepted, you generally have 30 days to file the requested returns and pay the balance due plus interest.
