The 120-Day Deadline
You have 120 days from the effective date of your articles of organization to finish everything: run the notice for six weeks, collect affidavits from both newspapers, and file the Certificate of Publication with the state.1New York State Senate. The six-week publication run alone takes at least 42 days, and the newspapers need lead time to schedule your notice. Start within your first few weeks of formation, not your last.
What the Notice Has to Say

- The LLC’s full legal name, exactly as filed.
- The filing date of the articles, plus the formation date if you chose a future effective date.
- The county where the LLC’s office is located.
- The street address of your principal business location, if you have one.
- A statement designating the Secretary of State as your agent for service of process, with the mailing address for forwarded papers.
- The name and New York address of your registered agent, if you have one, and a statement that they serve as agent for service of process.
- A specific dissolution date, if your LLC has one beyond the default triggers.
- A description of the business purpose. Broad language like “any lawful business purpose” is standard.
Every detail should match your filed articles. The Department of State compares the two when you submit the Certificate of Publication, and mismatches cause rejection. If you spot an error in your articles, fix it with an amendment before you start publishing.
Which Newspapers You Can Use
You don’t choose the newspapers. The county clerk in the county where your LLC’s office is located designates two for you: one daily and one weekly.1New York State Senate. Publishing in any other paper doesn’t count, no matter how widely it circulates.
Your notice must run once a week for six consecutive weeks in both papers. There is no compressed version. If the run gets interrupted, you’ll likely have to start the six-week cycle over. The newspapers handle the printing once you send the notice text and pay their advertising fees.
What It Costs
Newspaper fees swing wildly by county. Manhattan often runs $1,500 or more for the full six-week cycle in both papers. Brooklyn, Queens, and the Bronx tend to fall between roughly $1,000 and $1,600. Many upstate counties charge $200 to $400 total, and Albany County has some of the lowest rates in the state.

Moving Your County to Cut the Bill
Because publication runs in the county listed on your articles, owners in expensive counties often file a Certificate of Change to move the LLC’s official office to a cheaper county before publishing. An agent in a low-cost county like Albany can serve as your official office location for publication purposes.
After you finish publishing and file the Certificate of Publication, you can file a second Certificate of Change to move the office back to your actual business location. Two amendments cost $60, and the newspaper savings frequently run into the hundreds or beyond a thousand dollars compared to publishing in Manhattan or Brooklyn.
Filing the Certificate of Publication
Once the six-week run finishes, each newspaper gives you an affidavit of publication, a sworn statement confirming the notice ran, usually with a clipping attached. You need both affidavits.
Download the Certificate of Publication form from the Department of State’s website and fill it in using the information from the affidavits. Names and dates on the certificate have to match the affidavits exactly. Mail the completed certificate, both affidavits, and the $50 fee to the Department of State’s Division of Corporations in Albany.2Department of State. What Happens If You Miss the Deadline
If you don’t file the Certificate of Publication within 120 days, your LLC’s authority to do business in New York is suspended.2Department of State. Certificate of Publication for Domestic Limited Liability Company The practical consequences bite. Your LLC cannot bring or maintain a lawsuit in New York courts, so if a customer owes you money, you can’t sue to collect until you fix the suspension. You also cannot obtain a certificate of good standing, which banks, landlords, and business partners often require before they’ll deal with you.
Suspension is not dissolution. Existing contracts stay valid, you can still defend yourself if you’re sued, and your limited liability protection stays intact.1New York State Senate. Once the Department processes it, the suspension is annulled and full authority is restored.
Foreign LLCs, PLLCs, and the One Exemption
The requirement isn’t limited to standard domestic LLCs. Foreign LLCs registered to do business in New York must publish under Section 802: same two newspapers, six weeks, 120 days, $50 filing fee. One narrow exemption: theatrical production companies are not subject to the publication requirement, provided the words “limited liability company” appear in the company’s name.5Department of State. Certificate of Publication for Foreign Limited Liability Company
