New York LLC Publication Requirement: Deadline and Penalties

If you form or register an LLC in New York, the New York LLC publication requirement gives you 120 days to publish a notice of your LLC’s formation in two newspapers for six consecutive weeks and then file a Certificate of Publication with the Department of State. Miss that window and the state suspends your LLC’s authority to conduct business, though the suspension is narrower in effect than the word suggests and is cured by completing the filing.1New York Department of State. What You Have to Publish and Where

Section 206 of the Limited Liability Company Law requires you to publish a copy of your Articles of Organization, or a notice containing the substance of them, once a week for six successive weeks in two newspapers located in the county where your LLC’s office sits.2New York State Senate. New York Limited Liability Company Law Section 206 – Affidavits of Publication One must be a daily paper and the other a weekly. You do not pick them. The county clerk designates both.

Call or visit the county clerk’s office in the county listed as your LLC’s office location. The clerk will issue a written designation identifying the two papers you must use. Publishing anywhere else does not count. If the clerk has not designated a daily or weekly in your county, the statute lets you use a qualifying newspaper from a neighboring county instead.2New York State Senate. Costs vary dramatically by county. In New York City, where designation follows the rules for notices of judicial proceedings, the two newspapers can run well over a thousand dollars together. Upstate and rural counties often come in at a few hundred. The $50 state filing fee for the Certificate of Publication is separate from whatever the papers charge.1New York Department of State. After the full six-week run, each paper issues an Affidavit of Publication: a sworn statement confirming the notice appeared as required, along with a printed copy of the ad. Hold onto both. You cannot complete the state filing without them.

What the Notice Has to Say

The notice must contain the substance of your Articles of Organization. That means your LLC’s exact name as it appears in Department of State records (including the “LLC” or “Limited Liability Company” suffix), the date the Articles were filed, the county where the LLC’s office is located, the address to which the Secretary of State should forward legal process served on the LLC, and a statement of the LLC’s purpose.

A general purpose clause such as “any lawful act or activity” is accepted.3New York Department of State. Mismatches are one of the most common reasons filings get rejected.1New York Department of State. Certificate of Publication for Domestic Limited Liability Company

Filing the Certificate of Publication

Once both affidavits are in hand, file the Certificate of Publication (Form DOS-1708) with the Department of State. The form is on the DOS website. You are not required to use it (you can draft your own or use a legal stationery form), but most filers use the state form because it covers what the Department expects to see.4New York Department of State. The signer affirms that the newspapers used were those designated by the county clerk and that publication was completed as required by law.4New York Department of State. If You Miss the 120-Day Deadline

Section 206 gives you 120 days from the date your Articles of Organization take effect to finish both publication and the state filing.1New York Department of State. Certificate of Publication for Domestic Limited Liability Company If you don’t, the state automatically suspends your LLC’s authority to conduct business in New York. The practical teeth of that suspension are narrower than the phrase sounds, but they are real.

The main problem is in court. A suspended LLC cannot file a lawsuit or maintain a legal proceeding in New York courts as a plaintiff. Courts have dismissed actions brought by LLCs that had not completed publication, and they will keep doing so until the LLC comes into compliance.

The statute explicitly preserves several things even during suspension. Contracts your LLC entered into remain valid and enforceable. Other parties keep their full rights to sue your LLC or enforce agreements against it. Your LLC can still defend itself in court. And suspension does not make members, managers, or agents personally liable for the LLC’s obligations.2New York State Senate. New York Limited Liability Company Law Section 206 – Affidavits of Publication Your limited liability protection stays intact even if publication is overdue.

Fixing a Suspended LLC

There is no separate reinstatement application and no late fee. You complete the publication process (county clerk designation, six-week run in both papers, affidavits) and file the Certificate of Publication with the Department of State. Once the Department accepts the filing, the suspension is annulled automatically.1New York Department of State. Certificate of Publication for Domestic Limited Liability Company The newspapers, notice content, and six-week schedule still have to be done correctly; the only thing being forgiven is the missed 120 days.

If your LLC is suspended and you have pending or anticipated litigation, move fast. Courts will not let you proceed as plaintiff until publication is satisfied, and opposing counsel will raise it the moment they notice.

Foreign LLCs and the Theatrical Exemption

LLCs formed in another state but authorized to do business in New York face the same basic obligation under Section 802 rather than Section 206. The 120-day clock starts from the filing of the Application for Authority, the newspaper rules and $50 fee are the same, and the consequence for non-compliance is the same suspension. Foreign LLCs file a different form that references the Application for Authority instead of Articles of Organization.5New York Department of State. One narrow exemption exists. An LLC that qualifies as a theatrical production company under Section 23.03 of the New York Arts and Cultural Affairs Law is exempt from the publication requirement, provided the words “limited liability company” appear in the entity’s name.5New York Department of State. Film production companies, media companies, and other entertainment businesses are not covered.
