New York Sales Tax Nexus: Thresholds, Registration, and Penalties

Your business has New York sales tax nexus — the connection that forces you to register, collect, and remit — when you have any physical footprint in the state, when your remote sales cross both $500,000 and more than 100 transactions of tangible personal property delivered into New York over the prior four sales tax quarters, or when you have qualifying affiliate or click-through relationships with New York residents. Hit any one of those triggers and you must get a Certificate of Authority at least 20 days before your next taxable sale.1Legal Information Institute. 20 NYCRR 539.2 – First Time Registrants Getting this wrong is expensive in one direction only: if you fail to collect when you should, you are personally on the hook for every dollar of uncollected tax plus interest and penalties.

Physical Presence in New York

Physical presence is the oldest and broadest trigger. Under Tax Law § 1101(b)(8), you qualify as a “vendor” if you maintain a place of business in New York and sell to people there.2New York State Senate. New York Tax Law 1101 – Definitions Offices, warehouses, distribution centers, and salesrooms all count. So does inventory you store in a third-party fulfillment center inside the state. Amazon FBA sellers whose goods sit in a New York warehouse have physical presence there, whether or not they ever set foot in the state.

People create nexus as readily as property. If your employees, independent contractors, or agents solicit business in New York on your behalf, you have nexus even if you own and lease nothing.2New York State Senate. New York Tax Law 1101 – Definitions A single remote worker in a New York home office can be enough if what they do supports your sales activity. Sending a technician in to install, maintain, or repair also qualifies, even on a short visit.

Economic Nexus Thresholds for Remote Sellers

You can trigger nexus without any physical contact with the state at all. After the Supreme Court’s 2018 decision in South Dakota v. Wayfair cleared the way for states to tax remote sellers, New York set its own standard.3Supreme Court of the United States. South Dakota v. Wayfair, Inc. A remote seller must register if, during the immediately preceding four sales tax quarters, the business meets both:

  • Gross receipts from sales of tangible personal property delivered into New York exceeded $500,000; and
  • More than 100 separate sales of tangible personal property were delivered into the state.

Both prongs must be met. One alone does not create nexus. New York’s sales tax quarters do not follow the calendar: they run March through May, June through August, September through November, and December through February.4Department of Taxation and Finance. Registration Requirement for Businesses With No Physical Presence in New York State When you measure against the thresholds, count every sale of tangible personal property delivered to a New York address, including transactions that would ultimately be tax-exempt. A seller moving only sub-$110 t-shirts still counts every one of those sales toward the $500,000 line even though no tax would apply to the individual items. Once you cross both thresholds, you must register and begin collecting on the first day of the next sales tax quarter.

Software and SaaS Sales Count

New York treats prewritten computer software as tangible personal property no matter how it reaches the customer. Software on a disc, software downloaded over the internet, and software accessed remotely through a subscription are all taxable sales.5Department of Taxation and Finance. Computer Software SaaS companies licensing prewritten software to New York customers should include those receipts in the economic nexus math. Custom software written for a single customer is treated differently, but anything off-the-shelf counts.

Click-Through and Affiliate Nexus

New York’s click-through rule, in place since 2008, still runs alongside the newer economic nexus standard. The state presumes you are a vendor if you pay New York residents a commission for referring customers through internet links, and if your receipts from those referral-driven sales exceed $10,000 over the preceding four sales tax quarters.4Department of Taxation and Finance. Registration Requirement for Businesses With No Physical Presence in New York State The presumption is rebuttable: written statements from your affiliates confirming that they did not actively solicit New York customers beyond providing the link can defeat it. Gathering and keeping that documentation is your job.

Affiliate nexus works on different mechanics. If a related company operates in New York and uses the same trademarks or trade names as you do, the state treats you as having nexus through that affiliate. The same applies if the affiliate does anything inside New York that helps you build or hold your market there, such as accepting returns, staffing customer service, or running local advertising.2New York State Senate. New York Tax Law 1101 – Definitions The statute carves out a narrow safe harbor for affiliates whose only role is providing accounting advice, legal counsel, or high-level strategic direction. The moment the affiliate’s work shifts into customer-facing support or brand promotion in the state, you are likely over the line.

Selling Through a Marketplace

If you sell through Amazon, eBay, Etsy, or a similar platform, the marketplace provider carries primary responsibility for collecting and remitting New York sales tax on tangible-goods transactions it facilitates. That obligation runs whether or not you as the individual seller would otherwise be registered.6Department of Taxation and Finance. TSB-M-19(2.1)S – Sales Tax Collection Requirement for Marketplace Providers The platform must give you Form ST-150 confirming it is handling collection on your behalf. Keep that certificate: it is your defense in an audit.7Department of Taxation and Finance. Sales Tax Requirements for Marketplace Providers

Two limits on that protection are easy to miss. First, New York’s marketplace provider law covers tangible personal property and prewritten software only. If you sell services, restaurant food, hotel stays, admissions, or transportation through a platform, the marketplace is not required to collect tax on those transactions and you remain responsible.6Department of Taxation and Finance. TSB-M-19(2.1)S – Sales Tax Collection Requirement for Marketplace Providers Second, sales made through a marketplace still count toward your own economic nexus thresholds. If marketplace sales plus direct sales from your own website push you past $500,000 and 100 transactions, you need to register as a vendor independently. That matters for your direct sales even while the marketplace continues to cover the platform transactions.

Once You Have Nexus: Register First

Before you make any taxable sale in New York, you need a Certificate of Authority. State law requires you to file your registration at least 20 days before you begin doing business.8New York Codes, Rules and Regulations. 20 CRR-NY 533.1 – Registration Requirement You apply using Form DTF-17 through the New York Business Express portal.9Department of Taxation and Finance. How to Register for New York State Sales Tax The application asks for:

  • Legal name, any trade or DBA name, and your Federal Employer Identification Number;
  • The physical address where you will make taxable sales;
  • Names and Social Security Numbers (or ITINs) for every individual the state can hold accountable for collected tax;
  • Your principal and any secondary NAICS codes; and
  • The date you plan to begin making taxable sales, which sets your first filing deadline.10Department of Taxation and Finance. Instructions for Form DTF-17 Application to Register for a Sales Tax Certificate of Authority

Once approved, the Department mails the certificate and you must display it at your place of business. Multiple locations need separate certificates. Processing time is not published, so lean on the 20-day window.

Filing Frequency Follows Your Volume

Registration drops you into one of three filing cycles. Quarterly filing is the default, with returns due 20 days after quarter end, as long as your taxable receipts stayed under $300,000 in the previous quarter. Hit $300,000 or more in any quarter and you move to monthly (part-quarterly) filing the next quarter, with returns due 20 days after each month closes. If your total tax for the year is $3,000 or less, the Department may put you on annual filing, due March 20.11Department of Taxation and Finance. Filing Requirements for Sales and Use Tax Returns File every period even if you had zero sales. Skipping a zero return is one of the fastest ways to draw attention.

What It Costs to Get Nexus Wrong

New York treats collected sales tax as trust money, which is why the penalties bite harder than most late-payment schemes. Interest on unpaid tax runs at 14.5% per year or the Commissioner’s underpayment rate, whichever is higher.12New York State Senate. New York Tax Code 1145 – Penalties and Interest Fraudulent failure to pay adds a penalty equal to double the unpaid tax on top of that interest.13New York State Department of Taxation and Finance. Sales and Use Tax Penalties

Selling without a Certificate of Authority has its own schedule: up to $500 for the first day plus up to $200 for each additional day, capped at $10,000.14Legal Information Institute. 20 NYCRR 540.6 – Penalty for Conducting a Business Without Possessing a Valid Certificate of Authority Willfully selling without a certificate is also a misdemeanor under Tax Law § 1817, opening the door to criminal prosecution.15New York State Senate. New York Tax Law 1817 – Criminal Penalties The responsible persons you list on the application can be held personally liable for uncollected tax, which is why the state demands their Social Security Numbers up front.
