NY LLC Filing Fee Instructions: Publication, Biennial, and IT-204-LL

The New York LLC filing fee is $200 for domestic Articles of Organization and $250 for a foreign LLC’s Application for Authority, paid to the New York Department of State. That is only the starting figure. Once you add the mandatory newspaper publication, the $50 Certificate of Publication, and the annual state filing fee based on income, a typical first-year bill runs anywhere from about $475 in a cheap county to $2,200 or more in Manhattan.

Department of State Filing Fees

The $200 fee for Articles of Organization creates a domestic LLC in a single payment to the Department of State (DOS).1New York Department of State. The DOS charges separate fees for several optional or later filings:

Expedited Processing

Standard DOS processing takes roughly three weeks. If you need it faster, you add one of these fees to your base filing:7New York Department of State. Expedited Handling Services for Division of Corporations

  • $25 for 24-hour processing, excluding weekends and holidays
  • $75 for same-day processing, with the request in by noon
  • $150 for two-hour processing, hand-delivered or faxed by 2:30 p.m.

The two-hour tier is practical only if you have someone in Albany or are submitting by fax. For most filers, the $25 24-hour option is the useful one.

How to Pay

The DOS accepts cash (in person only), personal checks, money orders, and MasterCard, Visa, or American Express.2New York Department of State. Application for Authority – Foreign Limited Liability Companies Any check over $500 must be certified by the issuing bank. Do not mail cash.

Make checks and money orders payable to “Department of State.” Any other payee name will get your entire filing package returned. Write your LLC’s name on the memo line so the payment can be matched to the filing if the two get separated.

Paying by credit or debit card on a mailed or faxed filing requires a signed Credit Card/Debit Card Authorization Form included with your documents.8New York Department of State. Submitting the Filing

Online

The DOS e-filing portal is the fastest route.9Department of State. Mail

For paper filings, send the Articles of Organization (or Application for Authority), payment, and any authorization form to the New York Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231.1New York Department of State. Mailed filings follow the standard timeline unless you paid for expedited handling. Your formation date is the date the DOS receives and approves the documents, not the date you mailed them. The most common reason for rejection is a payment problem: a bounced check, wrong payee name, or an uncertified check over $500. Once processed, the filing fee is considered earned by the state; rejections generally receive a credit toward resubmission rather than a cash refund.

The Publication Fees

Within 120 days of formation, every domestic LLC must publish a notice of formation in two newspapers, one daily and one weekly, for six consecutive weeks.10New York State Senate. The newspaper charges themselves are the wildly variable part. Publication in Albany County runs roughly $200 to $350. Manhattan routinely runs $1,400 to $1,900 or more. Rates change as newspapers update their advertising prices, so once you have the county clerk’s designation, call the two named papers for exact quotes.

Some owners register the LLC office in a cheaper county to cut publication costs. That works only if the office is genuinely there; listing a county you have no real connection to invites scrutiny.

Missing the 120-Day Deadline

If you don’t file the Certificate of Publication within 120 days, your LLC’s authority to conduct business in New York is suspended.10New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication A suspended LLC cannot get a Certificate of Good Standing, which can block bank accounts, financing, and contracts that require one.

The practical consequences are less severe than they sound. The suspension does not invalidate contracts already in place or block the other party from enforcing them. You can also cure the suspension at any time by completing publication and filing the certificate, and once you do, the suspension is annulled retroactively. Still, treat the 120-day window as a hard deadline.

Ongoing Fees

Biennial Statement

Every two years, your LLC files a Biennial Statement with the DOS to update the address for service of process. The fee is $9.12New York Department of State. Most LLCs use the DOS e-Statement Filing Service and pay by card.

Annual Filing Fee (Form IT-204-LL)

  • $100,001 to $250,000: $50
  • $250,001 to $500,000: $175
  • $500,001 to $1,000,000: $500

  • Over $25,000,000: $4,500

Even with zero New York source income, you owe the $25 minimum. The Federal EIN Is Free

After state formation, you’ll need a federal Employer Identification Number from the IRS. The IRS charges nothing for it, and the online application takes minutes.15Internal Revenue Service. Get an Employer Identification Number Third-party sites that charge for an EIN are simply filing the free form on your behalf.

A typical domestic LLC formation adds up like this in year one:
