Every LLC formed in New York has to publish a notice of its formation in two newspapers for six consecutive weeks, then file a Certificate of Publication with the Department of State and a $50 fee. The New York LLC newspaper publication requirement comes from Section 206 of the Limited Liability Company Law, and you have 120 days from the date your articles of organization take effect to finish it.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication Miss the window and your LLC’s authority to do business in the state is suspended until you cure it.
Which Newspapers, For How Long
You don’t choose the newspapers. The clerk of the county where your LLC’s office is located designates them, and publication in any paper the clerk hasn’t picked doesn’t count. One of the two must be a daily, the other a weekly. The notice runs once a week for six consecutive weeks in each paper.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication
The 120-day clock is tighter than it looks. Six of those weeks are consumed by the ad run itself, before you factor in getting the clerk’s designation, placing the ads with both papers, waiting for affidavits after the final insertion, and mailing the package to Albany.
What the Notice Has to Say
Section 206 lets you publish either a copy of your articles of organization or a notice summarizing them. The notice has to carry your LLC’s exact name, the date the articles were filed (and the formation date if different), the county of the office, the principal business address if there is one, a statement designating the Secretary of State as agent for service of process along with the address to forward process to, the name and New York address of a registered agent if you have one, the latest dissolution date if you’ve set one, and a statement of the LLC’s business purpose.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication
The name and filing date have to match the Department of State’s records exactly. A small discrepancy can get the final filing rejected.2New York Department of State. Certificate of Publication for Domestic Limited Liability Company Most owners use a short “any lawful purpose” statement rather than describing specific activities, because newspapers typically charge by the line or the word.
What It Costs
Publication cost depends entirely on which county you’re in, because the statute sets no rates and the designated newspapers price their own ads. Data from LLC publication orders completed between late 2025 and early 2026 shows a range from roughly $395 in Albany County to around $1,795 in New York County (Manhattan).3Cape Cod Times. New York LLC Publication Costs Range from $395 to $1,795 by County
All five New York City boroughs sit at the expensive end: Brooklyn around $1,475, Staten Island around $1,295, Queens around $1,195, the Bronx around $950.3Cape Cod Times. New York LLC Publication Costs Range from $395 to $1,795 by County A county line can move the number a lot. Nassau runs about $675 compared with roughly $1,195 next door in Queens, for an identical legal filing.
Filing the Certificate of Publication
After the six weeks finish, each newspaper issues an affidavit of publication, a sworn statement from the publisher that the notice ran. Check both affidavits before mailing: the LLC name, filing date, and county have to match the Department of State’s records.
Attach both affidavits to the Certificate of Publication, include a $50 filing fee, and mail the package to the Division of Corporations in Albany.2New York Department of State. Certificate of Publication for Domestic Limited Liability Company Use a tracked service, since replacing lost affidavits means going back to the newspapers. The state’s published instructions for this filing list only the mailing address; no online submission option is mentioned for the Certificate of Publication.
Expedited Processing
The Division of Corporations offers paid handling on top of the $50 fee: $25 for 24-hour processing (requests accepted 9:00 a.m. to 4:00 p.m.), $75 for same-day (must arrive by noon on a business day), and $150 for two-hour (hand delivery or fax by 2:30 p.m. on a business day).4New York Department of State. Mark the envelope “Expedited Processing.”
What Happens If You Miss the Deadline
If the 120 days expire before your Certificate of Publication is filed, your LLC’s authority to carry on business in New York is suspended automatically.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication The LLC still exists; it isn’t dissolved. But it loses specific rights until it fixes the problem:
- A suspended LLC cannot bring or maintain any action or special proceeding in New York courts. If you need to sue a customer or enforce a contract, you’re locked out until you cure.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication
- The LLC can still be sued and can defend itself. Other parties can continue to enforce contracts against it.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication
- Existing contracts stay valid on both sides.
- Members do not become personally liable for the LLC’s debts because publication wasn’t done. The liability shield stays intact.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication
The one-sided part is what hurts. Creditors, customers, and partners can drag the LLC into court; the LLC can’t bring its own claims. Many owners ignore the publication rule as a bureaucratic relic and find out only when a lawyer tells them a lawsuit they need to file isn’t available to them.
How to Cure a Lapse
There’s no permanent penalty. Section 206 lets a suspended LLC restore its status at any time by completing publication in substantial compliance with the statute, setting aside the 120-day timing requirement that can no longer be met.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication The steps are the same as doing it on time: get the county clerk’s designation, run the notice six consecutive weeks in both papers, collect the affidavits, and file the Certificate of Publication with the $50 fee.
Once the Department of State processes the filing, the suspension is annulled and the LLC regains full authority to transact business, including the right to initiate lawsuits.5New York Department of State. Certificate of Publication for Foreign Limited Liability Company No late fee. The only real cost of waiting is the period you spent unable to sue.
Lowering the Bill by Choosing a Cheaper County
Because the cost tracks the county where your office is located, the most effective way to cut it is to form the LLC with its office in a cheaper county. Albany is the common choice; total publication costs there can run around a quarter of Manhattan’s.3Cape Cod Times. New York LLC Publication Costs Range from $395 to $1,795 by County
The pattern: list a registered agent’s address in Albany (or another low-cost county) as the office location when filing the articles of organization, publish using the papers that county’s clerk designates, file the Certificate of Publication, then file a Certificate of Amendment to move the office to where you actually operate. The amendment costs $60.6New York Department of State. Certificate of Amendment for Domestic Limited Liability Companies Even with that fee, a Manhattan-based business can save over $1,000. Several registered agent services in New York offer Albany addresses specifically for this purpose; the tactic is legal and widely used.
Foreign LLCs and the Theatrical Exemption
The rule reaches beyond LLCs formed in New York. Section 802 imposes nearly identical obligations on foreign LLCs authorized to do business in the state: publish the application for authority (or a summary notice) once a week for six weeks in two county-clerk-designated newspapers, within 120 days of filing the application for authority.7New York State Senate. New York Limited Liability Company Law 8028Department of State. Certificate of Publication for Foreign Limited Liability Company The filing fee is the same $50, suspension works the same way, and newspaper fees for foreign LLCs tend to run 30 to 50 percent higher than for domestic ones in the same county.
Only one narrow exemption exists. A theatrical production company LLC is exempt from publication under both Section 206 and Section 802, provided the words “limited liability company” appear in its name.8Department of State. Certificate of Publication for Foreign Limited Liability Company No other industry carve-outs apply.
