PA Business Privilege and Mercantile Tax Return: Filing and Exclusions

If you run a business in most Pennsylvania municipalities outside Philadelphia, you likely owe an annual PA Business Privilege and Mercantile Tax return to a local tax collector. The return reports your total gross receipts for the year, subtracts any exempt categories, and applies the millage rate your municipality and school district have set. Rates are capped by state law at 1 mill per dollar of gross receipts for wholesale activity and 1.5 mills for retail sales and restaurants, but both a municipality and a school district can levy the tax independently in the same location.1Pennsylvania General Assembly. Which Tax Applies to Your Business

Most jurisdictions treat the Business Privilege Tax (BPT) and the Mercantile Tax as two sides of the same filing, and in most cases you pay one or the other based on what your business actually does.

The Business Privilege Tax covers services and professions. Insurance agents, real estate brokers, doctors, lawyers, financial consultants, auto mechanics, and rental income all fall under BPT.2Upper Merion Township. Getting the category right matters because the rate caps differ (1 mill wholesale, 1.5 mills retail and restaurants) and because the return asks you to identify your activity. Mixed businesses need to split receipts. A plumber who also sells fixtures at retail, for example, reports the service revenue under BPT and the retail sales under Mercantile, at whatever rates the local ordinance imposes.

Whether You Have to File

You have to file if you conduct business inside a jurisdiction that levies the tax. “Conducting business” is broad under the Local Tax Enabling Act: carrying on any trade, profession, vocation, or commercial activity for profit inside the district counts, and so does making sales there.3Cranberry Township. Business Privilege Tax – Section: Definitions A permanent office or storefront is the clearest trigger, but recurring activity can also create liability. What matters is where the service was performed or the sale took place, not just your mailing address.

Employees working for someone else do not owe BPT. The tax targets the business itself: sole proprietors, partnerships, and corporations operating in the jurisdiction.

If your business is in Philadelphia, none of this applies. Philadelphia imposes its own Business Income and Receipts Tax (BIRT) with a gross receipts and a net income component, filed directly with the city’s Department of Revenue.4City of Philadelphia Department of Revenue. What You Can Exclude from Gross Receipts

Several categories come off the top before you apply the millage rate. Missing them means overpaying.

Manufacturing

Manufacturing operations are generally excluded from local gross receipts taxation. To claim the exclusion, attach the PA State Manufacturing Exemption Form to your return showing the portion of receipts attributable to manufacturing.5Berkheimer Tax Innovations. Interstate Commerce

Nonprofits

Purely public charities, including many hospitals, and the non-commercial operations of nonprofits are excluded. Claiming the exemption typically requires a letter on organizational letterhead plus proof of nonprofit status, such as a valid IRS tax-exemption certificate.6Keystone Collections Group. Activities Already Taxed by the State

Where the Commonwealth already taxes the same activity measured by the same gross receipts, the local jurisdiction cannot also tax those receipts. This is the anti-double-taxation rule inside Act 511.

Completing the Return

Start with total gross receipts for the tax period, usually the calendar year. Attach the federal form you used to report that income: Schedule C for sole proprietors, Form 1120 for corporations, or the equivalent. Subtract the exempt categories that apply to you, remembering to attach the manufacturing exemption form or nonprofit documentation where relevant. Multiply the adjusted figure by the millage rate for your jurisdiction. If wholesale and retail are taxed at different rates, separate the receipts and apply each rate to its own subtotal.

The return also asks for your federal Employer Identification Number (or Social Security Number for sole proprietors), your business address, and a description of your activity. The description matters because it determines which rate applies and whether you fall under BPT or Mercantile Tax.

Remember that gross receipts means gross. You cannot subtract cost of goods sold, salaries, rent, or any other business expense before applying the rate. That’s the defining feature of a gross receipts tax and the biggest difference from your federal or state income tax return.

Where and When to File

Pennsylvania has no central collector for these taxes. Each jurisdiction designates its own, and the two largest third-party collectors handling BPT and Mercantile filings across multiple jurisdictions are Berkheimer Tax Innovations and Keystone Collections Group. Filing methods vary. Keystone offers an online portal for some filings. Deadlines are set locally. Some municipalities use May 15; others use different dates.8Cranberry Township. Business Privilege Tax Do not assume the due date matches your federal or state income tax deadline. Check with your collector or your municipal ordinance for the exact date.

Penalties, Interest, and Appeals

Act 511 lets each political subdivision set “reasonable penalties” for taxes not paid on time, so the specific numbers vary by ordinance.1Pennsylvania General Assembly. If a collector issues an assessment you believe is wrong, you have 30 days from the assessment to appeal to the Court of Common Pleas in the county where the taxing jurisdiction sits.1Pennsylvania General Assembly. Disputes over categorization or exempt receipts often resolve informally with the right documentation.

Records and License Renewal

Pennsylvania regulations require tax collection records, including mercantile and business privilege tax ledgers, to be retained for seven years.9Legal Information Institute. Pennsylvania Code 46 Pa. Keep filed returns, the federal schedules submitted with them, gross receipts calculations, bank statements supporting reported revenue, and any exemption documentation.

Many jurisdictions also require an annual business privilege or mercantile license, renewed alongside the tax filing for a modest flat fee. Failure to renew the license is a separate violation from failure to file the return, so track both.
