Who Files and by When

What the Report Asks For

  • The LLC’s legal name and jurisdiction of formation.
  • The registered office address in Pennsylvania.
  • At least one governor, meaning a member or manager with governing authority.
  • Names and titles of any principal officers, as determined by the governors.
  • The principal office address, which can be outside Pennsylvania.
  • The entity number the Department of State assigned when the LLC was formed or registered.

How to File and Pay the $7

The Department of State recommends filing online through its Business Filing Services portal at file.dos.pa.gov. Create an account, use Business Search to pull up your LLC, complete the pre-filled form, and pay the $7 fee. You get an immediate confirmation.3Pennsylvania Department of State. Annual Reports

Paper filing is allowed. Mail a completed Form DSCB:15-146 with the $7 fee to the Department of State in Harrisburg.4Pennsylvania Department of State. Annual Report – DSCB 15-146 Paper takes longer and lacks the online system’s error checks, so give yourself extra runway if you file this way.

What Happens If You Miss September 30

There is no flat late fee. Instead, under 15 Pa. C.S. § 382, the Department of State sends a written notice to your registered office and to the principal office address on your most recent filing.5Pennsylvania General Assembly. You then have 60 days from delivery of that notice to file the missing annual report. File within the window and the matter closes. Miss the 60 days and the department issues a statement of administrative dissolution, ending your LLC’s legal existence.5Pennsylvania General Assembly. A dissolved LLC loses authority to conduct business in Pennsylvania and loses good standing. That has real consequences beyond the state records: banks, landlords, other states you have registered in, and some license and insurance renewals routinely ask for a certificate of subsistence, which is Pennsylvania’s certificate of good standing, and a dissolved LLC cannot get one. Reinstating a Dissolved LLC

Reinstatement is available under 15 Pa. C.S. § 383. The application includes your LLC’s name, registered office address, and principal office address, plus either proof that the grounds for dissolution did not exist or the missing annual report and fees for each report skipped.7Pennsylvania General Assembly. Costs stack up:

  • Online reinstatement application: $35.
  • Paper reinstatement application: $40.

Two missed years filed online run about $79 ($35 plus two reports at $22 each). Three years put you near $115. Once approved, reinstatement relates back to the date of dissolution, so the LLC’s activities during the gap are treated as if the dissolution never happened.7Pennsylvania General Assembly. One trap: if another entity registered your LLC’s name during the dissolution period, you will have to pick a new available name to reinstate.
