Pennsylvania LLC Cost: Filing Fee, Annual Report & Taxes

The cost of forming an LLC in Pennsylvania starts at $125 for the Certificate of Organization and $7 for the annual report every year after that. Everything else, from a registered agent service to an attorney-drafted operating agreement, is optional or situational. Depending on how much you outsource, a realistic first-year total ranges from about $132 on the low end to roughly $1,800 if you bring in professional help.

The $125 Filing Fee

The Certificate of Organization is what actually creates your LLC with the Pennsylvania Department of State. The filing fee is $125, and it’s non-refundable whether or not the state approves your paperwork.1Commonwealth of Pennsylvania Department of State. Fees and Payments You can file online through the Department of State’s business portal or mail in a paper form.

A Docketing Statement (Form DSCB:15-134A) has to go with the Certificate of Organization, but it doesn’t carry its own fee.2Commonwealth of Pennsylvania Department of State. Certificate of Organization for Limited Liability Company It’s a companion form, not a separate filing.

One thing you won’t pay for: Pennsylvania does not require LLCs to publish a notice of formation in local newspapers. Some states impose that step, which can run a few hundred dollars. Pennsylvania exempts LLCs from it.

The $7 Annual Report

Starting in 2025, every domestic and foreign LLC has to file an Annual Report with Pennsylvania. It costs $7 and is due between January 1 and September 30 each year.3Pennsylvania Department of State. Annual Reports

The small fee hides a real consequence. Beginning with reports due in 2027, the state will administratively dissolve any domestic LLC that misses the deadline. Dissolution kicks in six months after September 30. Once dissolved, your LLC can’t obtain a subsistence certificate, and your business name becomes available for someone else to register.3Pennsylvania Department of State. Annual Reports

Optional Costs You May Choose to Add

Name Reservation ($70)

If you want to hold a business name before you’re ready to file the Certificate of Organization, Pennsylvania will reserve it for 120 days for $70.1Commonwealth of Pennsylvania Department of State. Fees and Payments If you’re filing right away, skip it. Your name is secured the moment the state approves your formation documents.

Registered Office or Agent Service ($0 to $300/year)

Your Certificate of Organization must list the street address of your LLC’s registered office in Pennsylvania.4Pennsylvania General Assembly. Pennsylvania Code Title 15 – Section 8821 Formation of Limited Liability Company This is where the LLC receives lawsuits and official state mail. Other states call this a registered agent; Pennsylvania’s statute uses “registered office.”

Using your own business address costs nothing. If you want your home address off public records, or you need someone reliably available during business hours, professional services generally charge $100 to $300 per year.

Operating Agreement ($0 to $1,500)

Pennsylvania doesn’t legally require a written operating agreement. State law fills any gaps where the agreement is silent.5Pennsylvania General Assembly. Pennsylvania Code Title 15 Chapter 88 – Limited Liability Companies Those defaults may not match how you actually want to split profits, handle voting, or manage a member’s exit, so most multi-member LLCs write one anyway.

An attorney-drafted agreement typically runs $500 to $1,500 depending on complexity. Business attorneys in Pennsylvania generally bill $150 to $400 per hour. Single-member LLCs with simple operations often use templates.

Employer Identification Number ($0)

Most LLCs need an EIN from the IRS. Apply directly on the IRS website and it’s free; the online process takes a few minutes. Third-party services charge $50 to $300 for the same thing, and the IRS itself warns against paying for it.6Internal Revenue Service. Get an Employer Identification Number

Taxes Your LLC Will Owe

Filing fees are the easy part. Taxes are the larger ongoing cost for most owners.

Pennsylvania Personal Income Tax

Pennsylvania taxes personal income at a flat 3.07%.7Pennsylvania Department of Revenue. Tax Rates Because most LLCs are pass-through entities, the LLC itself doesn’t pay state income tax. Each member reports their share of the profits on their personal return at 3.07%. Many municipalities also levy a local earned income tax, so your combined burden depends on where you live and operate.

Federal Self-Employment Tax

Members who actively participate in the business owe federal self-employment tax of 15.3% on their share of profits: 12.4% for Social Security and 2.9% for Medicare.8Internal Revenue Service. Self-Employment Tax (Social Security and Medicare Taxes) The Social Security portion applies only to the first $184,500 of net self-employment earnings in 2026.9Social Security Administration. Contribution and Benefit Base The Medicare portion has no cap, and an additional 0.9% Medicare surtax applies to earnings over $200,000 (or $250,000 if married filing jointly).

Self-employment tax is often the biggest surprise for new owners. On $80,000 in profit, you’d owe roughly $11,300 in self-employment tax alone, before any income tax.

If Your LLC Was Formed in Another State

An LLC formed elsewhere that wants to do business in Pennsylvania files a Foreign Registration Statement instead, at $250.10Pennsylvania Department of State. Foreign Registration Statement (DSCB 15-412) After registering, foreign LLCs owe the same $7 annual report as domestic ones.3Pennsylvania Department of State. Annual Reports

Local Licenses and Permits

Your business type and location may add costs the state doesn’t collect. Many Pennsylvania municipalities charge a local business privilege tax or mercantile tax on gross receipts, and rates vary widely. Some industries also need state-level professional licenses or environmental permits with their own application fees. Check with your local tax office before you file.

Putting It Together: First-Year Totals

For a domestic LLC where you handle everything yourself and use your own address as the registered office, the floor is $132: the $125 Certificate of Organization plus the $7 annual report. Add a name reservation and you’re at $202.

Bring in a registered agent service and an attorney for an operating agreement and the first-year total lands somewhere between $700 and $1,800, depending on who you hire. After year one, the only required annual expense is the $7 report, unless you keep paying for a registered agent or ongoing professional help.
