Pennsylvania SaaS Sales Tax: Rates, Nexus, and Exemptions

Pennsylvania applies its 6% sales and use tax to Software as a Service subscriptions, treating cloud-accessed software the same as a program sold on a disc.1Pennsylvania Department of Revenue. Sales, Use and Hotel Occupancy Tax Buyers in Allegheny County pay 7% and buyers in Philadelphia pay 8% once local add-ons are included. If your vendor does not charge the tax, you owe it directly as use tax. If you sell SaaS into Pennsylvania from another state, collection kicks in once your sales into the Commonwealth reach $100,000 in a year. The Pennsylvania SaaS sales tax rules below walk through what applies to your situation, what gets you out of the tax, and how to file.

Why SaaS Is Taxable in Pennsylvania

The Department of Revenue treats canned software as tangible personal property, and the statute now says so explicitly for every delivery channel. Canned software is taxable “whether electronically or digitally delivered, streamed or accessed and whether purchased singly, by subscription or in any other manner, including maintenance and updates.”2Pennsylvania General Assembly. Pennsylvania Statutes Title 72 PS Taxation and Fiscal Affairs 7201 A typical SaaS subscription fits that description cleanly: you pay a recurring fee to access software the vendor hosts and maintains.

The one real exit from that rule is custom software. Regulation 61 Pa. Code ยง 60.19 defines custom software as a program “designed, created and developed for and to the specifications of an original purchaser.”3Pennsylvania Code. 61 Pa Code 60.19 – Computer Software, Hardware and Related Transactions Anything else is canned. Salesforce, QuickBooks Online, Slack, and the rest of the mass-market SaaS catalog are canned software even when you configure modules, set permissions, or build out dashboards. Configuration is not creation.

Hybrid projects can split the invoice. If a vendor layers substantial new development on top of an existing SaaS platform to integrate it with your systems, the custom portion may fall outside the tax, but only if the invoice itemizes it separately. A single lumped line item will almost always be treated as fully taxable canned software, so ask for separated billing before the work begins.

The 2016 amendment that pulled SaaS into the tax net also pulled in video, e-books, photographs, apps, games, music, and streaming audio.4Department of Revenue. Digital Products If you bundle digital media or e-learning content with a SaaS product, the full bundle is taxable unless the components are invoiced separately and one of them qualifies for an exemption.

Local Rates in Philadelphia and Allegheny County

The 6% state rate is the floor. Allegheny County adds 1%, taking the rate to 7%, and Philadelphia adds 2%, taking it to 8%.5Pennsylvania Code. 61 Pa Code 60.16 – Local Sales, Use and Hotel Occupancy Tax No other Pennsylvania jurisdictions impose a local sales tax, so the rate everywhere else in the state is a flat 6%.

Local tax follows the same taxable transactions as the state tax, and it follows the user. A Philadelphia-headquartered company with half its SaaS users in the suburbs would owe the 2% Philadelphia tax only on the Philadelphia-based portion of the subscription.

When Users Are in More Than One State

Pennsylvania only taxes the share of a multi-state SaaS subscription that is actually used in the Commonwealth. The Department of Revenue uses a benefit-received approach: if 40 of your 100 licensed users work in Pennsylvania, 40% of the subscription cost is taxable here.6Pennsylvania Department of Revenue. What Are the Sales and Use Tax Consequences When Software as a Service (SaaS) Has Multiple Users

There is a trap in that rule. If the billing address on file is in Pennsylvania, the Department presumes every user is in Pennsylvania, and the vendor will charge tax on the full invoice. To rebut the presumption, the purchaser files Form REV-1220, checks box 7, and enters the actual percentage of users located in Pennsylvania.6Pennsylvania Department of Revenue. What Are the Sales and Use Tax Consequences When Software as a Service (SaaS) Has Multiple Users Without that form, a company with offices in several states ends up overpaying.

Server location does not change the analysis. If the host servers sit in Pennsylvania but every end user is somewhere else, the transaction is not subject to Pennsylvania tax. Keep headcount by location documented through IP logs, HR reports, or office lease records so you can back the percentage up if the Department asks.

Exemptions and How to Claim Them

A few categories of buyers can purchase SaaS without paying the tax:

  • Manufacturers and processors can claim an exemption when the software is used directly in production. Software running the plant floor may qualify; the same manufacturer’s accounting SaaS does not.
  • Wholesalers and intermediaries buying subscriptions to resell can purchase tax-free, with tax collected downstream when the end customer pays.
  • Federal and state government agencies, municipal authorities, charitable organizations, religious organizations, and nonprofit educational institutions qualify with proper documentation.7Pennsylvania Department of Revenue. When Should I Use a REV-1220 PA Exemption Certificate

Every exempt purchase needs Form REV-1220, the Pennsylvania Exemption Certificate. The buyer completes it and hands it to the seller, and the seller must have it on file within 60 days of the sale.8Pennsylvania Department of Revenue. Pennsylvania Tax Unit Exemption Certificate REV-1220 If the certificate is missing or incomplete, the seller owes the uncollected tax if an audit comes. Sellers need to keep the certificates for at least four years from the date of the exempt sale.7Pennsylvania Department of Revenue. When Should I Use a REV-1220 PA Exemption Certificate

Economic Nexus for Out-of-State SaaS Sellers

If you sell SaaS from outside Pennsylvania, you must register, collect, and remit the tax once your sales into the state cross $100,000 in a year.9Commonwealth of Pennsylvania. Online Retailers Pennsylvania measures the threshold by sales volume alone, with no transaction count. Gross sales count toward it, so exempt sales and resale transactions still get added to the total.

If you sell through a third-party platform that qualifies as a marketplace facilitator, the platform generally collects and remits on your behalf. Confirm the arrangement with the platform before registering on your own, so you do not end up collecting twice or missing the obligation entirely.

Use Tax When the Vendor Does Not Charge It

A Pennsylvania business that buys a SaaS subscription from a vendor who does not collect Pennsylvania tax owes use tax on that purchase, at the same 6% rate plus any applicable local tax.1Pennsylvania Department of Revenue. Sales, Use and Hotel Occupancy Tax The buyer self-assesses and remits directly to the Department.

This hits more buyers than most expect. A small vendor that has not reached the $100,000 nexus threshold has no collection duty, but your payment obligation remains. Review your SaaS stack periodically, flag the subscriptions where no Pennsylvania tax appears on the invoice, and remit on those yourself.

Registering and Filing as a Seller

Collection starts with a Sales, Use and Hotel Occupancy Tax License, obtained through the Department’s myPATH portal at mypath.pa.gov.10Commonwealth of Pennsylvania. Register My Business for Taxes New entities without existing Pennsylvania tax accounts can register without first creating a user profile. Businesses already registered for other Pennsylvania taxes add the sales tax account from their existing myPATH login.11Pennsylvania Department of Revenue. Filing Frequency

The Department assigns a filing schedule based on the sales tax you reported during the third calendar quarter, July through September:12Pennsylvania Department of Revenue. How Is My Filing Period for Sales Tax Determined

  • Monthly, when third-quarter tax reported is $600 or more.
  • Quarterly, when it falls between $75 and $599.99.
  • Semi-annual, when it is under $75.

Semi-annual filers are reviewed across a longer window and can be bumped to quarterly or monthly if their volume climbs.12Pennsylvania Department of Revenue. How Is My Filing Period for Sales Tax Determined Most new SaaS sellers begin on a quarterly schedule and shift to monthly as revenue grows.

Penalties and Interest

Late filing carries a penalty of 5% of the tax due for each month or partial month the return is overdue, capped at 25%. A separate 3% monthly penalty applies to unpaid balances when the return is filed but the tax is short, capped at 18%.13Commonwealth of Pennsylvania. REV-717 Retailers Information Interest accrues daily on unpaid tax, at an annual rate of 7% for 2026.14Pennsylvania Department of Revenue. What Is the Current Interest Rate

Payments of $1,000 or more must go through an approved electronic method. Miss that requirement and the Department can add a 3% penalty on the full tax due, up to $500.13Commonwealth of Pennsylvania. REV-717 Retailers Information These penalties stack, so a late filing with a short payment made by paper check can produce a bill well out of proportion to the underlying tax.

A Note on IaaS and PaaS

Infrastructure as a Service and Platform as a Service do not sit cleanly inside the SaaS rules. The Department’s guidance keys on whether the cloud service delivers access to a canned software program. Pure infrastructure like raw storage or server hosting generally falls outside the definition of tangible personal property, while any canned software component bundled into an IaaS or PaaS offering is taxable.15Department of Revenue. Taxability of Canned Computer Software, Digital Goods, and Related Services A PaaS product that includes a drag-and-drop website builder looks like canned software; one that offers only a code compiler and hosting may not. If your product sits in the gray zone, a letter ruling from the Department settles it before the liability accumulates.
