To get a Puerto Rico Good Standing Certificate, order it online through the Department of State’s Electronic Registry of Corporations and Entities at rcp.estado.pr.gov. For an entity that is current on its filings and fees, the certificate is available as a downloadable PDF within minutes of payment. What trips people up is not the portal itself but the two steps around it: making sure the entity is actually in compliance before ordering, and choosing the right certificate type at checkout.1Puerto Rico Online. Ask for the Right Certificate
The portal offers two documents that sound similar. A certificate of compliance, labeled “Good Standing,” confirms that your entity is current on all annual reports and fees. A certificate of existence only confirms that the entity was formed and is on file, without vouching for its compliance history.1Puerto Rico Online. Registry of Corporations and Other Legal Entities
When a bank, investor, or opposing counsel asks for a Good Standing Certificate, they almost always want the certificate of compliance. Picking the wrong one is one of the more common mistakes and can hold up a closing while you go back to order the correct document.
Confirm You Are Actually in Good Standing
The Department will not issue a compliance certificate to an entity that is behind on its obligations. Before you order, check that everything the Puerto Rico General Corporations Act of 2009 (Act 164-2009) requires for your entity type is in order.
Corporations
Every domestic and foreign corporation must file an annual report electronically through the registry on or before April 15 each year. The report includes the corporation’s name and registration number, physical and mailing address of its designated office, the name and address of its registered agent, the names and addresses of at least two current officers, and a statement of the corporation’s financial condition at the close of the preceding calendar year. Corporations with turnover over $3 million must have the report audited by a Puerto Rico–licensed CPA. Nonprofit religious corporations are exempt from the annual report.2Department of State of Puerto Rico. Registry of Corporations and Entities3Puerto Rico Department of State. Limited Liability Companies
LLCs do not file an annual report. Instead, they pay a $150 annual fee to the Department of State on or before April 15 each year, through the same portal. Owners sometimes think they missed a filing when they actually just owe the fee.3Puerto Rico Department of State. Registry of Corporations and Entities
Registered Agent
Every corporation must maintain a registered agent in Puerto Rico. The agent can be the corporation itself, an individual who resides on the island, or another business entity authorized to operate there. The registered office must be a physical address (not a P.O. box) and open during regular business hours to accept legal documents.4Justia Law. Laws of Puerto Rico Title Fourteen 3542 A lapsed agent or stale address is another way entities fall out of compliance quietly.
If April 15 Has Passed
Miss the deadline and penalties start the next day. LLCs accrue interest at 1.5% per month on the unpaid fee beginning April 16. Corporations face fines that escalate the longer the report stays unfiled, and continued failure can lead to cancellation of the entity.2Department of State of Puerto Rico. Registry of Corporations and Entities If you know a deadline will slip, the Department accepts extension requests filed through the portal on or before the original due date; check the portal for the current terms, which the Department adjusts by administrative order from time to time.3Puerto Rico Department of State. Requesting the Certificate Online
The whole process runs through rcp.estado.pr.gov. Expect four steps.
- Search for your entity. Enter the exact legal name as it appears on your articles of incorporation or organization, including designators like “Inc.” or “LLC.” Searching by the registration number assigned by the Department of State is more reliable when several entities share similar names.1Puerto Rico Online. Registry of Corporations and Other Legal Entities
- Select the certificate type. Choose the certificate of compliance (Good Standing) unless you specifically need the certificate of existence. Verify that the entity details the system populates match your records before you continue.
- Pay the fee. The portal takes credit or debit cards through a secure gateway. Certificate fees are typically modest, in the range of $15 to $25 depending on entity type, but confirm the exact amount at checkout because the Department adjusts fees periodically.
- Download the certificate. Once payment clears, download the PDF directly or receive it by email. The document carries a unique validation code and a QR code that third parties can use to verify authenticity with the Department.1Puerto Rico Online. Registry of Corporations and Other Legal Entities
For most compliant entities, no office visit is needed and the certificate is in hand within minutes.
How Fresh the Certificate Needs to Be
The certificate is a snapshot of your compliance status at the moment it is generated, not a guarantee of anything afterward. Because status can change with a missed filing or a new penalty, most banks and law firms accept only certificates issued within the last 60 to 90 days. Order yours close to the date you actually need to submit it rather than months ahead.
April 15 is the pivot date. A certificate pulled on April 14 confirms compliance through the prior year, but once April 15 passes without a new filing or fee payment, the entity’s status can flip overnight.2Department of State of Puerto Rico. Registry of Corporations and Entities Businesses that need Good Standing Certificates regularly, such as government contractors or multistate operators, should treat the April 15 filing as the first item on the calendar each year.
Apostille for Use Outside the United States
If the certificate will be used abroad, the Department of State can attach an apostille (for Hague Convention countries) or a certification (for non-member countries). The cost is $3 per document, paid through an internal revenue stamp.5Department of State, Government of Puerto Rico. Apostilles
You can request it in person at the Certifications and Regulations Division on the first floor of the Real Intendency Building in San Juan. From outside Puerto Rico, mail the original certificate with:
- A printed internal revenue stamp (Code R5120, $3 per document), purchased through the Colecturía Digital mobile app under the Department of State option
- A letter stating where the document will be used
- A pre-addressed return envelope

If Your Entity Has Been Cancelled
A cancelled corporation or LLC cannot obtain a Good Standing Certificate and cannot legally transact business until it is restored. Reinstatement means confirming the cancellation in the Department’s records, clearing all outstanding obligations (back fees, penalties, and any overdue annual reports), and submitting a reinstatement application through the portal or in person for the Department’s review.
For corporations that were voluntarily dissolved, Puerto Rico law allows revocation of the dissolution within three years, subject to board and shareholder approval and filing a certificate of revocation with the Department. If another entity adopted the same name or a confusingly similar one during the dissolution period, the reinstated corporation must pick a new name.6Justia Law. Laws of Puerto Rico Title Fourteen 3761
Timelines depend on how long the entity has been inactive and how many back filings need clearing. Resolving the penalties and outstanding reports before filing the reinstatement application shortens the wait considerably, and only after reinstatement is confirmed can you order the Good Standing Certificate.
