Every LLC with an office in Queens County must satisfy the Queens County LLC publication requirement: run a formation notice in two newspapers assigned by the County Clerk, once a week for six consecutive weeks, and file a Certificate of Publication with both newspaper affidavits at the New York Department of State within 120 days of formation. The rule comes from Section 206 of the New York Limited Liability Company Law and applies to every domestic LLC regardless of size or industry.1New York State Senate. What the Notice Must Contain
The notice is built from the filing receipt the Department of State issued when it accepted your Articles of Organization. It must include:1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication
- The full LLC name, exactly as it appears on the Articles of Organization.
- The date the Department of State filed the Articles; if the formation date differs, include both.
- Queens County as the county where the LLC’s office is located.
- The street address of the LLC’s principal business location, if one exists.
- A statement that the Secretary of State has been designated as agent for service of process, and the mailing address for forwarding legal papers.
- A description of the general character or purpose of the business.
The name and filing date have to match Department of State records exactly. A typo can get your Certificate of Publication rejected later, which means re-publishing and starting the clock again.2New York Department of State. The statute treats them the same, and the condensed version is cheaper to run.
Getting Your Newspapers Assigned
You don’t pick the papers. The Queens County Clerk assigns two on a rotating basis, one daily and one weekly, in the order requests come in.3New York Courts. Two LLCs filing a week apart may land in entirely different papers; that is how the rotation is meant to work.
Once you have the designation, contact both newspapers directly to schedule publication. Each runs the notice once per week for six successive weeks.1New York State Senate. What It Costs in Queens
Newspaper fees are by far the largest expense. In Queens, expect roughly $550 to $750 for the daily paper and $400 to $600 for the weekly, for a combined $950 to $1,350 in newspaper charges. Add the $50 state filing fee for the Certificate of Publication, and the realistic all-in cost is $1,150 to $1,500 or more.
There is no way to reduce or waive the newspaper fees. Each paper sets its own rates, and because the Clerk assigns them, you can’t shop around.
Filing the Certificate of Publication
When the six-week run ends, each newspaper issues an affidavit of publication, a sworn statement that the notice ran as scheduled and contained the correct information.2New York Department of State. Expedited Processing
If you’re running close to the 120-day deadline, the Department of State offers expedited handling for an extra fee on top of the $50 filing charge:4New York Department of State. Expedited Handling Services for Division of Corporations
- 24-hour processing for $25 additional. Requests accepted from 9:00 a.m. to 4:00 p.m.
- Same-day processing for $75 additional. Request must arrive by 12:00 p.m.
- Two-hour processing for $150 additional. Request must be hand-delivered or faxed by 2:30 p.m.
The two-hour option is the only realistic choice if you’re a few days from suspension, and it requires getting paperwork physically to Albany.
Missing the 120-Day Deadline
If 120 days pass without filing the Certificate of Publication and both affidavits, your LLC’s authority to do business in New York is automatically suspended.1New York State Senate. New York Limited Liability Company Law 206 – Affidavits of Publication A suspended LLC cannot carry on or transact business in the state, which shows up in practical ways: bank accounts, commercial leases, and any counterparty that checks your standing with the Department of State.
Suspension is not the end of the LLC. The statute is explicit that suspension does not invalidate contracts the LLC already entered into, does not block third parties from suing the LLC or enforcing their rights, does not strip the LLC’s right to defend a lawsuit, and does not make members or managers personally liable for the LLC’s obligations.1New York State Senate. There is no hard cutoff after which suspension becomes permanent. Complete the publication, file the Certificate with both affidavits and the $50 fee, and the suspension is annulled immediately on filing, no matter how much time has passed.2New York Department of State. Certificate of Publication for Domestic Limited Liability Company The late filing still has to comply with everything else in Section 206: the Clerk’s designation, the six-week run, both affidavits, and the fee.
Foreign LLCs Registering in Queens
The publication rule isn’t limited to LLCs formed in New York. If your LLC was organized elsewhere and you file an application for authority to do business in New York with an office in Queens, Section 802 of the LLC Law imposes the same process: 120 days from filing the application for authority, two papers designated by the Queens County Clerk, once a week for six weeks, then the Certificate of Publication with both affidavits.
