Revised Iowa Nonprofit Corporation Act: Formation and Compliance

To start a nonprofit in Iowa, you file articles of incorporation with the Iowa Secretary of State under Chapter 504 of the Iowa Code, adopt bylaws, obtain a federal employer identification number, and apply separately to the IRS for tax-exempt status. State incorporation costs $20 and creates the legal entity; federal 501(c)(3) recognition is a separate application with its own fee. After that, ongoing compliance means a biennial state report and an annual IRS filing, both of which carry real consequences if you miss them.

What Goes in the Articles of Incorporation

The articles are the founding document. Iowa Code § 504.202 requires five items:1Justia. Iowa Code 504.202 – Articles of Incorporation

  • A corporate name that is distinguishable from every other business name on file with the Secretary of State, as required by Iowa Code § 504.401.
  • The street address of the initial registered office and the name of the registered agent at that address. A P.O. box alone will not satisfy this.
  • The name and address of each incorporator.
  • A statement of whether the corporation will have members.
  • For any corporation formed after January 1, 2005, provisions describing how assets will be distributed on dissolution.

The dissolution clause catches many founders off guard. If you plan to seek 501(c)(3) status, the language has to direct remaining assets to other tax-exempt organizations or to government entities for public purposes. The IRS publishes model language you can adapt.2Internal Revenue Service. Suggested Language for Corporations and Associations (per Publication 557) Building it in from the start is much easier than amending later.

The articles may also include optional items: a purpose clause, the names of initial directors, limits on director liability for monetary damages, indemnification provisions, and other governance rules you could otherwise put in the bylaws.3Iowa Legislature. Iowa Code 504.202 – Articles of Incorporation A purpose clause is technically optional under state law, but the IRS expects one for tax-exempt applications. Include it.

The IRS also expects the articles to prohibit private inurement (insiders profiting from the organization’s earnings) and to bar substantial lobbying or any political campaign activity.2Internal Revenue Service. Suggested Language for Corporations and Associations (per Publication 557)

Filing with the Secretary of State

Submit the completed articles through Fast Track Filing at filings.sos.iowa.gov, or mail them to the Secretary of State’s office in the Lucas State Office Building in Des Moines.4Iowa Secretary of State. How Do I Form an Iowa Nonprofit Corporation? The filing fee is $20.5Iowa Secretary of State. Business Entity Forms and Fees Online filers pay by credit card; mailed submissions include a check. Once the Secretary of State accepts the filing, the corporation legally exists and can enter contracts, open bank accounts, and hold property in its own name.

Adopt Bylaws

After incorporation, the incorporators or the initial board must adopt bylaws.6Iowa Legislature. Iowa Code Chapter 504 – Revised Iowa Nonprofit Corporation Act Bylaws are the internal operating manual, and they can address anything as long as they don’t conflict with the articles or Iowa law.

In practice, they cover director terms and how directors are elected or removed, officer roles, meeting schedules and notice, quorum, committee structures, and how the bylaws themselves can be amended. Iowa law doesn’t prescribe a minimum level of detail, but thin bylaws create problems later when a governance dispute arises and there’s no internal rule to resolve it. Spend the time up front.

Get an EIN and Apply for Tax-Exempt Status

Every nonprofit corporation needs an employer identification number from the IRS, even one that will never have employees.7Internal Revenue Service. Employer Identification Number The EIN is the federal tax ID, and you need it to open a bank account, file returns, and apply for exempt status. Apply online at irs.gov at no cost. One thing to know about timing: the IRS treats an EIN application as confirmation that the organization is legally formed, which starts the clock on annual filing requirements.

Iowa incorporation does not make you tax-exempt. To get federal 501(c)(3) status, apply separately with the IRS. Most organizations file Form 1023, which carries a $600 user fee.8Internal Revenue Service. Form 1023 and 1023-EZ: Amount of User Fee Smaller organizations that project annual gross receipts of $50,000 or less and hold total assets under $250,000 may qualify for the streamlined Form 1023-EZ, which costs $275.9Internal Revenue Service. Set Up the Board

Iowa law requires at least one director, though a functioning board has more.6Iowa Legislature. Iowa Code Chapter 504 – Revised Iowa Nonprofit Corporation Act The exact number is set in the articles or bylaws. Directors owe two fundamental duties. The duty of care requires them to act with the attention a reasonable person would use in a similar role. The duty of loyalty requires them to put the organization’s interests ahead of their own.

Unless the articles or bylaws provide otherwise, the corporation must have a president, a secretary, and a treasurer. The board may appoint additional officers, and one person can hold more than one office at the same time.6Iowa Legislature. Iowa Code Chapter 504 – Revised Iowa Nonprofit Corporation Act Someone has to be designated as responsible for preparing meeting minutes and authenticating corporate records.

Conflict of Interest Policy

A transaction between the corporation and one of its directors isn’t automatically void just because the director has a personal financial stake. Under Iowa Code § 504.833, the transaction stands if the board knew the material facts and approved it by a majority of directors who have no interest in the deal, or if the transaction was fair to the corporation when entered into.10Iowa Legislature. Iowa Code 504.833 – Director Conflict of Interest A single conflicted director voting alone cannot authorize the transaction, no matter how small the board.

The IRS does not require a written conflict of interest policy for 501(c)(3) status, but it strongly recommends one and asks about it on Form 1023. Sample language appears in the form’s instructions.11Internal Revenue Service. Instructions for Form 1023 Adopting one before the first substantive board meeting is a straightforward step that signals to the IRS and to donors that the organization takes self-dealing seriously.

If Your Nonprofit Will Have Members

If the corporation has members, it must hold an annual meeting where members receive updates and vote on matters that require their approval. Notice must go out at least ten days but no more than sixty days before the meeting. If notice goes by anything other than first-class or registered mail, the minimum lead time is thirty days.6Iowa Legislature. Iowa Code Chapter 504 – Revised Iowa Nonprofit Corporation Act The notice must include the date, time, location, and any specific items up for a vote.

The default quorum is ten percent of the voting power unless the bylaws set a different threshold. Members can vote in person, by written ballot, or by proxy. A proxy appointment is valid for eleven months unless it specifies a different period, and no proxy can exceed three years from the date signed.6Iowa Legislature. Ongoing Compliance

The Iowa Biennial Report

Every odd-numbered year, the corporation files a biennial report with the Secretary of State between January 1 and April 1. The report confirms the registered agent and office address and lists the principal officers. Nonprofits pay no fee for the biennial report.5Iowa Secretary of State. Business Entity Forms and Fees Missing it matters: if the report isn’t delivered within sixty days after the due date, the Secretary of State can begin proceedings to administratively dissolve the corporation.6Iowa Legislature. The Annual IRS Return

Tax-exempt nonprofits must file an annual return or notice with the IRS. The form depends on financial size:

  • Form 990-N (e-Postcard) for organizations with gross receipts normally $50,000 or less.
  • Form 990-EZ for organizations with gross receipts under $200,000 and total assets under $500,000.
  • Form 990 for organizations with gross receipts of $200,000 or more, or total assets of $500,000 or more.

Private foundations file Form 990-PF regardless of size.12Internal Revenue Service. Form 990 Series – Which Forms Do Exempt Organizations File

The penalty for ignoring these filings is severe. An organization that fails to file for three consecutive years automatically loses its federal tax-exempt status, effective on the due date of that third missed return.13Internal Revenue Service. Automatic Revocation of Exemption Reinstating exempt status requires filing a new application and paying the full user fee again. Small nonprofits most often trip here, especially ones that assume the e-Postcard doesn’t apply to them because they have little revenue.

Records and Public Inspection

Iowa Code § 504.1601 requires the corporation to keep permanent minutes of board and member meetings and records of any actions taken without a meeting. Beyond that, the corporation must maintain accounting records, a current member list, the articles and bylaws with all amendments, board resolutions on membership rights, written communications to members from the past three years, financial statements from the past three years, a current officer and director list, and the most recent biennial report.14Iowa Legislature. Iowa Code 504.1601 – Corporate Records Members have a legal right to inspect and copy these records after submitting a written request at least five business days before the inspection date.6Iowa Legislature. Iowa Code Chapter 504 – Revised Iowa Nonprofit Corporation Act

Federal law separately requires tax-exempt organizations to make their exemption application (with supporting documents and the IRS determination letter) and their annual returns for the three most recent years available to the public on request. Donor names and addresses generally don’t have to be disclosed, except for private foundations.15Internal Revenue Service. Fundraising Registration in Iowa

Iowa’s charitable solicitation registration is narrower than most states. The requirement applies to professional fundraisers, not to the charitable organizations themselves. A nonprofit that raises money using its own staff and volunteers does not need to register with the Iowa Attorney General’s office under the state’s charitable solicitation statute.16Iowa Attorney General. Professional Fundraisers and Charity Information and Registration If you hire a paid professional solicitor or fundraising counsel, that professional must register before soliciting.

If your nonprofit solicits donations from residents of other states, those states may require registration before you ask their residents for money. Many states impose registration directly on the charitable organization, not just on paid solicitors.17Internal Revenue Service.
