Utah LLC Taxes: Rates, Elections, and Filing Penalties

Utah LLC taxes come down to a flat 4.5 percent state income tax on business profits, paid either by the owners on their personal returns or by the LLC itself depending on how it’s classified for federal purposes. On top of that, your LLC may owe federal self-employment tax, sales and use tax, employment taxes if you have workers, and an $18 annual renewal fee to the state. What actually applies depends on your federal tax classification, whether you sell taxable goods or services, and whether you have employees.

How Your Federal Classification Decides What You Pay

Utah follows the IRS’s classification of your LLC for state income tax purposes, so the first question is always how the federal government treats you.

  • A single-member LLC is a disregarded entity by default. Income and expenses flow onto the owner’s personal Form 1040, Schedule C.1Internal Revenue Service. Single Member Limited Liability Companies
  • A multi-member LLC is taxed as a partnership by default. The LLC files Form 1065 for information only, and each owner reports their K-1 share on their personal return.2Internal Revenue Service. Partnerships
  • An LLC can elect S corporation treatment by filing Form 2553. It files Form 1120-S and passes income to owners on a K-1, but working owners must take a reasonable salary.3Internal Revenue Service. S Corporations
  • An LLC can elect C corporation treatment by filing Form 8832. The entity pays corporate income tax on Form 1120, and distributions to owners are taxed again as dividends.4Internal Revenue Service. Three of these four classifications are pass-through for Utah income tax. Only a C corporation election makes the LLC itself pay Utah tax on its profits.

Utah’s 4.5 Percent Income Tax

Utah charges a flat 4.5 percent income tax on individuals. The rate dropped from 4.55 percent to 4.5 percent under HB 106, retroactive to January 1, 2025.6Utah Legislature. H.B. 106 Income Tax Revisions If your LLC is a disregarded entity, partnership, or S corporation, the LLC itself owes no Utah income tax. Each owner reports their share of the business income on their personal Utah return (Form TC-40) and pays the 4.5 percent rate on it.7Utah State Tax Commission. 2025 Utah Individual Income Tax Return, Form TC-40

Multi-member LLCs taxed as partnerships still file a Utah partnership return to show how income is split among the owners, and S corporation LLCs file a Utah S corporation return for the same purpose. Neither triggers a payment from the entity. Owners who expect to owe more than a small amount at filing time should make quarterly estimated payments. Utah charges 6 percent annual interest on underpayments, calculated daily from the original due date.8Utah State Tax Commission. Penalties and Interest

The Pass-Through Entity Tax Election

Utah offers a pass-through entity tax (PTET) election that can meaningfully reduce federal taxes for LLC owners. Under HB 444, an LLC taxed as a partnership or S corporation can elect to pay the Utah income tax at the entity level on behalf of its owners, calculated at the same 4.5 percent rate on their share of Utah-source income.9Utah State Tax Commission. SALT Report and Tax FAQ

Why bother? When the LLC pays the tax, that payment is a deductible business expense on the federal return, which sidesteps the federal cap on individual state and local tax deductions. Owners then receive a nonrefundable credit on their Utah personal returns for the tax the LLC paid for them, so there’s no double tax. Unused credits carry forward up to ten years.

The election is made by filing a SALT Report (Form TC-75) and paying electronically by the last day of the LLC’s taxable year. Once the payment is made, the election is irrevocable for that year and binds every owner. If the LLC underestimates the amount owed, resident owners pick up the difference on their personal returns.9Utah State Tax Commission. SALT Report and Tax FAQ

Utah Corporate Income Tax if You Elect C Corporation Status

If your LLC elects C corporation treatment, the entity pays Utah corporate income tax at 4.5 percent of taxable net income, filed on Form TC-20.10Utah State Tax Commission. 2025 Utah Corporation Franchise and Income Tax Return Instructions Every TC-20 filer owes a minimum tax of $100, even if the business lost money or earned nothing.11Utah State Tax Commission. 2025 TC-20MC Instructions

Corporations with a Utah tax liability of $3,000 or more in the current or prior year must make quarterly estimated payments. They’re due on the 15th day of the 4th, 6th, 9th, and 12th months of the corporation’s tax year. For calendar-year filers that means April 15, June 15, September 15, and December 15.12Utah State Tax Commission. Corporate Quarterly Prepayment Due Date Miss them and the 6 percent interest clock starts.

C corporation treatment also means double taxation. The LLC pays 4.5 percent on profits, and when those profits are distributed, owners pay personal income tax on the dividends. For most small LLCs the math doesn’t work out.

Federal Self-Employment Tax

The tax that surprises most new LLC owners isn’t a Utah tax at all. If your LLC is a disregarded entity or partnership, every dollar of business profit is subject to federal self-employment tax, which funds Social Security and Medicare at a combined 15.3 percent rate (12.4 percent Social Security, 2.9 percent Medicare).13Social Security Administration. Contribution and Benefit Base The Social Security portion applies to the first $184,500 of net self-employment income in 2026. Medicare has no cap, and an additional 0.9 percent Medicare surtax applies above $200,000 for single filers and $250,000 for married couples filing jointly.

You can deduct half of your self-employment tax when calculating adjusted gross income on your federal return, which softens the hit a bit. Even so, self-employment tax is often the single largest tax an LLC owner pays, exceeding federal and state income tax combined at lower income levels.

This is the main reason profitable LLCs sometimes elect S corporation status. An S corp owner takes a reasonable salary (subject to payroll taxes) and receives remaining profits as distributions that aren’t subject to self-employment tax. The savings only outweigh the added payroll and accounting costs once profits are high enough. For LLCs earning roughly $50,000 to $60,000 or less, it’s generally not worth it.

Sales and Use Tax

Sales tax is a separate system and only applies if your LLC sells taxable goods or services in Utah. The state’s base rate is 4.85 percent. Local add-ons bring the combined rate to somewhere between about 4.7 percent and 8.7 percent depending on location.14Utah State Tax Commission. Utah Sales and Use Tax Rates

You have a sales tax obligation if you have nexus in Utah. Physical nexus comes from an office, warehouse, inventory, or employees in the state. Economic nexus kicks in when your LLC’s gross revenue from sales of tangible goods, electronically transferred products, or services delivered into Utah exceeds $100,000 in the current or previous calendar year.15Utah State Tax Commission. Out-of-State (Remote) Sellers If you have nexus, register for a sales tax license with the Utah State Tax Commission before making any taxable sales. Registration is free. You then collect the correct combined rate from customers and remit monthly, quarterly, or annually depending on sales volume.

Use tax is the flip side. When your LLC buys from an out-of-state seller that didn’t charge Utah sales tax and uses the items in Utah, you self-assess and remit the use tax at the same rate that would apply to a Utah sale at your location.16Utah State Tax Commission. The $18 Annual Renewal Fee

Every Utah LLC must file an annual renewal with the Utah Division of Corporations and Commercial Code. The fee is $18, due one year from the date of registration and annually after that.17Utah Department of Commerce. Fiscal Year 2026 Fee Schedule18Utah Department of Commerce. CORP How to Renew a Business Miss the deadline and a $10 late fee is added. Keep ignoring it and the state will administratively dissolve the LLC, which strips the owners’ liability protection. Reinstatement means filing all missed renewals, paying back fees, and a $54 reinstatement fee. A dissolved LLC also loses the right to its registered name during the gap.

Taxes and Insurance if You Have Employees

Hiring W-2 employees adds three obligations: state withholding, state unemployment insurance, and workers’ compensation.

State Income Tax Withholding

Register with the Utah State Tax Commission for a withholding account, deduct state income tax from employee wages using their W-4 and the state’s withholding tables, and remit on a schedule based on total amounts withheld. Most employers file monthly or quarterly, with a year-end reconciliation.

State Unemployment Insurance

Utah requires employers to pay state unemployment insurance (SUI) through the Utah Department of Workforce Services. SUI is paid quarterly on each employee’s taxable wages up to $50,700 in 2026. New employers get a standard starting rate; over time the rate adjusts based on experience rating. SUI is employer-paid only; you don’t withhold it from employees.

Workers’ Compensation Insurance

With limited exceptions, every Utah employer must carry workers’ compensation insurance to cover medical costs and lost wages for on-the-job injuries. Workers’ comp is a premium paid to a private carrier or the state fund, not a tax, and rates depend on industry and claims history. You also have to post a workplace notice confirming coverage.19Utah Labor Commission. Employers’ Guide to Workers’ Compensation Operating without coverage brings fines and personal liability for the owners if an employee is injured.

What Happens if You File or Pay Late

Utah charges 6 percent annual interest on unpaid taxes, calculated daily from the original due date. The math is unpaid tax times 0.06, times days late, divided by 365.8Utah State Tax Commission. Penalties and Interest Separate penalties can apply on top of interest depending on the type of tax and the circumstances.

Payments on a delinquent account are applied to penalties first, then interest, then the underlying tax. Partial payments therefore don’t reduce the tax balance as quickly as you’d expect, and interest and penalties keep accruing on whatever tax is left. Pay as much as you can by the due date even if you can’t cover the full bill.
