Virginia Corporate Estimated Tax Payments: Due Dates, Safe Harbor, and Penalties

A Virginia C-corporation that expects to owe more than $1,000 in state income tax after credits must make Virginia corporate estimated tax payments in four installments across the year, due on the 15th day of the 4th, 6th, 9th, and 12th months of the tax year. Virginia taxes corporate income at a flat 6%,1Virginia Code Commission. Virginia Code 58.1-400 – Imposition of Tax so the threshold is reached once projected Virginia taxable income passes roughly $16,700. Miss an installment and interest accrues automatically from the date it was due.

Who Has to Pay

Every C-corporation subject to Virginia income tax has to file a declaration of estimated tax and pay in installments if its expected tax for the year, after allowable credits, exceeds $1,000. The credits that reduce the threshold calculation include the Neighborhood Assistance Act credit under § 58.1-430 and the Energy Income Tax Credit under § 58.1-431.2Legal Information Institute. 23 Virginia Administrative Code 10-120-420 – Declarations of Estimated Income Tax Required If the tax after those credits comes in at $1,000 or less, no estimated payments are required.

New corporations and corporations coming off a loss year still need to run the numbers against current-year projections. The rule looks at what you expect to owe, not what you owed before.

The Four Due Dates

For a calendar-year corporation, installments are due April 15, June 15, September 15, and December 15.3Virginia Department of Taxation. 2025 Form 500ES – Virginia Corporation Estimated Income Tax Payment Vouchers Fiscal-year corporations pay on the 15th day of the 4th, 6th, 9th, and 12th months of their tax year. If a due date falls on a weekend or legal holiday, the deadline rolls to the next business day.

How much goes with each payment depends on when you first file the declaration during the year:

  • Filed by the first due date: one-quarter of the annual estimate per installment.
  • Filed by the second due date: one-third per remaining installment.
  • Filed by the third due date: one-half per remaining installment.
  • Filed by the fourth due date: the full remaining amount in one payment.

Corporations that start up mid-year, or that only realize later in the year that they will cross the $1,000 threshold, can come into compliance under this schedule without back-paying earlier quarters.3Virginia Department of Taxation. 2025 Form 500ES – Virginia Corporation Estimated Income Tax Payment Vouchers

Figuring the Payment Amount

Form 500ES, the Corporation Estimated Income Tax Payment Vouchers, includes the worksheet. Line 1 is your expected Virginia net income for the year. Line 2 multiplies that by 6% and subtracts allowable credits. If the result tops $1,000, you divide it according to the schedule above.3Virginia Department of Taxation. 2025 Form 500ES – Virginia Corporation Estimated Income Tax Payment Vouchers

The arithmetic is simple. Getting to Line 1 is where the work is. Virginia net income is not federal taxable income: you start with the federal figure, add back deductions Virginia doesn’t allow, and subtract income Virginia doesn’t tax. Multi-state corporations then apply an apportionment factor to figure how much of their income Virginia can reach. Virginia’s standard formula double-weights sales, so a company with heavy sales into Virginia but little physical presence still apportions a meaningful share of income to the state. Qualifying manufacturers may elect a single sales factor instead, but that election locks in for three taxable years and carries wage conditions.4Virginia Code Commission. The Prior-Year Safe Harbor

The straightforward way to avoid an underpayment addition is to base your installments on last year’s tax. If your total estimated payments by each due date equal or exceed 100% of the tax shown on the prior year’s return, Virginia will not impose the addition, even if your actual current-year liability turns out much higher.5Virginia Code Commission. 23 VAC 10-120-460 – Failure to Pay Estimated Tax

Two conditions apply. The preceding tax year must have been a full 12-month period, and a return showing a tax liability must have actually been filed for that year.5Virginia Code Commission. 23 VAC 10-120-460 – Failure to Pay Estimated Tax A first-year corporation, a corporation with a short prior year, or one whose last return showed zero liability can’t use this safe harbor and has to work from a reasonable current-year projection.

What an Underpayment Costs

When an installment is short, Virginia adds interest to the tax at the rate set under § 58.1-15.6Virginia Code Commission. Virginia Code 58.1-504 – Failure to Pay Estimated Income Tax That rate is reset quarterly and sat at 9% for the fourth quarter of 2025.7Virginia Tax. Virginia Interest Rates Remain 9% for the 4th Quarter of 2025 Interest runs from the missed due date until the earlier of the date you pay or the original due date of the annual return.

Virginia classifies this as an addition to tax, not a discretionary penalty, so it is automatic. No audit or notice is required: when the annual return shows an underpayment, the addition is calculated and tacked on. The safe harbor is the main defense. At 9%, a shortfall carried for even a few months adds up fast.

How to Submit the Payment

Virginia Tax takes corporate estimated payments electronically through several channels: eForms, which are fillable and need no login; a Business Online Services account, which requires login but walks you through filing; and Web Upload for bulk submissions.8Virginia Tax. Business Tax Payment Options Corporations can also push an ACH Credit from their own bank to Virginia Tax.

Electronic payment is mandatory only when a corporation’s average monthly tax liability exceeds $20,000.9Virginia Code Commission. Virginia Code 58.1-202.1 – Payment of Taxes by Electronic Funds Transfer Smaller corporations are encouraged, not required, to pay electronically, though the eForms option takes no account and little setup. Save the confirmation number from any submission. It is your proof of timely payment if the Department later questions whether an installment arrived.

Rolling an Overpayment Forward

If last year’s payments overshot, Line 4 of the Form 500ES worksheet lets you apply the overpayment against this year’s first installment. Anything left over carries into later installments.3Virginia Department of Taxation. 2025 Form 500ES – Virginia Corporation Estimated Income Tax Payment Vouchers You can instead claim the overpayment as a refund on the annual return, but for a corporation expecting steady or growing income, crediting forward reduces first-quarter cash outlay without waiting on a refund.
