The Virginia sales tax exemption Form ST-11 lets a qualifying buyer purchase certain goods without paying sales tax at the register. You download the form from the Virginia Department of Taxation, check the box for the exemption category that fits your business, fill in your information, sign it, and give it to your supplier before you buy. You do not file it with the state. One properly completed certificate covers all future qualifying purchases from that same vendor until the Department revokes it.1Virginia Department of Taxation. Pick the Right Exemption Category First
The ST-11 is a single form that covers many different exemptions. Each one is a numbered checkbox, and you have to pick the box that actually matches what your business does and what you’re buying. The categories include:2Virginia Tax. Sales Tax Exemptions
- Industrial materials and manufacturing equipment: raw materials that become part of a finished product for resale, plus machinery, tools, fuel, and supplies used directly in manufacturing, processing, refining, or mining.
- Agricultural supplies and equipment: commercial feeds, seeds, farm machinery, livestock, and agricultural chemicals used in producing goods for market.
- Natural gas and oil drilling: materials, machinery, and supplies used directly in drilling, extracting, or processing, including well reclamation work required by law.
- Research and development: items used directly and exclusively in basic research or laboratory R&D.
- Pollution control equipment certified under Virginia Code ยง 58.1-3660.
- Packaging materials: containers, labels, boxes, bags, and similar materials used to package goods for shipment or sale.
- Brewing supplies purchased by a licensed brewer for making beer.
- Advanced recycling machinery, tools, and equipment.
The manufacturing exemption is the one most buyers use, and the operative word in the statute is “directly.” Equipment qualifies if the preponderance of its use, meaning more than half, is directly in manufacturing, processing, refining, mining, or converting products for sale or resale.3Virginia Code Commission. Virginia Code 58.1-609.3 – Commercial and Industrial Exemptions A CNC machine cutting parts for resale qualifies. The office printer and the break room microwave do not. If a piece of equipment splits time between production and other tasks, you need to honestly assess whether production use exceeds 50 percent.
Two boundaries worth knowing before you check a box. The manufacturing exemption does not cover machinery, tools, or equipment used by a public service corporation to generate electric power, except for raw material inputs like fuel.4Justia Law. Virginia Code 58.1-609.3 – Commercial and Industrial Exemptions And oil and gas drilling has its own separate category on the form, so extraction companies should use that checkbox rather than the general manufacturing one.1Virginia Department of Taxation. Checking the wrong box, or selecting a category your operations don’t actually fit, is one of the fastest ways to trigger problems during an audit.
How to Fill Out the Form
Download the current ST-11 as a PDF from the Virginia Department of Taxation.1Virginia Department of Taxation. Virginia Sales and Use Tax Certificate of Exemption The form is addressed to a specific supplier, so you need a separate ST-11 for each vendor you buy from. The fields to complete:
- Supplier information: the vendor’s name, street address, city, state, ZIP code, and the date.
- Exemption category: check the numbered box that matches your exemption. You can check more than one if several categories apply to purchases from this vendor.
- Purchaser name and address: your legal business name and physical address.
- Virginia Account Number: the form says “if any,” so this is optional. If you have a Virginia sales tax registration number, include it; not having one does not invalidate the certificate.
- Trading as: if you operate under a DBA or trade name different from your legal name, enter it here.
- Kind of business: a description of what your business does and how it connects to the exemption you selected.
- Signature and title: an authorized representative signs and lists their title.
The business description is where mistakes happen most often. “Manufacturing” by itself is not enough. Describe what you actually make or process and how the items you’re buying relate to that activity. If you’re buying welding supplies, say you operate a structural steel fabrication shop that produces beams for commercial construction. That specificity is what protects both you and your vendor if an auditor later reviews the certificate.
What You’re Certifying When You Sign
Your signature certifies that the information is “true and correct, made in good faith, pursuant to the Virginia Retail Sales and Use Tax Act.”1Virginia Department of Taxation. Virginia Sales and Use Tax Certificate of Exemption The form does not use the phrase “under penalty of perjury,” but that distinction shouldn’t encourage carelessness. Virginia has statutory provisions addressing misuse of exemption certificates, and signing a false one exposes your business to back taxes, penalties, and interest.
Mistakes That Get Certificates Rejected
The errors that cause the most problems during audits are simple ones: a blank business description, a missing signature, or a checked box that doesn’t match what’s actually being purchased. A vendor who receives an incomplete certificate faces a choice between rejecting it and accepting risk. Most experienced vendors will refuse to honor one with missing fields, which means you pay tax at the register and have to chase a refund later. Check every field before handing the form over.
Give It to the Vendor, Not the State
You do not file Form ST-11 with the Virginia Department of Taxation. You hand it directly to your supplier at or before the time of purchase.1Virginia Department of Taxation. Virginia Sales and Use Tax Certificate of Exemption The supplier keeps it on file as their documentation for why they didn’t collect sales tax on your transaction. Without that certificate in their records, the burden of proving the sale was exempt falls on the vendor.5Legal Information Institute. 23 Virginia Administrative Code 10-210-280 – Certificates of Exemption
The ST-11 works as a blanket certificate. It states that it covers “all tangible personal property purchased or leased from the above-named supplier on and after this date” for the exemption category you selected, and it “shall remain in effect until revoked in writing by the Department of Taxation.” One properly completed ST-11 covers future orders of qualifying goods from that vendor. The supplier only needs one certificate per purchaser on file.1Virginia Department of Taxation. Virginia Sales and Use Tax Certificate of Exemption
If your business changes its legal name, address, or the nature of its operations, the old certificate no longer accurately represents your situation. Provide a new one. And keep copies of every ST-11 you issue. If a vendor loses theirs or gets audited, your copy lets you resolve the situation quickly instead of reconstructing a transaction from years ago.
When an Exempt Purchase Becomes Taxable Later
Buying something tax-free with an ST-11 doesn’t make tax disappear forever. Virginia’s consumer use tax applies whenever you store, use, or consume taxable goods in Virginia without having paid sales tax on them.6Virginia Tax. Consumer’s Use Tax If you buy a piece of equipment tax-free for manufacturing and later repurpose it for office use or donate it, you’ve become the end consumer, and you owe use tax on the purchase price.
The use tax rate matches Virginia’s sales tax rate for your locality, so the amount owed is the same as the sales tax you originally avoided.6Virginia Tax. Consumer’s Use Tax Businesses report use tax on their regular sales tax return, due on the 20th of the month following the filing period.7Virginia Tax. Retail Sales and Use Tax The same rule applies to out-of-state purchases where the seller didn’t collect Virginia tax: if the item isn’t exempt, you owe Virginia use tax.
If an Auditor Comes Back Later
Virginia’s statute of limitations for sales and use tax assessments is three years from the date the tax became due. If the Department has reasonable evidence of fraud or believes you were required to file a return and didn’t, that window extends to six years.8Virginia Code Commission. Virginia Code 58.1-634 – Period of Limitations The Tax Commissioner cannot examine your records beyond the three-year period without reasonable evidence justifying it.
If a vendor accepted your ST-11 in good faith and the exemption later turns out to be invalid, the vendor is generally protected. The liability shifts to the purchaser who signed the certificate. Virginia imposes a penalty of 6 percent per month on unpaid sales tax, up to a maximum of 30 percent, with a minimum penalty of $10 even when no tax is owed. Interest accrues at the federal underpayment rate plus 2 percent until the balance is paid.7Virginia Tax. Retail Sales and Use Tax
Every ST-11 you sign is a representation you may need to defend years later. Keep records showing how each exempt purchase was actually used in your qualifying operations. If your business straddles exempt and non-exempt activities, document the split. An auditor who sees purchase orders tied to production records is far less likely to dig deeper than one who finds a shoebox of invoices and a vague business description on the certificate.
