What Does the Franchise Tax Board Do in California?

The California Franchise Tax Board (FTB) is the state agency that collects California’s personal and corporate income taxes, and it does considerably more than process returns. It audits suspected underpayments, decides who counts as a California resident for tax purposes, garnishes wages and levies bank accounts to collect what people owe, intercepts refunds to pay off unrelated government debts like court fines and tolls, and runs programs that let taxpayers settle or dispute what the state says they owe. The revenue it brings in funds schools, infrastructure, and public safety.

The Taxes It Collects

For individuals, the FTB processes Form 540 from residents and Form 540NR from nonresidents and part-year residents.1Franchise Tax Board. 2025 Instructions for Form 540NR Nonresident or Part-Year Resident Booklet California’s graduated brackets run from 1% to 12.3%, and an additional 1% Mental Health Services Tax applies to taxable income above $1 million, so the effective top rate reaches 13.3%.2Franchise Tax Board. 2025 California Tax Rate Schedules

The agency also administers credits that reduce what lower-income households owe, including the California Earned Income Tax Credit, which can produce a cash refund even when you owe no tax.3Franchise Tax Board. California Earned Income Tax Credit

On the business side, corporations incorporated in California, qualified to do business here, or simply doing business within the state file Form 100 and owe at least the $800 minimum franchise tax every year, even when operating at a loss or sitting inactive.4Franchise Tax Board. 2025 Corporation Tax Booklet 100 – Section: C Minimum Franchise Tax Even a single isolated transaction in the state during a tax year can trigger that obligation.

LLCs pay the $800 minimum plus a separate fee that scales with California income:5Franchise Tax Board. Limited Liability Company

  • $5,000,000 or more: $11,790

S corporations, partnerships, and other pass-through entities also report through the FTB. For businesses operating in multiple states, the agency applies apportionment rules; for 2026, more than $757,070 in California sales, or more than $75,707 in California property or payroll, is enough to be considered doing business here.6Franchise Tax Board. Deadlines, Penalties, and Interest

Personal returns and any balance due are owed by April 15. California grants an automatic extension to October 15 to file the return, but it does not extend the time to pay.7Franchise Tax Board. Due Dates Personal A lot of people get caught by that distinction.

Two penalties can stack when you miss the deadline:8Franchise Tax Board. Common Penalties and Fees

  • A delinquent filing penalty of 5% of the unpaid amount per month or partial month, capped at 25%, when you fail to both pay and file by the extended due date.
  • A late payment penalty of 5% of the unpaid tax plus 0.5% per month the balance remains unpaid, for up to 40 months.

Interest runs on top of that. From July 2025 through June 2026, the rate on personal and corporate income tax underpayments is 7%, compounding daily.9Franchise Tax Board. Interest and Estimate Penalty Rates

How the FTB Collects Unpaid Debts

When a tax debt goes unpaid, the FTB’s collection powers extend well past reminder letters. It can issue an earnings withholding order directly to your employer, routing a share of each paycheck to the state until the balance clears.10Franchise Tax Board. Wage Garnishments for Taxes It can also levy a bank account and seize funds. No court order is required for either action on a state tax debt.11Franchise Tax Board. Court-Ordered Debt

The agency has 20 years to collect a tax liability, and the clock can reset when a new assessment is added. The window pauses during bankruptcy, active payment plans, or military deployment to a combat zone.12Franchise Tax Board. Statute of Limitations on Collection Actions A California tax debt rarely goes away on its own.

Unpaid balances above $100,000 can land you on a publicly searchable list of the state’s 500 largest tax delinquencies, published at least twice a year. You get at least 30 days’ notice before being added.13Franchise Tax Board. Personal Income Tax List Top 500 Tax Delinquencies

Non-Tax Debts Collected Through Your Refund

The FTB also collects debts that have nothing to do with income taxes. Through its Interagency Intercept Program, it helps other government bodies recover past-due fines, parking citations, tolls, fees, and tuition by intercepting state tax refunds owed to the debtor.14Franchise Tax Board. Interagency Intercept A refund you expected can be redirected to cover an old court fine or an overdue vehicle registration fee. The offset continues on each refund until the debt is paid off.15Franchise Tax Board. Help With Treasury Offset Program

Installment Agreements

If you cannot pay in full, the FTB offers installment agreements. You can apply online if you owe $25,000 or less, can finish paying within 60 months, and have filed all returns for the past five years. The setup fee is $34, added to the balance.16Franchise Tax Board. Payment Plans If an active garnishment, levy, or other collection order is already in place, the online option is closed and you have to call the FTB. Interest and penalties keep running during the plan.

Audits and Fraud Investigations

The FTB verifies return accuracy partly by comparing your California filing against federal data from the IRS.17Franchise Tax Board. Manual of Audit Procedures Chapter 2 Confidentiality and Disclosure A mismatch between what you told the federal government and what you told the state can trigger a closer look. Auditors review bank statements, receipts, and business records to test deductions and reported expenses.

Normally the FTB has four years from the date you filed to issue an assessment, measured from the original due date if you filed early. Two situations remove the time limit entirely: if you never filed, or if the FTB suspects fraud, there is no statute of limitations.18Franchise Tax Board. Criminal exposure is real. Under Revenue and Taxation Code Section 19706, anyone who willfully files a false return or fails to file with intent to evade tax faces up to one year in county jail or time in state prison, a fine of up to $20,000, or both, along with the costs of investigation and prosecution.20California Legislative Information. California Revenue and Taxation Code RTC 19706 The agency also runs compliance programs that use data matching to find people who earned enough to owe but never filed. If you ignore the demand notice that follows, the FTB issues a formal assessment based on estimated income, with penalties added.

Who Counts as a California Resident

Residency controls what California can tax. Residents owe tax on worldwide income; nonresidents only owe on income sourced to California. The FTB treats residency as a factual question built on your ties to the state rather than a simple day count. It looks at where your spouse and children live, where your home is, which state issued your driver’s license, where your vehicles are registered, where you vote, and where you bank.21Franchise Tax Board. 2024 FTB Publication 1031 Guidelines for Determining Resident Status

A safe harbor exists for people domiciled in California who leave under an employment contract for an uninterrupted period of at least 546 consecutive days. During that absence they can be treated as nonresidents, provided return visits total no more than 45 days in any taxable year. The safe harbor is unavailable if the primary purpose of leaving is to avoid California tax, or if intangible income exceeds $200,000 in any tax year covered by the contract.21Franchise Tax Board. 2024 FTB Publication 1031 Guidelines for Determining Resident Status

Help, Appeals, and Settlement Options

For taxpayers who cannot pay in full and are unlikely to be able to in the foreseeable future, the FTB runs its own Offer in Compromise program, separate from the IRS version. If approved, you settle the California debt for less than the full amount. The agency weighs your ability to pay, the value of your assets, and your present and future income. The offer must be a lump sum, and the FTB may require a five-year collateral agreement tying a share of future earnings above a set threshold to additional payments.22Franchise Tax Board. Innocent Spouse Relief

If a spouse or registered domestic partner created a tax debt on a joint return, you may qualify for relief from that liability. The FTB weighs whether holding you responsible would be unfair under the circumstances. Options include equitable relief for victims of abuse or financial control, community income relief when unreported income belonged to your spouse, and court-ordered relief under a divorce decree that allocates specific tax amounts to each party.23Franchise Tax Board. Tax Debt Relief for Spouse Innocent Joint Filer, Injured Spouse, and Signature Fraud If the IRS has already granted federal innocent spouse relief for the same years and facts, California will consider that determination too.

Taxpayers’ Rights Advocate

The Taxpayers’ Rights Advocate operates as an independent organization inside the FTB for cases where ordinary channels have failed. The advocate can step in when the FTB may have violated your rights under the Taxpayers’ Bill of Rights, or when your case has stalled.24Franchise Tax Board. Taxpayer Advocate Services You have to try the regular route first before the advocate’s office will take the case.

Penalty Abatement

The FTB can abate late-filing and late-payment penalties if you show reasonable cause, meaning the problem happened despite ordinary care and was caused by events beyond your control. Records destroyed in a fire, documented mental incapacity, and bank errors on payments are examples the FTB has accepted. Being busy or forgetting does not clear the bar.
