What Is Form 501-LLC? California’s Misleading Solicitation

There is no California form called “Form 501-LLC.” The document you’re looking for is Form LLC-4/8, the Short Form Cancellation Certificate issued by the California Secretary of State. It’s a single-page filing that lets a qualifying domestic LLC cancel its registration without going through the full dissolution process, and if you file it within 12 months of forming the LLC, your company is not subject to the $800 annual franchise tax for its first tax year.1Franchise Tax Board. FTB Pub. 3556 – Limited Liability Company Filing Information If a third-party service or older guide sent you looking for “Form 501-LLC,” they were pointing at the same document under a name the state does not use.

You can download the current version from the Secretary of State’s forms page or file it through the bizfile Online portal.2California Secretary of State. Forms, Samples and Fees The rest of this article uses the correct designation.

Who Qualifies to Use the Short Form

The eligibility rules come from California Corporations Code Section 17707.02, and they are strict. The form exists for LLCs that were created but never really got off the ground. Every one of the following must be true:

  • The cancellation is filed with the Secretary of State within 12 months of the date your Articles of Organization were filed. Not the date you started doing business, not the date you decided to close. The date on your formation documents.
  • The LLC has not conducted any business from the time the Articles of Organization were filed.
  • The LLC has no debts or other liabilities.
  • Any remaining known assets have been distributed to the people entitled to them, or the LLC never acquired any assets.
  • If the LLC received payments for membership interests from investors, those payments have been returned.
  • At least 50% of the voting interests of the members have voted to dissolve. If there are no members, 50% or more of the managers’ voting interests must approve. If there are neither members nor managers, the person or persons (50% or more) who signed the original Articles of Organization must authorize the cancellation.3California Legislative Information. California Corporations Code 17707.02

Note that the voting threshold is “50 percent or more,” not a simple majority, so a 50/50 split among members is enough to authorize cancellation. If your LLC cannot meet every one of these conditions, the short form is off the table and you need to use the standard cancellation process described at the end of this article.

Why the 12-Month Window Matters

The practical reason most people file Form LLC-4/8 is the first-year tax break. California’s $800 minimum franchise tax applies to every LLC registered with the Secretary of State, even one that earns nothing. Filing the short form cancellation within 12 months of formation means the LLC is not subject to that $800 tax for its first tax year.

One caveat worth knowing before you count on the savings: if you already paid the $800 annual tax or any LLC fees before canceling, the state does not reimburse you. The exemption prevents the obligation from arising. It does not work retroactively.

How to Complete Form LLC-4/8

The form fits on a single page. You will need:

  • The exact LLC name as it appears in the state’s records, including the suffix (“LLC,” “L.L.C.,” etc.). Even minor punctuation differences can cause the filing to be rejected.
  • The 12-digit entity number assigned when your Articles of Organization were filed. You can find it on your original filing confirmation or by searching the Secretary of State’s online business database.4California Secretary of State. Business Search – Frequently Asked Questions
  • The required declarations, labeled 3(a) through 3(g) on the form, which track the eligibility requirements: no business conducted, no debts, assets distributed, investor payments returned, and so on. You must be able to affirm every one of them.5California Secretary of State. LLC Short Form Cancellation Certificate Form LLC-4/8
  • A signature from a member or manager with the requisite voting authority, with printed name, title, and date.

Take the declarations seriously. Signing them when you know they are false is not just an administrative problem. Under California Penal Code Section 115(a), knowingly offering a false document for filing with a public office in the state is a felony.6California Legislative Information. California Penal Code 115 If your LLC had even minimal business activity or a single unpaid invoice, use the standard cancellation process instead.

How to File and What It Costs

There is no filing fee for Form LLC-4/8.5California Secretary of State. LLC Short Form Cancellation Certificate Form LLC-4/8 You have three ways to submit it:

  • Online through bizfile Online at bizfileonline.sos.ca.gov. This is the fastest route. As of early 2026, the Secretary of State was reviewing online LLC termination requests within about one business day.7California Secretary of State. Current Processing Dates
  • In person at the Sacramento office. In-person submissions carry a $15 special handling fee and were running roughly one to two weeks behind in processing as of early 2026.
  • By mail to the Secretary of State’s Sacramento office. Mail submissions had a similar one-to-two-week processing lag.

Paper filers who are up against the 12-month deadline can pay for expedited processing: $350 for 24-hour, $500 for 4-hour (drop-off in Sacramento only), or $750 for same-day.8California Secretary of State. Service Options Paying $750 to expedite a free filing sounds strange, but it beats losing an $800 tax exemption. An optional certified copy of the filed cancellation runs $5.

Once the state processes the filing, it returns a file-stamped copy and updates your company’s status to “Canceled.” Keep that document permanently. It is your proof that the LLC no longer exists.

What the Secretary of State Filing Does Not Cover

Filing Form LLC-4/8 handles the corporate registration side. It does not automatically clear your obligations with the California Franchise Tax Board or the IRS, and that is where people get tripped up.

Your LLC must be in good standing with the FTB before the Secretary of State will accept the cancellation. If the FTB has suspended or forfeited your entity, the cancellation filing will be rejected until you resolve the suspension.9Franchise Tax Board. FTB Publication 1038 Even for an LLC that qualifies for the short form, you still need to file a final Form 568, the Limited Liability Company Return of Income, for the final tax year. Check the “Final Return” box and write “final” at the top of the first page. Keep your records in case the FTB audits the return within the statute of limitations.

Federal tax steps run through the IRS separately and depend on how your LLC is classified:

  • Single-member LLC treated as a disregarded entity: report the final activity on Schedule C of your personal Form 1040 for the year of closure.
  • Multi-member LLC taxed as a partnership: file a final Form 1065, check the “final return” box, and mark “final K-1” on each member’s Schedule K-1.
  • LLC taxed as a corporation: file Form 966 along with the final Form 1120 or 1120-S, and check the “final return” box.

If the LLC has an Employer Identification Number, send a letter to the IRS asking that the EIN be closed, including the LLC’s legal name, EIN, address, and the reason for closing the account. The IRS will not close it until all required returns have been filed and all taxes paid.10Internal Revenue Service. Closing a Business For an LLC that never did business this should be quick, but skipping it can produce automated notices later.

If You Don’t Qualify for the Short Form

An LLC that conducted business, has been registered for more than 12 months, or carries any debts cannot use Form LLC-4/8. The standard cancellation path uses up to two forms:

  • Certificate of Dissolution (Form LLC-3), which notifies the public that the LLC is winding up its affairs. This step is skipped if every member voted to dissolve, in which case you note that on the cancellation form.
  • Certificate of Cancellation (Form LLC-4/7), which actually terminates the LLC. It is filed after wind-up is complete, or simultaneously with Form LLC-3 when the vote to dissolve was unanimous.3California Legislative Information. California Corporations Code 17707.02

The standard route also requires filing a final Form 568, paying the $800 annual franchise tax for the final tax year, and filing the cancellation with the Secretary of State within 12 months of that final return.1Franchise Tax Board. FTB Pub. 3556 – Limited Liability Company Filing Information It is more paperwork and more expensive, which is exactly why the short form exists for LLCs that never got started.
