Wisconsin Form S-211: Sales and Use Tax Exemption Certificate Guide

Wisconsin Form S-211 is the state’s all-purpose sales and use tax exemption certificate. You fill it out, hand it to your seller, and the seller stops charging you Wisconsin sales tax on qualifying purchases. The form is not filed with the Department of Revenue; it stays with the vendor as proof of why the sale was tax-free.1Wisconsin Department of Revenue. Who Qualifies to Use the Form

The general exemptions from Wisconsin sales and use tax are set out in Wisconsin Statutes § 77.54.3Wisconsin State Legislature. Wisconsin Statutes 77.54 – General Exemptions Most people reaching for this form fall into one of a few groups:

  • Retailers, wholesalers, and distributors buying inventory to resell. This is the most common use.
  • Manufacturers buying raw materials that become part of a finished product, or machinery and equipment used directly in production.
  • Commercial farmers buying seeds, plants, feed, fertilizer, pesticides, farm machinery, livestock, and similar inputs used in the business of farming.
  • Nonprofits with 501(c)(3) status, churches, and federal or Wisconsin governmental units. These entities usually hold a Certificate of Exempt Status (CES) number issued by the Department of Revenue, though a governmental unit can also present a completed S-211 or a purchase order identifying it as the buyer.4Wisconsin Department of Revenue. The form also covers narrower categories, including construction contractors buying materials that will be physically incorporated into real property for exempt entities, and purchasers of fuel and electricity consumed directly in manufacturing.

How to Fill Out Form S-211

Download the current form from the Wisconsin Department of Revenue at revenue.wi.gov, or use the electronic version (Form S-211E) through the Department’s online portal.5Wisconsin Department of Revenue. Purchaser Information

Enter your business name and full business address. Then provide your Wisconsin tax identification number. For most businesses this is the Wisconsin seller’s permit number. If you don’t hold a seller’s permit, use your Federal Employer Identification Number (FEIN). If you have neither, use your driver’s license or state-issued ID number.1Wisconsin Department of Revenue. Two special cases apply for purchasers without a seller’s permit. A wholesaler that only sells to other sellers for resale can write “Wholesale only” in the tax ID space. Type of Business

Check the box that matches your business. The form groups these into Manufacturing and Biotechnology, Farming, Governmental Units and Other Exempt Entities, and Other.1Wisconsin Department of Revenue. Wisconsin Sales and Use Tax Exemption Certificate Retailers buying inventory for resale check “Other” and write in a short description of what they sell.

Reason for Exemption

This is where most of the form lives. Each business-type category has its own set of checkboxes describing specific exempt uses. A manufacturer picks from checkboxes covering raw materials consumed in production, machinery used directly in manufacturing, fuel and electricity consumed in manufacturing, and property used in qualified research. A farmer checks boxes for farm machinery, seeds and feed, livestock, containers, and similar inputs. Check the box that matches how you’ll actually use whatever you’re buying.

Notice what the form does not ask for: a list of the specific items you’re purchasing. You are declaring that whatever you buy under this certificate will be used in the exempt manner you checked. The exemption attaches to the use, not to the product.

Seller Information and Signature

Fill in the seller’s business name and address. Sign the form with your name, title, and the date. Your signature is a legal declaration that the information is true, and the person signing must have authority to make purchasing decisions for the business.

Single-Purchase or Continuous

The form asks you to pick “Single Purchase” or “Continuous.” A single-purchase certificate covers one transaction. A continuous certificate stays on file with the seller and covers all qualifying future purchases from that vendor, which is far more practical for any ongoing relationship.

Continuous certificates do not expire and don’t require renewal on any set schedule.2Wisconsin State Legislature. Wisconsin Administrative Code Tax 11.14 – Exemption Certificates You do need to issue a new one whenever your business name, address, ownership, or tax ID number changes.

One quirk: once a seller holds your continuous certificate, you can’t cancel it for a single transaction by writing “taxable” on a purchase order. To pull the exemption entirely, you have to notify the seller in writing that you’re rescinding it.2Wisconsin State Legislature. Giving It to the Seller

Hand or send the completed form directly to the vendor. Do not send it to the Department of Revenue.5Wisconsin Department of Revenue. DOR Electronic Wisconsin Sales and Use Tax Exemption Certificate The seller can accept it on paper or electronically. Give it at the time of purchase when you can. Sellers do have a limited grace period under Wisconsin Administrative Code Tax 11.14 to gather the required information within 90 days of the sale,7Wisconsin State Legislature. Wisconsin Administrative Code Tax 11.14(4)(a) – Exemption Certificates but if your seller doesn’t have a certificate at checkout, they will usually charge tax and sort it out afterward.

Other Certificates Wisconsin Accepts

Form S-211 is not the only option. Wisconsin is a full member of the Streamlined Sales Tax (SST) Agreement, so sellers here also accept the Streamlined Sales Tax Exemption Certificate (Form S-211-SST).8Streamlined Sales Tax Governing Board. Exemptions The SST form is useful for out-of-state buyers who already hold a certificate from another member state and don’t have a separate Wisconsin tax ID. Wisconsin also accepts the Multistate Tax Commission (MTC) Uniform Sales and Use Tax Resale Certificate for resale purchases.

The SST certificate works across all 24 Streamlined member states, and you don’t need to be registered through SST to use it.8Streamlined Sales Tax Governing Board. Keep Copies

Both buyer and seller need to keep every completed exemption certificate for the full audit period. Under Wisconsin Statutes § 77.59(3), the Department of Revenue generally has four years from the later of the return’s due date or filing date to assess additional tax, and that window can be extended by written agreement.9Wisconsin State Legislature. The exception matters: if you fail to file a required return or file a fraudulent one, there is no time limit. The Department can assess tax at any point, however many years later.9Wisconsin State Legislature. Wisconsin Statutes 77.59 – Deficiency and Refund Determinations If you’re audited and can’t produce the certificates behind your tax-free purchases, the Department will treat those transactions as taxable and you’ll owe the tax plus interest.

Penalties for Misusing the Certificate

Using an exemption certificate improperly, or putting false information on one, has real consequences. A person who uses a certificate inconsistently with the law, or gives a seller incorrect information about an exemption, faces a penalty of $250 for each invoice or bill of sale tied to the misuse.10Wisconsin State Legislature. Beyond that, anyone who helps another person file a false or fraudulent sales tax return with intent to evade tax commits a misdemeanor.10Wisconsin State Legislature. Wisconsin Statutes 77.60 – Penalties The unpaid tax and interest still come due on top of any statutory penalty.

What the Exemption Covers

A valid Form S-211 doesn’t just knock out the 5% state rate. Wisconsin has 70 counties that impose a 0.5% county sales tax, Milwaukee County charges 0.9%, and the city of Milwaukee adds a separate 2% municipal sales tax.11Wisconsin Department of Revenue.
